DEED OF ABSOLUTE SALE

 
KNOW ALL MEN BY THESE PRESENTS:
 
        This Deed of Absolute Sale, made and entered into by
and between:

SPS. WOLFA AND ________ _______________, of

legal age, married, Filipino Citizen, and resident of Bacolod
City, (hereinafter referred to as the "VENDOR", with the
Special Power of Attorney hereto attached and incorporated
as ANNEX “A”);
 
- and -
 
        __________________________, of legal age,
Filipino, married, resident of Bacolod City, hereinafter referred
to as the "VENDEE");
 
WITNESSETH That:
 
Whereas, the VENDOR owns a certain parcel of land situated in the
City of Bacolod covered by Transfer Certificate of Title No. T-
____________ and more particularly described as follows:

“A parcel of land _________________xxx”

(Copy of the said Transfer Certificate Title No. T-__________ is

hereto attached and incorporated as ANNEX “B”);
 
Whereas, the VENDOR desires to dispose by way of sale, the said
property and the VENDEE is interested, ready, willing and able to buy the
same;

NOW, THEREFORE, for and in consideration of the sum of ONE

MILLION TWO HUNDRED PESOS (PhP 1,200,000.00), which is to be
fully paid by the VENDEE upon the execution of this deed, to the
VENDOR’S complete and full satisfaction, thus the VENDOR hereby
SELLS, TRANSFERS and CONVEYS unto the VENDEE, to her heirs,
successors-in-interest and assigns, the above-described real property
with the following terms and conditions, to wit:

1. All fees and expenses, for the execution and registration of

this deed and for the issuance of a new Transfer Certificate of Title
shall be shouldered by the VENDEE, as well as other expenses as
may be necessary, including but is not limited to, notarial and
attorney’s fees;

2. The payment of the Capital Gains Tax shall be at the expense

of the VENDOR.
 
          IN WITNESS HEREOF, the parties have hereunto set their hands
this ___ day of ____________ 2009, in Bacolod City, Philippines.

ACKNOWLEDGMENT
 
BEFORE ME, a Notary Public for and in the City of Bacolod,
Philippines, this _______________ 2013, personally appeared the parties
as above-indicated, both known to me and to me known to be the same
persons who executed the foregoing instrument which they acknowledged
to me to be of their own, free and voluntary act and deed.
 
This Deed of Absolute Sale is composed of two (2) pages, including
the page on which this acknowledgment is written and has been signed
by the parties on each and every page and their instrumental witnesses
on this second and last page.
