End Game Provisions/Termination

What should the end game address?

-termination events (events triggering the contractual remedy- default-breach/death etc)

-contractual consequences (monetary and non-monetary consequences)

-date of termination (will some obligations spill over after terminaton?)

-surviving clauses (confidentiality/non-compete clauses-contract provisions ; torts arising out of


a contract-common law remedies- need not be explicitly mentioned)

-dispute resolution

NOTICE

 Notice of Termination- wrong phraseology because some obligations do spill over even
after the termination date, should be notice of intent to terminate because a notice is only
an expression of intent, it cannot effectively terminate the contract.
 Rejection should be treated as deemed receipt/acknowledgment
