STAND LEASE CONTRACT FOR THE HEALTH FAIR

General Conditions of the health and Beauty fair

On the one hand, THE FAIR OF HEALTH AND BEAUTY S.A. , company of social
object is the organization of events, acting as organizer of the fair, as lessor; and on
the other hand, the exhibitor as presented in this document, agree to the terms and
conditions that will govern the lease of space or stand for the fair on the dates and
times referred to in the following document and in the regulations all under the
framework and in compliance with the guidelines, restrictions and policies that are
communicated to you by The fair of health and beauty S.A.,
and in particular of the "CONDITIONS GENERAL OF THE FAIR OF HEALTH AND
BEAUTY S.A., which are incorporated and are part of the this agreement, and
whose breach by the EXHIBITOR is considered serious. 1. PURPOSE AND
VALIDITY - THE FAIR OF HEALTH AND BEAUTY gives the EXHIBITOR the right
to use and enjoy the area (“STAND”) that is specified in the Reservation Form (the
"FORM"), during the period of duration of the FAIR, only for the purpose that the
exhibitor can use said STAND by participating in the organized FAIR for THE FAIR
OF HEALTH AND BEAUTY. In consideration of the above, the EXHIBITOR will
undertake to pay THE FAIR OF HEALTH AND BEAUTY, the PRICE referred to in
said FORM.2. PAYMENT AND ADVANCE - THE EXHIBITOR will pay THE FAIR
OF HEALTH AND BEAUTY the entire PRICE referred to in the FORM a no later
than 30 business days before the start of the FAIR. Without notwithstanding the
foregoing, the EXHIBITOR must pay THE FAIR OF HEALTH AND BEAUTY by way
of advance payment within 5 business days of signature of this agreement, a sum
equivalent to at minus 40% of the PRICE for purposes of separating the STAND.
PAYMENT AND ADVANCE - THE EXHIBITOR will pay THE FAIR OF HEALTH
AND BEAUTY the entire PRICE referred to in the FORM a no later than 30 business
days before the start of the FAIR. The EXHIBITOR must pay THE FAIR OF HEALTH
AND BEAUTY by way of advance payment within 5 business days of signature of
this agreement, a sum equivalent to at minus 40% of the PRICE for purposes of
separating the STAND. PARAGRAPH 1: If in the event the EXHIBITOR does not
pay the advance within the referred term, will be understood as withdrawal of your
intention to lease or participate in the FAIR; and consequently, this contract will be
without effects. PARAGRAPH 2: In the event that the EXHIBITOR does not I paid
the entire PRICE within the referred term, it will also be understood as withdrawal of
your intention to lease or participate in the FAIR; and will entitle THE FAIR OF
HEALTH AND BEAUTY to unilaterally terminate the contract. In this event, the
EXHIBITOR will pay THE HEALTH AND BEAUTY FAIR as a fine on equivalent to
the value of the advance, for which it authorizes THE FAIR OF HEALTH AND
BEAUTY to retain and endorse the advance payment already received. 3. USE AND
DESTINATION - The lease of the STAND that agrees between the parties operates
solely and exclusively within of the EXHIBITOR participation framework in the FAIR,
the Exhibitor is obliged to comply with the parameters indicated by time THE FAIR
OF HEALTH AND BEAUTY and in particular with the. "REGULATION OF THE FAIR
OF HEALTH AND BEAUTY". Considering what above, any improper use by the
EXHIBITOR or your staff, or any disturbance to others participants, clients, facilities,
or staff, will be the cause enough to terminate this contract without there is no
obligation of payment, refund or compensation from THE FAIR OF HEALTH AND
BEAUTY to the EXHIBITOR. Additionally, it is clear to the parties that within time of
the FAIR, the EXHIBITOR does not have authorization to assemble or disassemble
the STAND, nor to make adjustments to the same, except by express authorization
of THE FAIR OF HEALTH AND BEAUTY, in the measure that the Exhibitor is
granted sufficient time before and after the FAIR for such activities. PARAGRAPH
1: EASYFAIRS will allow the EXHIBITOR to enter, 24 hours before the start of the
FAIR, and during the 12 hours following the end of the fair so that it can assemble
and disassemble the STAND respectively. PARAGRAPH 2: THE HEALTH AND
BEAUTY FAIR may vary the location of the STAND, with prior notice to the
EXHIBITOR, with at least 5 days of prior to the start of the FAIR. PARAGRAPH 3:
The interior adaptations to the leased space, will be on account and at the sole
expense of the EXHIBITOR; however THE FAIR OF HEALTH AND BEAUTY is
commits to the general lighting of the pavilion and to a electrical outlet for each stand,
with a power of 120w, which that allows connection for each stand of 1 team (which
It can be 1 laptop, 1 conventional computer, or 1 television with VHS or DVD).
OBLIGATIONS FROM THE EXHIBITOR - In addition to the obligations enshrined in
this contract, or those that may deriving from the law, are EXHIBITOR's obligations
the STAND space assigned solely and exclusively for the display and sale of its
products, without being able to give or sublet part of your space to third parties; (b)
Have your STAND ready 12 hours before the opening time of the fair. The
EXHIBITOR will only be authorized to make works of adaptation and organization of
the spaces, as well such as the entry of goods, until 11 p.m. of the day before the
opening of the FAIR; (c) Answer for everything
damage that its products, goods or personnel may cause to the facilities where the
fair takes place, to third party goods or to people; (d) Pay the PRICE in a timely
manner; (and) Comply with the opening and closing hours of the fair according to
are informed by THE FAIR OF HEALTH AND BEAUTY; (f) Dismantle the STAND,
removing all the elements and objects from it within the 12 hours following the closing
of the FAIR; (g) Reply against EASYFAIRS and before third parties, for any damage,
damage or deterioration caused by products, equipment or staff at the STAND or at
the FAIR locations, or by any damage, harm or deterioration that is reasonably can
be imputed to the EXHIBITOR, and even go to the defense and indemnify THE FAIR
OF HEALTH AND BEAUTY for any claim attributable to the EXHIBITOR, to be
initiated against THE FAIR OF HEALTH AND BEAUTY; (h) not to yield or sublet the
STAND. PARAGRAPH 1: Taking into account the nature of fairs and events in terms
of timing, It is from the essence of this contract that the EXHIBITOR comply fully and
in due time with the aforementioned obligations, particularly with regard to the
clearing of the STAND and the withdrawal of all its products, equipment, personnel,
merchandise, materials, etc., that you have used in said STAND. In the event that
within the day following the end of the FAIR, the EXHIBITOR has not removed all of
the referred materials of your STAND, the EXHIBITOR authorizes broadly and
sufficiently to THE FAIR OF HEALTH AND BEAUTY (or to whom THE FAIR OF
HEALTH AND BEAUTY designate) to withdraw, at the EXHIBITOR's expense, all
referred elements, without this causing any type of handling, custody or
transportation responsibility in charge of THE FAIR OF HEALTH AND BEAUTY. 5.
NON-COMPLIANCE AND PENALTY - Notwithstanding the fine referred to the
advance, the parties agree that the breach of the obligations contained herein
document by the EXHIBITOR, will cause a penalty to THE FAIR OF HEALTH AND
BEAUTY favor of the equivalent of two (2 SMMLV) wages legal monthly minimums
in force by STAND. 6. RESPONSIBILITY - THE FAIR OF HEALTH AND BEAUTY
assumes no responsibility for the damages or losses that the EXHIBITOR, its goods
or personal, may suffer for causes attributable to third parties, abduction with
violence or without violence, theft or los caused by fire, flood or terrorism. The
existence surveillance by the location, does not imply in any case THE FAIR OF
HEALTH AND BEAUTY responsibility. The Exhibitor is responsible for at all times
for your assets and insurance coverage on them. PARAGRAPH 1: THE EXHIBITOR
recognizes that the responsibility of THE FAIR OF HEALTH AND BEAUTY in this
contract is limits the granting of the use of the STAND to the EXHIBITOR for the
FAIR.
