MEMORANDUM OF UNDERSTANDING
BUSINESS DEVELOPMENT IN INDONESIA
This Memorandum of Understanding is made on July 25, 2020, by and between:
I. PT. Samugara Multi Karya Utama, a
limited liability company incorporated
in accordance to the law of Republic
Indonesia having domicile a Jl. Raya
Tegal, Jawa Tengah, indonesia, in this
matter duly represented by Irwan
Tascha, as President Director,
representing the Board of Directors.
II. PT. Samugara Multi Karya Utama has
business in a field of shipyard (ship
building and repairs) and also
engaged in marine and oil services for
jetty maintenance, dredging, leak
stopper supply, chemical supply and
cleaning. Especially for shipyard, with
operational area 7 hectares, 360m
waterfront, draft 3.5 m, dockyard able
to facilitate 7 vessels simultaneously,
ship with airbags system, and other
heavy equipment and machine such
as mobile crane, forklift, tug boat,
cutting machine, press machine,
sandblasting machine, paint machine,
welding machine, and workshop.
I. Woongjin Development Co. Ltd., a
limited liability company incorporated
in accordance to the law of the
Republic of South Korea, having
domicile at 6, Jungang-daero 320
beon-gil, Dong-gu, Busan 48729,
South Korea, in this matter duly
represented by ___________ as
President Director
II. Since 1981 Woongjin Development
Co. Ltd has grown into one of
largest, specialized construction
companies in South Korea as well as
prominent contractor at the global
level. Woongjin excel in construction,
offshore projects (oil, gas, and wind),
infrastructure and marine works. Our
marine works projects including pile
driving, dredging, breakwater,
reclamation and wharf restructure as
well as various, other development
jobs. Due to success and experience in
home markets, we have built strong
positions in South Korea as well as
expanded operations into additional
locations I Asia, the Middle East and
Europe
PT Samugara Multi Karya Utama has a long-
term strategic planning to become a major
player shipyard business in Indonesia, by
dividing the stage of growth as follow.
Phase 1 – to mature of Ship repair and
maintenance.
Ship repair and maintenance work established
since 2016 and up to now we had repaired 50
small and medium sized ships (Barge size up
to 500 Dwt, tugboat, LCT.
Phase 2 - Ship Building
Simultaneously with phase 1, PT. Samugara
Multi Karya Utama shall gradually provide an
adequate facilities and fulfill standards to be
capable in building new ships ranging from
barge, general cargo, SPOB (self propeller oil
barge) up to 5.000 DWT.
Woongjin oraganizes and implement
comprehensive level of sophisticated
technologies in marine and civil engineering
fields. We combine a highly skilled workforce
with strategic planning and innovative use
technology to overcome the most complex
business challenges. Due to our reliability and
the constant accumulation of new
technologies, we enjoy a pioneering role in
the 21st century. Fully devoted to the
construction of social overhead capital
projects, we take on various kinds of harbor
jobs where we mobilized our own marine
equipment such as a floating dock, dredger
and marine cranes. In addition to our
company team, we develop developed
partnership with available contractors
competing in the domestic and world
construction market.

This Memorandum of Understanding sets forth and summarizes the mutual understanding
and present intention of the Parties to engage in an effort to cooperate on business
devlopment in Indonesia

Nota Kesepahaman ini dibuat dan merangkum pengertian Bersama dan tujuan para pihak
untuk terlibat dalam upaya untuk bekerja sama dalam pengembangan bisnis di Indonesia

Specific activities under this Memorandum of Understanding will be listed in Business

Planning section below and also be identified through consultation between the two parties.

Aktivitas khusus berdasarkan nota kesepahaman ini akan disampaikan pada bagian
perencanaan bisnis dan akan ditentukan setelah dikonsultasikan oleh kedua belah pihak

Accordingly, SMKU, and Woongjin , operating under this Memorandum of Understanding

agree to the following tasks as follows:
 Oleh karena itu , SMKU, dan Woongjin, yang beroperasi di bawah Nota kesepahaman ini
menyetujui tugas-tugas sebagai berikut:
SMKU will prepare all permits, certificate, taskforce and facilities to fulfill the requirement
needed to become ship building Industry .
SMKU akan menyiapkan semua izin, sertificat, tenaga kerja, dan fasilitas, dalam rangka
pemenuhan persyaratan sebagai industry pembangunan kapal.
SMKU also strive to obtain ship building projects carried out by both private and
government.
SMKU juga berusaha untuk mendapatkan proyek proyek pembangunan kapal baik yang
dipesan swasta maupun pemerintah.

Woongjin, as a leading company in the ship building industry will provide support needed by
SMKU in the form of experts, facilities and finance.
Woongjin sebagai perusahaan terkemuka di industry pembuatan kapal akan memberikan
dukungan yang diperlukan SMKU berupa tenaga ahli, fasilitas dan keuangan.
