KNIGHT FRANK Property Services Private Limited. ( hereafter referred to as “KF”) thanks Mercedes Bens
(hereafter referred to as “MB INDIA”) for the opportunity to present this Proposal for their upcoming Project in
Chakan, Pune.

Knight Frank is excited by the opportunity to assist MB INDIA in this project. We intend to work closely with your
team to deliver successful outcomes. By using our knowledge of the Pune market along with proven construction
management capabilities, we will aim to provide an excellent, fully functional facility.

This proposal has been designed keeping in view the brief as stated in our earlier meetings. We have outlined five
reasons why you should consider hiring Knight Frank for project management:

1. Timely Completion:

Knight Frank has delivered and is actively delivering projects across Pune, Mumbai, Delhi, Bengaluru,
& Gurgaon. Across geographies, though MB INDIA needs may differ, one common denominator
among projects we manage is timely completion. Clients value our credentials because we offer

2. Safety:

To Knight Frank safety on site is paramount. Knight Frank takes responsibility for all the people that

3. Strict Process and Cost Control:

We drive an integrated team approach between the project team, architects, design consultants,
contractors, engineers, implementation partners and suppliers. We build and harness internal
relationships between all stakeholders to ensure they work as a unified team, using a seamless
operation model. This approach allows us to optimize resources and spot gaps, even before they
arise. It allows us to have a tight control over cost and processes, an integral part of any project.

4. Quality Assurance:

We take quality seriously. At the outset itself, we determine measures for compliance with plans and
specifications to be enforced during execution of the project during construction at the project. Our
QA processes include inspections, verifications, audits, evaluations of materials and workmanship
necessary to determine and document the quality of the constructed project.

OUR UNDERSTANDING OF THE PROJECT
The project includes the Development of New Facility of MB INDIA in Chakan phase-3, Pune. To manage
the above development MB INDIA wants to appoint a Project Management Agency.

The Development shall comprise of following:-


 Requirements

VPC and PDC Building shall be of a single RCC structure with footprint of about 25000 sq m. The
Ground floor will be PDC (Parts dispatch center) warehouse with mezzanine and above floors shall be
VPC (Vehicle preparation center) meant for parking of finished vehicles. The RCC structure shall be G+5.

Apart from VPC and PDC building, there shall be a PDI (Pre delivery Inspection) Shed of approx. 500 sq
m, and other utility buildings.

MB India has concurrently initiated appoint process for design consultant and KF assumes that the PMC
and Design consultants appointment shall happen at the same time, hence KF has considered design
kickoff immediately after appointment of PMC.

GOALS
It has been identified that the project goal is:

“To enable the designed facility to be completed in an efficient manner so as not to


exceed the stated timelines and budget whilst meeting the agreed quality levels”
To achieve the above goals, the following measures will be taken:

1. Achieve adherence to the programme throughout the construction process


2. Establish a Building Safety Programme to ensure the construction is completed
without incident
3. To complete the project before the agreed handover date

SCOPE OF SERVICES
As MB INDIA’s representative, Knight Frank professionals will focus their efforts in achieving specific and
measurable objectives. All elements of the process will be followed solely in the interest of MB INDIA to ensure
that the maximum efficiency and shortest delivery times are achieved for the said industrial project. These are
some of the best practice processes we follow:

include, but not be limited to:

1. Construction Management:
This essentially consists of regular review of the project and communicating the status to various stakeholders. It
covers all the onsite operations in a seamless mode. The reviews are organized by our Project manager and
focuses on how each schedule is on track with regards to the project plan and thereby meeting MB INDIA ’s
requirements. The project monitoring mechanism also focuses on an automatic process for escalation of issues
causing concern and an issue resolution process.

Our Project management team will render support throughout the construction process - managing on-site
construction on all aspects, going beyond the call of duty if need be.

2. Construction Material Quality and Vendor Quality Assurance:


This process assures that qualified people are monitoring the progress and quality of construction. It provides an
objective overview of project progress and can help identify potential deficiencies or future problem areas during
and after construction. . The participation of the design consultants in this process is encouraged since they have
the responsibility to ensure the materials used are the same as they have identified in their designs &
specifications

3. Cash Flow and Cost Management:


The construction plan and the associated cash flow estimates can provide the baseline reference for subsequent
project management and control. The detailed cost estimate provides a guide for the assessment of financial
performance during the project. We ensure that all costs are within the detailed cost estimate; so that the project
is under financial control and that there are no over-runs.

4. Environment, Health & Safety Management:


Our commitment to the health and safety of our employees and people working on our sites or under our
management is pivotal. Equally, we accept our responsibility to minimize environmental impact by controlling
waste, reducing pollution, using energy efficiently. In addition, achieving high levels of pro-active health and
enforcing safety standards achieves worker motivation and better productivity. Wherever Knight Frank
operates, this policy seeks to:

 prevent workplace injuries and illnesses


 ensure highest levels of safety for our clients , consultants, engineers and labour working on our sites

5. Audit, Project Documentation & Reporting:
The quality check on services, including those of contractors and suppliers, will be conducted through
implementation of approved operating procedures, appropriate use and control of equipment, control and
management of materials and technical services defined by Knight Frank. These control procedures will be
implemented during frequent audits in a manner that produces efficiency, cost-effectiveness, reliability and
technical merit in the resulting work. Knight Frank will document and report activities on a timely basis. Knight
Frank is to maintain a complete set of all documents, reports, certifications and other records that provide
information on project plans, contract agreements and project activities.

6. Non-conformance Tracking and Corrective Action System:


Workmanship expectations, requirements and protocols are established for contractual and regulatory
compliance, compliance with established procedures and schedules. For any deviations from the schedule,
corrective action is taken. Work or materials not conforming to the specifications or contract requirements,
including noncompliances and deficiencies identified by the QA Manager will be identified and documented on
a Non Compliance Report (NCR). The NCR will remain open until the nonconforming condition has been
satisfactorily resolved and verified as acceptable by the QA Manager. Also, project personnel at all levels are
encouraged to provide recommendations for improvements in established work processes and techniques.
The intent is to identify activities that are compliant but can be performed in a more efficient or cost-effective
manner.

METHODOLOGY – WORK PLAN
As MB INDIA’s representatives, we at Knight Frank will focus efforts on maximizing efficiencies under this project.
Knight Frank proposes to deploy an integrated approach for MB INDIA throughout the execution and completion
of this project, by involving our Senior Management team (Partially) and a dedicated SPOC. Our proven 5 Step
Methodology is designed to ensure the best solution for MB INDIA.

STEP 1: APPOINTMENT (PROJECT INITIATION)

Appointment as Consultant: Soon after appointment, we run a systematic review of:

 MB INDIA’s key stakeholders and its team structure, as relevant to this project and define roles and
responsibilities in consultation of MB INDIA’s team.

 Functional and organizational dependencies between the involved divisions to capture exact requirements
MB INDIA’s “wish list and must have list” for the new facility in terms of exact general policies, efficiency
and internally allocated budgets.

 Technical Requirements – Knight Frank will consult with MB INDIA and its external providers (if and as
required) to understand current and future technologies and the ability of the new facility to handle MB
INDIA’s technical requirements. Our Project Management (PM) team will be engaged to ensure all technical
requirements are well understood at this stage.

 KF PM Team shall, post review of the project details, recommend list of best suitable technical consultants
for the project and post approval from MB INDIA shall undertake appointment of consultants. This process
shall involve drafting detailed scope of works for each of the consultant types, carry out PQ process, float
RFP’s, evaluate proposals and table recommendation to MB INDIA for appointment of technical consultants

STEP 2: DESIGN AND ENGINEERING PHASE:

Soon after appointment of consultants, project specific information system for communication of information
between MB INDIA, PMC and consultants shall be agreed and implemented. The design management shall
include Design Co-ordination at all stages of Design Development – Concept Stage (30% design), Schematic
stage (60% design), Design Development stage (90% design), G.F.C drawings, Construction Documentation and
As-built drawings stages for all the packages.(Part of close out stage)

Conduct regular design review meetings shall be conducted along with the MB INDIA’s team & the design &
services consultants. The design review process will mainly emphasize on:
 Determination of design priorities.
 Monitor design milestones & progress and deliverables
 Seek MB INDIA’s signoff on each stage and maintain positive documentation.
 Determine the availability of specified materials, report on impact and the recommended alternatives, Value
engineering.
 Review design drawings to ensure completeness & correctness.

Besides Design, other activities shall be undertaken concurrently during this stage, which shall include but not
limited to:-
 Appointment of contractors for investigative works such as soil investigation, land survey works etc.
 Preparation of Master construction schedule
 Establish project specific quality and safety plan
 Formulation of contracting and execution strategy, creating WBS (Work breakdown structure) and
packages list
 GCC and SCC required for tendering stage shall be prepared and MB INDIA’s approval is sought.

STEP 3: PROCUREMENT PHASE:

Based on the execution strategy and package list, PM team shall carry out pre-qualification of contractors and
submit the recommendations to MB INDIA team for approval. Post approval of vendors list, Tendering shall be
initiated. Tendering process shall include floating of tenders/ RFQ’s, receiving proposals, techno commercial
evaluations, conducting Negotiation meetings, recommendations to MB INDIA for appointment of contractors.

STEP 4: CONSTRUCTION PHASE:

During construction phase KFPM Team shall strive to maintain balance between scope, time, cost, quality and
safety by carrying out host of activities mentioned hereunder and also collaborating through a Technology
Platform

 Kickoff meetings with contractors, along with implementation of quality and Safety plan.
 Review execution schedule prepared by vendors for the project and highlight risk, if any to stakeholders.
Monitor and update the same on a fortnightly basis.
 Review the 'GFC' drawings being issued for construction and report any proposed changes and their
implications to MB INDIA.
 Check & review payment requests/ bills/ invoices, coordinate certification and other conditions for payment
and submit to MB INDIA.
 Check, review & control quality of material brought into for the project & quantity of works carried out on site
in consideration to the agreed specifications
 Check execution for general compliance with designs & specifications
 Review of updated cash flow charts
 Manage changes, by implementing change management process. Inform MB INDIA in a timely manner for
approval and issuance of amendments.
 Share best construction practices and strategies for efficient site management
 Track the timely release of GFC drawings and other design deliverables from design consultants
 Review records of site activities maintained by the contractors to check its suitability
 Check & review all statutory requirements/insurance policies needed to be maintained on site
 Conduct weekly progress review meetings amongst stakeholders and vendors to review the quality, safety
and project schedule parameters
 Submit weekly progress reports (and earlier, if necessary, for the implementation schedule), monthly status
and a look ahead schedule with highlights on the anticipated/actual backlogs, if any with mitigation
 Coordinate procedural commissioning various equipment & integrated testing of all the services and submit
the reports to MB INDIA
 Monitor & manage daily progress, resource requirement including men and machinery and report risks /
gaps
 Preparation of punch list including review progress of rectification of defects.

STEP 5: CLOSEOUT:

KFPM Team shall initiate close out process based on completion of contractual obligations of respective work
packages. There may be overlap of closeout phase and construction phase based completion of individual work
packages, which shall be managed by KFPM team diligently to ensure seamless handover of facility to MB INDIA.
Post completion of construction following activities shall be undertaken:-

 Prepare and Issue snag-list along with design consultants to contractors for rectification
 Receive, check and resolve all claims prior to issuance of final cost control report
 Compile final project cost report
 Coordinate with architect/s & vendor/s to obtain Virtual Completion Certificate for each package.
 Establish a handing over document, underlining the list of documents, drawings, test certificates,
performance guarantee, defect liability period, warrantee / guarantee cards etc. for specified items.
 Impart training to MB INDIA facilities team.

 Coordinate to establish a Project Completion Date in order to specify the Start and End of the Defects
Liability Period & maintain a register for defect liability period
 Verify that the site and surroundings are cleared out of contractor’s material, debris, construction equipment
and material
 Issue an overall project completion certification to initiate use facility by MB INDIA

COMMUNICATION & REPORTING
The following is a recommended communication program which can be altered as needed in discussion
with MB INDIA :

Information Reports & Progress Calls: The progress report will be discussed in a meeting that will be set up
every fortnight between all Knight Frank and MB INDIA stakeholders. Knight Frank will be responsible for setting
up and managing this discussion. The discussion with be focused around reviewing the items in the progress
report which will be sent prior to the call. In addition, the timeline will be reviewed and all other key items will be
discussed.

Internal Progress Meetings: In addition to calls with MB INDIA, the Knight Frank project team will also have
regular progress meetings internally to track the project and ensure that service levels are being met and project
timelines are managed.

Knight Frank has comprehensive reporting capabilities that will ensure MB INDIA is provided sufficient information
throughout the process. As part of the Knight Frank best practices, we will send out written communications with
regards to status of work. MB INDIA can advise Knight Frank if they need this update in a particular format.

PRICE SCHEDULE
Our fee encapsulates our confidence to deliver the full scope of services as per the RFP and Knight Frank
recognizes the need to implement a fair, reasonable and impartial fee structure to a project of this nature.

For the scope of services as defined in the RFQ, Resources deployment matrix and Schedule we are pleased
to propose the following fee:

Payment Terms:
1. 15% Advance upon confirmation of appointment
2. 85% in equal monthly installment for the duration stated in the resource matrix above
The Qualifications for the fees are listed below:

1. The Fees proposed is exclusive of applicable Service Tax, to be paid at the prevailing rate by the MB
INDIA
2. The fee quoted does not include travel charges incurred outside of the project location for project
purposes. This would be charged as per actual and the same shall be intimated to MB INDIA for approval
before undertaking the travel.
3. The Project management fees will be payable as 15% towards first installment, upon confirmation of
appointment, and balance in equal monthly installments through the duration stated in the Resource matrix
4. The Resources for site shall be deployed as per this resource matrix, commencing within 15-30 days from
signing of LOI between MB INDIA and Knight Frank
5. The PM fees is based on the stated timelines in Resource Matrix and development areas mentioned in
the RFP, any further change in the project areas and extension of timelines will have to be paid extra.
6. This Offer is valid for a period of 45 Days from the date of submission

7. In case project is put on hold for reasons not attributable to Knight Frank, we shall be paid effort fees pro-
rata to the fees for the period we have been associated on the project.

Inclusions: All expenses and costs which may be incurred by Knight Frank in performing the services under this
proposal shall, unless otherwise advised and agreed, be solely borne by Knight Frank.

Exclusions:

Provision and maintenance of fully furnished air-conditioned Site Office for KF Employees, normally
provided by the Owner through main contractor.

As partially covered above MB INDIA shall be responsible for all payments made to external consultants e.g.
(Other than the consultants for fees is mentioned) e.g. But not limited to; Legal Counsel, Tax Consultants,
Technical Consultants, Stamp Duty Charges to be paid for registration and Consulting charges for the process of
registration. Knight Frank shall not appoint / engage with any external consultants or counsels related to the
project without first obtaining a written consent from MB INDIA.
