REBATE AGREEMENT WITH

HomeCrew Best Services Phils. Corp.

It is unavoidable that some of our clients would like to buy direct from our source suppliers. Reasons vary from
warranty concerns, to possible additional monetary savings. This however indirectly put us in the position of
competitors. It is to everyone’s best interest that our relationship be preserved; thus we propose this rebate
agreement with the following guidelines:

1. That HomeCrew is entitled to ___% discount for purchases from ( Company Name)
2. That some of HomeCrew’s clients would like to buy direct from HomeCrew’s supplier/brands.
3. That despite item no.2, HomeCrew is still entitled to benefit from the agreed discount rate.
4. That in the event ( Company SHORT Name) have to give some discount to the HomeCrew client,
HomeCrew will be entitled only to the balance of the discount.

Ex. If 10% discount was given to HomeCrew client, HomeCrew is entitled to the difference of 25%
rebate.

5. That all subsequent sales from the HomeCrew client be likewise subject to rebate.
6. That ( Company SHORT Name) will pay HomeCrew the accumulated rebate at the end of every month.

Also, Please Note:

7. HomeCrew may make use of the ( Company Name) trademarks for the sole purpose of promoting
( Company SHORT Name) products and services. Any such use shall be in accordance with
( Company Name) trademark policies.
8. It is expressly understood that this rebate agreement does not grant HomeCrew Best Services Phils.
Corp. any interest in ( Company Name) trademarks or any other intellectual property rights.
9. No employment, partnership or joint venture relationship is formed by this rebate agreement, and at no
time does HomeCrew Best Services Phils. Corp. positions itself as affiliated with ( Company Name)
except as a referrer.
10. In view of this independent relationship the referrer will not enter into any agreement on behalf of
( Company Name), will make no warranty or representations either expressed or implied on behalf of
( Company Name), and will not incur any expenses on behalf of ( Company Name)
11. This rebate agreement does not grant exclusive rights to the Referrer to act as referrer on behalf of
( Company Name) and the Referrer will have no rights under any other agreements entered into by
( Company Name) with other Referrers. Likewise, the Referrer is under no obligation to exclusively
refer potential customers to ( Company Name)
12. HomeCrew Best Services Phils. Corp. as a referrer agrees not to disclose any confidential information
pertaining to ( Company Name) services, nor that of prospective or existing customers to any third
party. HomeCrew may do follow-up enquiries with its referred customers to confirm their purchase and
to gather feedback about their experience with ( Company SHORT Name).

13. This agreement constitutes the whole agreement between the parties.
