Directors’ Certificate

This is to CERTIFY that in the special meeting of the

Board of Directors of SAMPAGUITA HOMES LIPA HOMEOWNERS
ASSOCIATION INC. last 30 May 2020 duly called for the
purpose for which a quorum was declared to be present to
transact and do business, the following board resolution was
unanimously passed and approved by the majority members of
the Board of Directors present during the meeting:

BOARD RESOLUTION No. 01-05-2020

“RESOLVED, AS IT IS HEREBY RESOLVED, that the

Board hereby designates and appoints its President,
MR. LEANDRO M. ALTAMIRANO to be the authorized
representative of the Association for purposes of
entering into and execution of a Memorandum of
Agreement (MOA) with Metro Lipa Water District
(MLWD) in relation to the engagement of MLWD to
provide Sampaguita Homes Subdivision unabated
access to potable water including the official
turn-over of management over the existing water
system facility of the Association;

RESOLVED FURTHER, that the appointment of Mr.

Altamirano covers the authority to request, make,
sign, seal, execute, deliver and/or receive and
provide any and all documents which may be lawfully
necessary to be requested, done, delivered,
received or provided for Corporation necessary for
the attainment of the purpose of authorization
given including the authority to sign the MOA and
other related documents, if any, for and in behalf
of the Association;

RESOLVED FINALLY, that the Board hereby

directs the Corporate Secretary to issue the
corresponding Secretary's Certificate, if needed
be, showing the authority granted by the Board
under this Resolution.”
