甲 方： Party A

甲方委托乙方负责完成土石方工程（包括挖土、填土、石方爆破凿除、外运）。
就施工中的有关事项，经双方友好协商，达成如下协议。

Party A hereby commissioned party B responsible for completion and

accomplishment of earthwork including excavation, filling, chiseled
rock blasting and conveying out. Parties hereto, through amicable
negotiations, reach the agreement on the respected items of
construction as follows:

第一条 工程范围 Article One Project Scope

以甲方提供的地勘资料、原始地形地貌自然地面标高图以及场内地面的设计标高
施工图（设计标高是指总平面图室外地面设计标高）为依据，完成地面设计标高
以上的挖运土方（石方爆破凿除）及地面设计标高以下回填夯实土方。

Party B should complete the earthwork excavation and transport out

include rock blast chiseling and earth backfill compaction under the
around elevation by design on the basis of data which provided by
party A , on the geological survey, the original natural ground
elevation topography maps and the ground floor elevation design
construction plans (design elevation refers to the total outdoor
floor plan design elevation).

第二条 施工内容 Article Second Construction Contents

一、地表青苗、杂物及垃圾(迁坟)等清运红线外，挖土(或石方爆破凿除)、边坡
修整(如果需要)、装卸、运输。乙方自我合理确定红线内土方平衡调配施工方案
高挖低填、分层摊土(含人工摊土)、分层碾压(或夯实)平整，余土和爆破后的石
头(块)或石渣外运至红线外弃土石堆放点。

Removal of seeding, debris and garbage, graves migration, excavation

(or chiseled rock blasting), slope trimming , if required, load and
unload, transportation, Party B at its sole option determine the
construction program of earth balance within the red line, to deploy
high-digging low fill, layered soil booth (include manpower soil),
leveling by the layered grinding (or tamp), remained soil and stones
(block) after blasting or gravel conveyed to discarded stone pile
outside the red line point.

二、做好工作区内所需的临时道路的修理、维护(包括铺防滑、防陷材料)。做好
场内土石方施工期间排水。

Do the repair and maintenance of temporary road within the work zone
include laying the material for anti-slip and anti-pit trapping, as
well as drainage during construction within work zone.

第三条 单价、总价、结算 Article Three Unit Price, Total Price and
Settlement

一、综合包干单价：Lump sum price

1、挖(爆破)土石方(含红线内运输回填压实)： 元／立方米

The price of digging ( blasting) earthwork including

transportation and backfill compaction within red line: Yuan /
Cubic Meter.

2、剩余土石方(挖或爆破)外运红线外： 元／立方米

The price of transportation of remain earth (digging or blasting)

beyond red line :

Yuan / Cubic Meter.

综合包干单价不分土壤(淤泥)及岩石类别，不分含水率（干湿程度），不论
挖填土和石方爆破凿除深度(高度)、 不分运距，以及现场地表地下的实际情况
均按第二条施工内容，包括但不限于人工费、机械费、材料费、管理费、利润、
规费、水电费、税金以及有关部门收取的 渣土垃圾处理费等，并已充分考虑了
必要的施工费用增加及所有不可预见费用（含风险包干费）在内，综合单价一次
包干，结算时不作调整。

The unit price of comprehensive lump sum shall, regardless of the

category of soil/silt, moisture (in which wet and dry degree),
regardless of depth / height of digging or filling chiseled,
regardless of transport distance and actual situation on and under
ground at site, be subject to the stipulations of Article Second
thereby any and all fees including labor, machinery , material,
management, profits, miscellaneous, water / electricity, taxes, and
fees of garbage / waste disposal charged by authority. The lump sum,
including all costs and fees and has been taken full consideration of
necessary increase for construction and all unforeseen costs, shall
not be made any adjustment.

二、合同总价：Lump Sum of Contract

  

计算程式：土石方总量×综合包干单价Calculation: gross earthwork ×

lump sum price

工程量计算原则：根据甲方提供的原地形地貌标高图和施工后的设计标高图
计算挖（爆破）土石方量。计价时只有挖(爆破)及红线范围内土石方平衡后剩余
外运土石方量才计算工程量，回填土石方已经在包干单价里已综合考虑，不再不
计算工程量。

Principle of calculation of engineering sum shall be pursuant to the

original elevation topography maps and elevation after construction
design diagram by which to calculate the earth amount of digging
(blasting). Respect to price calculation only digging (blasting) and
out-transportation of remain earthwork after balance within red line
shall be calculated into engineering sum. Earth backfill has been
taken into account in the lump sum price so shall not be calculated
again.

三、结算 Settlement

l、结算总价原则上不变，只有下列情况存在时才可以调整。

The total price of contract is unchanging in principle, only except

following circumstances, may be adjusted:

A、当设计标高发生变更。 Where the design elevation having been

alteration or amendment.

B、土石方运出红线外。Translation of earthwork to beyond red line.

C、甲方提供的原地形地貌标高图，乙方进场施工时甲乙双方和勘测单位联
合重新测量核对标高确实存在差距的。

Actual existence of diversity and difference being found between

the original terrain elevation chart provided by party A and the
elevation of united re-measurement by parties hereto jointing
surveying company at the time of party B’s entering for
construction.
  

D、乙方不全面履行合同。 Party B’s failure of full performance

of contract.

2、如果因工程设计变更（标高发生变化）或剩余土石方运出红线外产生的
费用按天然实方体积乘以综合包干单价，即得合同调整价。

Any and all costs which occurred arising out of alteration or

modification of engineering design (elevation changes) or
transportation of earthwork beyond red line shall be calculated by
the means of multiplying the actual volume by lump sum, viz. the
calculation thereby is equal to the adjusted price of contract.

3、竣工验收合格后，乙方编制结算书报甲方审核。

Party B should, after final acceptance, make preparation of

Settlement Report for party A’s audit and check.

4、投标和签订合同前，乙方已认真详细地踏勘了施工现场，投标时也充分
考虑了各种费用及风险。因此不论现场实际情况如何，均不应签证增加工程费用
或调整综合包干单价。

Party B, prior to bidding and signature of contract, has been make

careful and detail reconnaissance of the construction site in
addition to take full consideration of all costs and risks thereof,
accordingly none of any added construction cost or adjustment of lump
price shall be signed or agreed.

5、结算时提交竣工结算调查审批表。

To submit the Statement of Survey / Approve for Completion

Settlement.

第四条 工期、质量 Article Four Project Term and Quality

 一、日历工期总天数： 天。开工时间以甲方通知为准。

The total calendar days of project term : days. The date of

commencement shall subject to the Party A’s notice.

二、挖土质量和石方爆破凿除要求

The requirement of excavation and rock blasting chiseling.

l、控制挖土和石方爆破凿除标高，尽量避免设计标高以下的土或岩石受到
扰动。

To control the elevation of excavation and rock blasting chiseling

and use its reasonable efforts to avoid the disturbance of soil and
rock bellow the designed elevation.

2、异常地段应采取可靠的措施，确保边坡不塌方。

Taking reliable measurement in the abnormal area for ensuring no

collapse of slope.

3、清底平整后的地面应满足设计标高要求。

The ground after leveling off should be satisfaction of designed

level requirement.

4、挖土和石方爆破凿除后的的边坡应确保平整，否则由此增加的边坡修整
等处理的费用由乙方承担。

The slope after making excavation and rock blasting chiseling should
ensure smooth and level off, otherwise, added cost for slope trimming
shall be born by party B.

三、填土质量要求 Quality Requirement of Filling

 1、填土密实度应达到90％以上。每层应按规定进行密实度检验。密实度没
有达到90％的应补夯碾压，达到要求后才能进行上一层回填。

Filling density should reach more than 90%. The test of density of
each level should be carried out. Provided that if failure of density
reaching 90%, should be re-tamped and grinding to reach the
requirement before backfilling.

2、填土之前，将洼坑内的杂物、淤泥清理干净，不得有积水。

All debris, silt in the hollow pit should be cleared and moved,
without water, before felling.

3、以粘性土为填料，碎石、草根、树木含量不大于8％。

If, with clay as filler among which the content of gravel, grass,
trees should be less than 8 %.

4、人工蛙式夯实每层20-30CM，夯3-4遍。机械碾压每层30-50CM，夯6-8遍

Each level of 20-30CM filling should be tamped by artificial

breaststroke compaction for 3-4 times in addition to each level of
30-50CM filling should be tamped by machine compaction for 6-8 times.

四、其他技术要求按《土方与爆破工程施工及验收规范》GBJ201-83执行。

The executions of other technical requirement shall subject to EARTH

AND BLASTING CONSTRUCTION AND ACCEPTANCE NORMS (GBJ201-83).

第五条 工程款支付 Article Five Payment for Project

1、甲方不支付工程预付款。No advance payment for project by party

A.

2、完成至总工程量的20％时支付合同总价的15％。
!5% of total price of project shall be paid by party A for party B’s
accomplishment of 20% amount of total project.

3、完成至总工程量的50％时支付至合同总价的40％。

40% of total price of project shall be paid by party A for party B’s
accomplishment of 50% amount of total project.

4、完成至总工程量的80％时支付至合同总价的60％。

60% of total price of project shall be paid by party A for party B’s
accomplishment of 80% amount of total project.

5、工程全部完工后，支付至合同总价的80％。

80% of total price of project shall be paid by party A for party B’s
accomplishment of total project.

6、验收合格后，双方办理结算手续，结算价确定后，在壹个月内付清工程
款至95％，余下工程款5％的质量保证金壹年内付清。

Parties hereto shall, after acceptance of project, conduct settlement

procedures and decide and confirm the settlement price for which
shall be paid 95%, however, remain 5 % of quality guarantee shall be
fully paid off within one year thereafter.

第六条 双方的责任、义务 Article Six Responsibility and Obligation

一、甲方的责任、义务Responsibility and Obligation of Party A

1、向乙方提供地下管线、临近构筑物等地下情况资料。
Shall make available to party B with data and information of
underground pipelines and other structures close to the project site.

2、进行技术交底，提供施工图，指定水源、电源接驳点。

Making technical clarification, provide construction plans and

drawing, appoint water source and power connection point.

3、负责与设计单位及其它单位进行联系，协调有关事宜。

Responsible for taking connection with the design unit and other
concerned units on related matters.

4、提供测量的地形地貌、自然地面标高图以及地面的设计标高施工图。

Shall make available to party B with the elevation maps of topography

and natural ground, as well as the construction plans of designed
elevation.

5、对施工进度及质量进行监督检查。

Making supervision and inspection of construction progress and

quality.

二、乙方的责任和义务 Party A’s Responsibility and Obligation

1、编制施工组织设计、土方平衡调配施工及现场排水组织方案，报甲方审核。

Preparation of the scheme on construction design, earthwork balance

and site drainage shall be submitted party A for exam and check.

2、乙方负责办理爆破等必要的施工手续，严格按国家规定的《爆破安全技术操
作规程》作业。
Party B shall be responsible for necessary procedure concerning
blasting operation and conduct operations in strict abide by RULE OF
BLASTING SAFETY TECHNICAL OPERATION stipulated by State.

3、必须听从监理、甲方现场工程人员的指挥，配合做好护坡施工，确保挖土过
程中不发生塌方。

Shall obey the direction of supervision and party A’s engineering

and take coordination of construction of slope protection to ensure
no collapse, during the process of excavation, occure.

4、对工程质量、进度、安全负有全部责任。

Shall take full responsibility of the quality, schedule and safety

related to this project.

5、指派现场代表，按期参加工程例会，接受甲方的监督、检查和工作安排

Shall assign the field representative to participate the schedule

meeting on project and accept the supervision, inspection and work’s
arrangement by party A.

6、严格按批准后土方平衡调配施工方案进行施工。挖土过程中, 如果出现异
常地质情况，应及时通知甲方。

Carry out the construction of earth balance subject to in strict the

approved program. Where the abnormal geological circumstances occur
during the excavation process party B should notice party A with the
same.

7、除红线场内土石方平衡调配外，多余的土石方（含地表青苗、杂物及垃圾
等）乙方必须将其运至红线外，自找丢弃场地，运输中如果造成道路污染，责任
自负，费用自理。
Party B should, except to earth balance within red line, transport
the remain earth including seeding, debris and garbage, etc. to
outside red line and find dump place at its own discretion, if, any
road being contaminated in transportation, the liability and fees
thereof shall be on party B.

8、甲方将施工场地移交给乙方后，乙方应对施工场地发生的一切负责，若发
生非政府原因（如当地居民或闲杂人员干扰施工），或非甲方指令影响施工而导
致工期拖延及财产的损失，由乙方自行承担。

Party B should, after party A transfer the construction site to party

B, take full responsibility for any and all matters occurred in site,
in addition to bear the liabilities which occurred in case of non-
authority reason such as interference to construction by local
residents or non-staff, or non-party A’s direction which prejudice
or affect construction and bring on delay of work and loss / damage
of property.

9、合同规定由乙方完成或提供配合的工作，如乙方拒绝完成或不能按约定完
成，甲方即可安排其他单位完成，为此支付的相关费用（另加15％的管理费），
应从乙方当期工程款中扣出，影响工期的责任由乙方负责。

Any work which should be completed or being provided cooperation by

party B in accordance with contract, however if, party B refuse or
fail to complete pursuant to contract, party A may assign other
contractor to do the same and the related costs which have been paid
by party A therefore in addition to 15% fee of management shall be
deducted from work payment of current term and the liability
prejudicing work term shall be on party B.

10、制定合理的土石方平衡调配施工方案，做到文明施工，确保场内安全畅
通。

The preparation of reasonable schedule of earth balance construction

and do civilization construction to ensure safe and unblocked within
Site.

 
 1l、施工中如果损坏他人建筑物或其他物品，应按实际价格赔偿。

Provided that party B during construction damage other’s building or

items, party B shall make compensation on the actual price of the
damaged objects.

12、乙方人员发生工伤事故或因乙方原因给他人造成伤害的，承担全部责任
赔偿经济损失。

In case of any job injure to party B’s person or other person’s

injure by the party B’s reason, party B should assume full
responsibility and make compensation of economic loss incurred in
consequence thereof.

13、施工过程中，如果因乙方原因，引起附近住户投诉，造成当局部门干预施工
相关事宜，乙方自行处理并承担相关费用。

Provided that if party B’s reason during construction cause nearby

resident’s complaint and authority’s intervene to related issues of
construction, party B shall deal with and bear corresponding cost.

14、施工报批备案等手续及费用自理。

The procedures of application for construction approval / filing and

fees therewith shall be on party B itself.

15、乙方必须遵守甲方的施工现场管理规定。

Party B should comply with the rules of site management stipulated by

party A.

16、乙方接到开工令3天内，若不能按投标时承诺的机械数量进场施工，每
拖延一个机械台班罚款1000美元；经书面要求改正后，7天仍无实质性改进的，
甲方有权单方面解除合同。乙方接到书面通知三天内必须无条件退场，并接受其
它违约条款的处理。
Provided that if party B, within three days upon receipt of
Commencement Order, fail to enter site for construction with full
amount of machines which as commitment by party B when its bidding,
each delaying set/work day shall pay a fine of 1,000 US Dollar, if,
party B has no substantial improvement after giving seven day’s
written notice of correction, party A is entitle to make unilateral
termination of contract. Party B should, within three days upon
receipt of written notice, unconditionally exit site and accept the
settlement pursuant to other default term hereof.

17、工程竣工验收并达到合同验收要求，乙方不得因经济纠纷而拒绝交付工
程。

The acceptance of project completion should be satisfaction to the

requirements of acceptance, party B should not refuse to deliver the
completed project by the reason of economic dispute.

18、竣工时必须进行场地5米×5米方格网的标高测量验收，并绘制竣工图，
达不到设计标高要求的，必须整改至符合要求为止，否则甲方不予验收结算。

The acceptance of elevation measurement with 5×5 (meter) square grid

in site should at the time of completion be carried out in addition
to built drawings. Provided that if failure of satisfaction to the
design requirement, necessary remedy and correction should be proceed
till to in conformity of the requirements, otherwise party A in
entitle to refuse to make acceptance and settlement.

19、只有当红线内填方区压实平整达到设计标高后，不需要土石方，挖方区
内的土石方才可运至红线外。

The compaction and level of the filled zone within red line have been
reached to the design elevation and no need of earth again, the earth
within earth excavation can be transported to outside red line.

第七条 处罚 Article Seven Breach Penalty

 一、乙方有下列情形之一者，按违约论处，甲方有权处以罚款，但总额不超
过合同总价的20％：

Any of the following events by party B shall deemed as default and

breach of contract for which party A has right to put punishment of
fine which amount not exceed 20 % of total contract price.

1、未按规定时间向甲方提供施工组织设计、土石方平衡调配施工方案的，
按合同总价罚1％。

Failure within the stipulated time to submit Construction Design,

Schedule of Earthwork Balance shall be under punishment of fine which
equal to 1 % of total contract price.

2、未按批准的土石方平衡调配施工方案施工的，按合同总价罚1％。

Failure of construction pursuant to the Schedule of Earthwork Balance

shall be under punishment of fine which equal to 1 % of total
contract price.

3、运出红线以外的杂质土或石块，若给甲方造成经济损失的由乙方全额承
担。

Provided that if transportation of wasted earth or rock by party B

bring out economic loss and damage to party A , party B shall take
full responsibilities therewith.

4、不服从甲方合理安排，或在设计标高以下挖土的，按合同总价罚款1％。

If, refusing to obey party A’s reasonable arrangement or excavation

conducted under design elevation shall be under punishment of fine
which equal to 1 % of total contract price.

5、没有按甲方要求或合同工期完成任务，拖延工程总进度，每拖延一天按
暂定合同总价罚款0.5％，以此类推。
Failure to complete the commission under party A’s requirement or
contract term and delay Work’s progress, each and every day of delay
charged a fine of 0.5 % of total contract price, and so on by
analogy.

6、待整体工程交工验收后，任何一处因回填土密实度不够，导致地面下沉
而引起上部构筑物破坏的，乙方自费进行整改，质保金罚没。

Provided that after acceptance and delivery of overall project

anywhere insufficient of compactionness of backfill compaction and
bring on ground subsidence which leading to damage of upper building
for which party B should make remedy or rectification at its own
expense, the retention money shall be confiscated by party A.

7、乙方不能全面履行或不能履行合同时，甲方有权扣除部分或没收履约保证金

Provided that party B’s failure of full performance or unable

performance, party A is entitle to deduct parts of or confiscate
party B’s performance bond.

二、甲乙双方中任何一方，单方面终止合同为毁约，因毁约给对方造成的损失按
实赔偿，并处以合同价30％的罚款。

Unilateral termination of this contract by each party hereto shall be

deemed as repudiatory breach for which party B shall make
compensation to opposite party under actual loss and be punished a
fine of 30% of contract price.

第八条 履约担保 Article Eight Performance Guarantee

签订合同前乙方向甲方提交 美元履约保证金，待工程完工至总工程量的
50%时（无违约）退还50%的履约保证金（不计息），验收合格（无违约）后10天
内一次性退还保证金余额（不计息）。

Party B should before signature of contract submit performance bond

of US Dollar to party A, 50% of bond without interest shall be
refund to party B ,if, no breach by party B, at complement of 50%
total work amount; remain sum of bond shall be refund in a lump sum
without interest within ten days after acceptance.

第九条 其它 Article Nine Miscellaneous

一、未尽事宜，双方协商解决。协商不成，直接向项目所在地人民法院诉讼。

The outstanding issues shall be under negotiated settlement by

parties hereto, if, fail to settle by negotiation, any party can
initiate a lawsuit to court at the project’s place.

二、甲方必须将工程款付至乙方指定帐户。

Party A should effect payment of engineering to the bank account

designed by party B.

二、本合同壹式陆份，甲方肆份，乙方贰份，甲乙双方签字盖章后生效。

This contract is made in six copies which effective by signature /

seal of parties hereto and for four copies held by party A and two
copies held by party B,
