SQUARE today symbolizes a name – a state of mind. SQUARE Pharmaceuticals Limited is the
largest pharmaceutical company in Bangladesh and it has been continuously in the 1st position
among all national and multinational companies since 1985. Mr. Samson H Chowdhury was the
founder of SQUARE Pharmaceuticals. When asked Mr. Samson H Chowdhury why the name
SQUARE was chosen he remembers - "We named it SQUARE because it was started by four
friends and also because it signifies accuracy and perfection meaning quality".

Converted into a public limited company in 1991 and listed with stock exchanges in 1995. The
turnover of Square Pharma was Taka 30.28 Billion (US$ 385.22 million) with about 18.64%
market share having a growth rate of about 25.36% (April 2014– March 2015).

Cost leaders also carefully examine all support activities to find additional sources of potential

Company Profile:
ACI was established as the subsidiary of Imperial Chemical Industries (ICI) in the then East
Pakistan in 1968. After independence, the company has been incorporated in Bangladesh on
the 24th of January 1973 as ICI Bangladesh Manufacturers Limited and also as Public Limited
Company. This Company also obtained listing with Dhaka Stock Exchange on 28 December,
1976 and its first trading of shares took place on 9 March, 1994. Later on, 5 May, 1992, ICI plc
divested 70% of its shareholding to local management. Subsequently the company was
registered in the name of Advanced Chemical Industries Limited. Listing with Chittagong Stock
Exchange was made on 22 October 1995

Mr. M Anis Ud Dowla, the Chairman of ACI Limited, is one of the most successful personalities
in Bangladesh business circle. He has maintained a high profile, and has provided leadership to
business community in different capacities. Mr. Dowla served in the British Oxygen Group of UK
in Pakistan, Bangladesh and Kenya for 27 years, including 12 years as Managing Director of
Bangladesh Oxygen Ltd. In 1987, he became the Group Managing Director of the three ICI
companies in Bangladesh. With experience gathered while working with British Multi-nationals
for over 32 years, Mr. Dowla has continued to maintain the multinational culture and
management style in ACI, with especial emphasis on quality, productivity and customer
services.

Mr. Dowla was the President of Narayangonj Chamber of Commerce and Industries in 1977. He
has since been elected President of the successor trade body named Metropolitan Chamber of
Commerce & Industries in 1978, 1995 and 2010.

Mr. Dowla has considerable contribution in the field of Industrial Relations of the country. He
was elected President of Bangladesh Employers’ Association for four terms, the only national
employers’ organization, in 1975-1976, 1976-1977, 1991-1992, 1992-1993 and also elected as
President of Bangladesh Employers’ Federation for two terms in 2003-2004 and 2004-2005.

Organizational Structure:
The directors are responsible for the Company's system of internal financial control. Although
no system of internal control can provide absolute assurance against material misstatement
and loss, the Company's system is designed to provide the directors with reasonable assurance
that problems are timely identified and dealt with appropriately. Key procedures to provide
effective internal financial control can be described in following heads:

•Management structure - The Company is operating through a well defined management


structure headed by chief executive officer (CEO) under whom there are executive directors,
general managers for various departments and according to hierarchy, various senior and mid
level management staffs. The CEO and the executive directors, general managers meet at
regular intervals represented also by finance, marketing and personnel heads.

•Budgeting - There are comprehensive management reporting disciplines which involve the
preparation of annual budgets by all operating departments. Executive management reviews
the budgets and actual results are reported against the budget and revised forecasts are
prepared at regular intervals.

•Asset management - The Company has sound asset management policy, which reasonably
assures the safeguarding of assets against unauthorized use or disposition. The Company also
follows proper records and policy regarding capital expenditures.

•Functional reporting – In pursuance with keeping the reliability of financial information used
within the business or for publication, the management has identified some key areas which
