In order to have opportunity to obtain credit terms, this application must be filled out
completely. A current financial statement and / or personal guaranty may be necessary.

Agreement : Applicant agrees that extension of credit by China Food USA shell be subject to
and in consideration of the following term and condition

1. All amount due will be promptly paid but never later than due date as indicated on
each contracts or each invoice under heading “terms”
2. Applicant will reimburse China Foods USA for all collection costs, including reasonable
attorney’s fees, collection fees, and litigation costs, incurred in connection with the
collection of any indebtedness owed to China Foods USA . Applicant agrees that all
past due obligations will bear interest at the rate of 12% per annum or the maximum
rate permitted by law.
3. In the event that any invoice is not paid within ten (10) days of due date, Seller may
declare all other invoices on Applicant’s account immediately due and payable.
4. Applicant certifies that all information contained herein and all statements and
information submitted hereunder are true and correct. Further, applicant understand
that China Foods USA will rely on such information and statements for the extension
of credit to Applicant.
5. The applicant authorized the creditor, China Foods USA to obtain a written or oral
credit report from any credit reporting agency. The applicant further authorizes any
bank or commercial business with whom the applicant is doing or has done any type
of business to give any and all necessary information to the creditor in the credit
investigation. The applicant further authorizes the creditor to reinvestigate the
applicant’s credit status from time as the creditor deems necessary.
6. Applicant agrees that this agreement shall be construed in accordance with the State
of California law and further agrees that China Foods USA may bring action to enforce
the terms of the agreement in any court of competent jurisdiction.

Personal Guarantee : Attached unlimited guaranty contract must be signed and returned
to China Foods USA in original before credit application can be processed.

UNLIMITED GUARANTY COTRACT

THIS GUARANTY CONTEACT IS MADE THIS ___ day of ______, 20___. By and between
China Foods USA at 916 Ajax Ave. City of Industry, CA 91748

And ___________________________________________________________________

(“Guarantor”)
1. Inconsideration of extensions of credit by China Foods USA to __________________ (“Debtor”), the Guarantor hereby guarantees
prompt payments China Foods USA of all indebtedness of Debtor to China Foods USA now existing or hereafter created.
2. The term “ indebtedness” as used herein shall include principal amount due Chins Foods USA from debtor (whether evidenced by
invoices, account books, promissory notes or otherwise), interest on said amounts, and all expenses, court costs and attorneys
fees, paid or incurred by China Foods USA in any effort to collect from debtor all or any part of said amounts and interest of
enforcing this guaranty.
3. Guarantor may by written notice terminate his liability as to any indebtedness arising or created after receipt of such notice by
China Foods USA, provided, however, that any such termination shall have no effect upon the guarantee of payment of any
indebtedness created or arising prior to the date of receipt of such notice by China Foods USA.
4. All notices required to be given in writing hereunder shall e sent by certified mail to China Foods USA at the office address shown
in the initial paragraph above.
5. It is agreed that none of the following acts or omissions by China Foods USA shall have effect upon the liability of Guarantor on
this guaranty :
a. Any sale, pledge, compromise, renewal, extension, increase, modification or other disposition of any of security there for ;
b. Acceptance of additional guarantor and/or security for any of the indebtedness ; or
c. Failure to realize upon or protect any of the indebtedness or any security there for or to exercise any remedies that China
Foods USA have.
6. China Foods USA shall have the sole right to determine how, when and what application of payments and credits, if any, shall be
made on the indebtedness, and the exercise of such right shall have no effect upon the liability of Guarantor on this guaranty.
7. Guarantor hereby expressly waives :
a. All diligence by China Foods USA in collection of indebtedness or protection of security ;
b. All protest and notice as to anyone, including the undersigned or non-payment by Debtor ;
c. All protest and notice of future credit extended to the debtor and any security and collateral there for ; and
d. All protest and notice of modification by China Foods USA of Debtor’s terms of payment.
8. This Guarantee shall be binding upon the heirs, executors, administrators and successors of Guarantor and shall inure to the
benefit of any may be enforced by China Foods USA, its successors and assigns including any person to whom all or any part of
the indebtedness may be sold or transferred, provided, however, that in the event such sale or transfer enforce the guaranty as
to that portion of the indebtedness retained owned by it.
9. If Debtor defaults in its payment on all or any portion of the indebtedness, China Foods USA may commence an action to enforce
this guaranty on each portion of the indebtedness as to which Debtor id then in default. Any such action on one or more portions
of the indebtedness shall constitute a waiver of China Foods USA’s right to bring additional actions on other Portions of the
indebtedness as to which Debtor is subsequently in default, China Foods USA shall not be required to exhaust it legal remedies
against Debtor prior to commencing any action to enforce this guaranty.

10. If more than one guarantor execute this contract, the use of the singular with respect to Guarantor shall be construed to include
the plural and their inability hereunder shall be joint and several, in such event, suits for the enforcement of this guaranty may be
brought successively against on or more of Guarantors and China Foods USA May settle with any one of the Guarantors without
releasing or impairing its rights against between the Guarantors, not impair the rights of the Guarantors among themselves,
including the right of contribution or subrogation.
11. If one or more of the provisions contained in this guaranty, shall for any reason, be held to be invalid, illegal or unenforceable in
any respect, such invalidity, illegality or unenforceability shall not effect any other provision hereof, and this guaranty shall be
construed as if such invalid, illegal or unenforceable provision had never been contained herein. Additionally, in lieu of such
illegal, invalid or unenforceable provision, they shall be added automatically as part of this guaranty, a provision as similar to such
former provision as shall be legal, valid and enforceable so long as such is agreeable to the parties hereto.
12. This guaranty shall be construed in accordance with the laws in the state of California.
13. This document contains the entire agreement between China Foods USA and Guarantor and may not be modified except by
written amendment mutually agreed upon by China Foods USA and the undersigned.
