(THE BUYER )
IN CONSIDERATION OF THE COVENANTS and agreements contained in this purchase
agreement the parties of this agreement agree as follows:

Sale of Goods
1. The seller will transfer and deliver to the Buyer the following Buses,and perform the
below services ,on or before the______day of__________,2020.
2. The Seller will sell 11buses as listed below with the value of ​$588,400.00​ to the Buyer in
return the Buyer shall pay the amount in full as agreed in this purchase agreement.

 3. If the Buyer fails to pay in full amount for the Buses purchased in apariod of 12 month
the Seller will have full Authority to confiscate and retake Goods as agreed in this
purchase agreement and no refund shall be provided.
4. Risk of Loss
The risk of loss from any casualty to the Buses ,regardless of the cause, will be on the
seller until the Buses have been received by the Buyer.The Buyer will provide, at its own
expense , insurance on the Buses insuring the seller’s and the Buyer’s interest as they
appear,until payment is full to the seller.

5. Warranties
THE BUSES ARE SOLD “AS IS” AND THE SELLER EXPRESSLY DISCLAIMS
ALL WARRANTIES,WHETHER EXPRESS OR IMPLIED, INCLUDING BUT
NOT LIMITED TO , ANY IMPLIED WARRANTY OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE​.The seller does not assume , or
authorize any other person to assume the behalf of the seller with any liability in
connection with the sale of the Buses.The seller’s above disclaimer of warranties does
not,in any way. affect the terms of any applicable of any applicable warranties from the
manufacturer of the Buses.

6.The Buyer has been given the opportunity to inspect the Buses or to have them
inspected, and the Buyer has accepted the Buses in it’s existing contusion.

7​. ​Title
Title to the Buses will remain with the seller until payment is done in full.

8.​Security
The seller retains a security interest in the Buses sold, until paid in full.

9.​Cancellation
The seller receives the right to cancel the agreement:
● If the Buyer fails to pay the Agreed amount in full in a period of 12 months
● In the event of the Buyer’s insolvency or bankruptcy; or
● If the Seller deems its prospect of payment is impaired

10.​ ​Mediation
If any dispute related to this agreement between the seller and the Buyer is not resolved
in informal discussion within 5 business days from the date a dispute arises, the parties agree to
submit this issue before a judge in the courts of law . The costs of this process will be paid by
the Buyer .

11. This agreement constitutes the entire agreement between the parties and there are no
further items or provisions, either oral or written otherwise. The Buyer acknowledges that it has
not relied upon any of the seller's prospective performance of the buses sold ,but has relied
upon its own inspection and investigation for the subject matter.
