HAULING CONTRACT AGREEMENT

KNOWN TO ALL MEN PRESENTS:

This

-Witnesseth that-

WHEREAS, The FIRST PARTY is the Mining Contractor of SAPROLITE

NICKLE ORE, which operation in MARCVENTURES MINERALS
DEVELOPMENT CORP., located in Cantilan, Surigao Del Sur;

WHEREAS, The SECOND PARTY, is desirous to provide hauling services to the

FIRST PARTY;

WHEREAS, The FIRST PARTY has accepted the SECOND PARTY to render the
services required by the FIRST PARTY subject to the condition herein after set
forth;

WHEREAS, thental basis of Php 190,000.00;

• That Drivers are compensated by the contractor for a monthly
salary basis of Php 25,000.00 excluding meals

3. ADVANCES and PREVILEGES

Both parties agreed to the following agreement set below here;
• Cash advance to each unit amounting to Php 70,000.00
deductible on the first billing;
• All dump truck units are free of fuel charges during the mining
operation;
• All dump truck units are free of 10 tires on every 4 months
operational in the mining area.
• All dump truck units are free of lubes on every 10,000 kilometers
and counting started during the actual mining operation.

4. BILLING PERIOD AND PAYMENT TERM

Billing cut of shall be 15th and 30th day of the month and Payment will be
10 days after the billing statement cut off of the first party. This payment form
means that every 10th and 25th day of the month, the first party will issue their
check payment to the second party.

5. LIMITATIONS OF LIABe second party will abide the rules and

regulation provided by the first party;

WHEREAS, the SECOND PARTY shall oblige for an 8 hours operation base on
per weather working condition of mining operation of the FIRS PARTY;

NOW THEREFORE, for and in consideration of the foregoing premises, the

parties here to have agreed to enter a contract of hauling Nickel Ore subject to
the following terms and conditions:

1. SCOPE
The services agreed to the SECOND PARTY shall supply _____ units of
ten wheeler Dump trucks in A1 condition, thick ply and having water braking
system, with minimum capacity of 20.0 cubic meters (all are China Units);

2. CONTRACT PRICE
Both parties agreed to the following agreement set below here;
 • That the agreement shall be on a monthly rILITIES
FIRST PARTY’s obligation shall only be limited to SECOND PARTY and no
other party shall be involved. There will be no employee-employer
relationship between the staff/workers of SECOND PARTY and the
management of the FIRST PARTY;

2.1.Divers and maintenance staff of the SECOND PARTY shall be liable on

all accidents cause by reckless imprudence, poor monitoring of trucks
conditions or any form of negligence that results to death, injury, or any
event of the same nature;

7.1.SECOND PARTY shall ensure that they will practice prudence while
they are on the operation to protect the environment and shall abide the
rules and regulation imposed by the appropriate Government Agencies
that monitors the environmental status of our mining company and its
neighboring barangays.

7.2.SECOND PARTY shall follow the rules and regulations imposed by the
Administrative Department of the Mining Concessioner (MMDC) who
governs the proper disposals of all hazardous and waste inherent to
mining operation;
8. OTHER CONDITIONS

8.1.FIRST PARTY shall provide area for repair shop, bunk house, water and
power supplies, to the SECOND PARTY’s equipment’s and staff;

8.2.SECOND PARTY shall present and provide necessary legal documents

such as but not limited to OR-CR, Power of Attorney (for not owned
equipments), and driver’s license to FIRST PARTY to ensure the legality
of their entity;

8.3.SECOND PARTY in their own cost shall provide their employees’ wages
and benefits as mandated by Department of Labor and Employment
(DOLE);

8.4.SECOND PARTY shall present and provide complete printed legal

documents of their employees to FIRST PARTY;

8.5.SECOND PARTY shall provide insurance coverage of their personnel

and equipments which makes FIRST PARTY free from any insurance
claims on the tenure of operation;

8.6.In case of damage/s of property, injury and loss the second party’s
helper/drive and units, shall be thy sole responsible of the second party;

9. EFFECTIVITY AND TERMINATION OF CONTRACTS

9.1.This CONTRACT shall take effect upon signing of both parties and will
be valid for one mining season;

9.2.This CONTRACT will be renewable after every mining season but

subject to approval of both parties;

9.3.Any violation of this contract can be a ground for termination without

prejudice to the FIRST PARTY;
 9.4.Any communications will be sent through proper letters, faxes, and e-
mail documents;

IN WITNESS WHEREOF, we hereby set our hands at the Philippines. This

9.5.The SECOND PAR TY shall pay the to its own employees all
compensation mandated by law such as SSS, Phil-Health, and Taxes;

9.6.The SECOND PARTY shall free the FIRST PARTY in all form of claims or
accidents caused by their employees or Drivers, Operators, Maintenance
Staff, and other workers;

10.SAFETY

• For safety purposes, the SECOND PARTY and its entire staff shall follow
the safety rules and regulations imposed by the MMDC Administration
as well as Government Agencies concerning about proper mining and
operations;

• SECOND PARTY and its entire staff shall follow the rules and regulation
imposed by the Safety and Health Department of the FIRST PARTY;
