Invitation to Bids

Central Directorate of National Savings (“CDNS”), an Attached Department of


Finance Division as per Schedule III of Rules of Business, 1973, invites Sealed
Technical and Financial bids from the Banks whose proposal or bids have not been
rejected in 1st Stage and who are willing to conform their bids to the revised technical
requirements for hiring of services for AML-CFT Compliance in CDNS in line with
National Savings Schemes (AML - CFT) Rules, 2019, AML Act, 2010 and FATF
recommendations for:
i. CDNS existing customers (Approximate 4 Million)
ii. CDNS new customers
2. Bidding Document may be obtained, free of cost, from the office of the
undersigned or downloaded from PPRA website: ppra.org.pk or CDNS website:
savings.gov.pk.

3. Proposal prepared in accordance with the instructions contained in the


bidding documents, must reach at office of the undersigned on or before March 19,
2020 (Thursday). Bids will be opened on same day at 2.00 pm at Committee Room,
CDNS, Islamabad.

4. CDNS reserves the right to accept or reject any or all proposal as per PPRA
Rules 2004. Incomplete and late submission of proposals shall not be considered. Please

SECTION I - INSTRUCTIONS TO BIDDERS (ITB)

1. Scope of Bid
1.1. Central Directorate of National Savings, having its principal place of business at 23-N,
G-6 Markaz, Islamabad hereinafter called the “National Savings”, issues this Bidding
Document to invite Proposals (technical & financial) for second stage in accordance
with ‘Two stage bidding procedure’ as detailed in rule 36(c) of Public Procurement
Rules, 2004 from the Banks whose proposal or bids have not been rejected in 1st Stage
and who are willing to conform their bids to the revised technical requirements for
hiring of services for AML-CFT Compliance in CDNS in line with National Savings
Schemes (AML - CFT) Rules, 2019, AML Act, 2010 and FATF recommendations.

2. Eligible Bidders
2.1. Bidder who have participated in 1st stage of bidding process and found sufficiently
technically responsive to the requirements of the first stage are eligible to submit the
proposal in 2nd stage
2.2. Bidder who has violated the law of land of any country and recorded in any sanction
list will not be eligible to participate in the bidding/procurement process.

3. One Bid per Bidder


3.1. Each Bidder shall submit only one bid; a bidder who submits or participates in more
than one Bid will cause all the proposals with the Bidder’s participation to be
disqualified.

4. Bid Validity
4.1. The period of Bid validity shall be 180 (one hundred eighty days) after the deadline for
Bid submission.

4.2. The Contract “will not” subject to price adjustment except in case of any tax duty or
levies imposed by the Government during the pendency of the contract.

5. Bid security
5.1. Bid security not less than PKR 100,000 in the form of Pay Order / Bank Draft in favor of
Director General, National Savings must be accompanied by Financial Bid/Proposal in
sealed envelope.
5.2. Bid found without bid security will be rejected.

6. Cost of Bidding
6.1. The Bidder shall bear all costs associated with the preparation and submission of its
bid, and the Bank will in no case be responsible or liable for those costs.

7. Visit to Bank premises


7.1. The Bidder may wish to visit and examine the site where the Services are to be
provided and its surroundings and obtain for itself on its own responsibility all
information that may be necessary for preparing the Proposal and entering into a
contract.
7.2. The costs of visiting shall be at the Bidder’s own expense.
7.3. No visits shall be arranged or scheduled after the deadline for the submission of the
Bids and prior to the award of Contract.

8. Clarification of Bidding Documents


8.1. A prospective Bidder requiring any clarification of the may notify the Procuring
Agency in writing at the given address and by one of the means indicated in the BDS. In
accordance with provision of Rule 32 of PPR 2004, if a Bidder feels that any important
provision in the documents will be unacceptable; such an issue should be raised as
soon as possible. The agency will respond in writing to any request for clarification or
modification of the that it receives no later than seven (07) days prior to the deadline
for submission of bids. Copies of the Bank’s response (including an explanation of the

query but not identifying its source) will be sent to all prospective Bidders that
received the Bidding Documents from the agency.
8.2. When specified in the BDS, the Bank will organize and Bidders are welcome to attend a
pre-bid meeting at the time and place indicated in the BDS. The purpose of the meeting
will be to provide clarify on scope of services and to answer questions that may be
raised at this stage, with particular attention to issues related to the Technical
Requirements. Minutes of the meeting, including the questions raised and responses
given, together with any responses prepared after the meeting, will be transmitted
without delay to all those that received the Bidding Documents from the Bank. Any
modification to the Bidding Documents which may become necessary as a result of the
Pre-bid Meeting shall be made by the Bank only by issuing an Addendum pursuant to
ITB Clause 9 and not through the minutes of the pre-bid meeting.

2. Evaluation of Technical Part

C. Evaluation of Financial Part

D. Acceptance Criteria
1.1. As per PPRA Rule 36(c) - Two Stage bidding procedure, the proposals will be evaluated
technically first. The Technical and Financial Proposals shall allocated 60 and 40 marks
respectively. In Evaluation of Technical Bids 36 out of 60 marks are the qualifying
marks. Financial bids of only qualified bidders will be opened. The distribution of 100
marks and formulae of financial bids evaluations will be as follows.
 Technical Proposal (T) = 60 Marks. (36 are qualifying marks)
 Financial Proposal (F)= 40 Marks.
 Total (T+F) = 100 Marks.
1.2. The technical proposals/bids securing 36 marks i.e. 60% of total marks (60) allocated
for Technical Proposals or more in the technical evaluation will qualify for the next
stage, i.e. financial bid opening. The bidder whose quoted prices are lowest will get the
maximum marks (i.e. 40 marks) in financial evaluation using formulae given below:

1.3. The cumulative effect of both Technical and Financial marks shall determine the

Section VI – Introduction of Organization

Central Directorate of National Savings (“CDNS”) is an Attached Department of Finance


Division as per Schedule III of Rules of Business, 1973 (issued by Federal Government in
exercise of the powers conferred by Articles 90 and 99 of the Constitution of the Islamic
Republic of Pakistan). Key Role of CDNS is to formulate policies on National Savings Schemes
(“NSS”) and offer these schemes to public through its 376 National Saving Centers (“NSCs”)
across the country. These offices are administratively controlled by 12 Regional Directorates
supported by more than 38 auxiliary offices. Further details in respect of historical
perspective, products features and volume of business are available in CDNS website:

A. Nature of Products

Products of CDNS (collectively called NSS) are retail Government debt securities issued to
general public under SRO of each product. Only Federal Government is empowered to issue
these securities. Proceeds of these securities are categorized as non-bank borrowing of
Government under head of domestic debt. These products are issued on tap with free put
option contrary to the other domestic debt products (PIB and T-Bills) which are sold through
auction and redeemable only on maturity. These products are issued for a certained period
ranging from 3 months to 10 years. All the products are non-tradable and redeemable only
from the office of issued. From the operational perspective these are similar to TDRs and
Savings Account.
B. Scale of Products

Outstanding liabilities of NSS as on June 2019 are Rs. 3,933 billion (approximately $ 24
billion) which constitute around 18.9% of overall domestic debt of Federal Government.

C. Current Status of Automation/Digitization


Presently, NSCs are providing services to investors in following three different ambiances i.e.
Manually (on registers) operated in silos, computerized but in decentralized mode and
computerized & Centralized branches. Detail of each category is as under (numbers are
subject to change as the automation project is in progress):
4. Manually (on registers) Operated in Silos

Out of 376 branches, 140 are totally working on registers (hand


written). For each transaction personal presence of the investor is
mandatory. Record of issuance, redemption, profit payment, tax
deduction etc are manually maintained. The record of investors and
transactions is not available in soft form for any analyses.
Usually these branches are located in remote areas therefore; the
share of these branches in total portfolio is less than 30 percent.
Due to manual operation and 1/3 ratio of portfolio the ML/TF
vulnerability is High. These Braches are scattered in difference
regions. Page 21 of 61
CDNS actively working on automation of these 140 manual NSCs with target date of
June 2021 under the Financial Inclusion Program (“FIP”). These NSCs are located in
Peshawar, Abbottabad, Gujranwala, Multan, Bahawalpur, Sukkur, and Quetta.
5. Computerized but in Decentralized Mode
Out of 376 branches, 78 are computerized but working in decentralized environment.
However, branch servers are placed in a centralized location without connecting
braches with each other. Working flow of these branches is identical to manual
branches; the only difference is availability of data in soft form instead of hard form.
35 percent deposits pertain to these branches. These branches are destined to migrate
into the centralized system. Due to lack of integration and absence of whistle blowing
system the level of vulnerability associated with these branches is also High.
6. Centralized Branches
CDNS recently upgraded its core system from decentralized environment to
centralized version. Around 158 NSCs of Karachi, Faisalabad, Gujranwala and Lahore
Regions have been successfully shifted to new system. Portfolio of these branches
makes around 30 percent of total NSS. New system has been upgraded with more
control to counter risk of ML/FT. Different stakeholders including World bank, DFID,
Bill and Melinda Foundation are supporting CDNS to make the system effective and
efficient in terms of service delivery, cooperation with other organizations and
security. However, due to its initial phase and potential integration with sophisticated
ADC the ML/TF risk is High. Further, CDNS has recently taken several impudent
initiatives for revamping of overall infrastructure to improve the customer facilitation.
This includes, revamping of application software from distributed to centralized
architecture, Alternate Delivery Channels (ADCs), membership of NIFT etc.

The selected bank shall be responsible for all activities/processes for AML/CFT compliance
as per National Savings Schemes (AML & CFT) Rules, 2019, FATF recommendations, SBP
requirements and shall be required to perform following functions:

CFT) Rules, 2019, AMLA Act, 2010 and FATF recommendations.
2.2. The bank to get all the information required as per Certificate Purchase Form (DA-1)
and Account Opening Form (SC-1) as amended from time to time. Specimen of
proposed KYC/CDD (DA-1 & SC-1) Forms is Annexed-C.
2.3. The bank to undertake end-to-end onboarding of all existing and new customers of
CDNS after completing AML-CFT formalities as per National Savings Schemes (AML -
CFT) Rules, 2019, AMLA Act, 2010 and FATF recommendations.

3.1. The bank to open a linked account (ideally be a virtual account) for CDNS customers
on the basis of information provided by the investor on KYC/CDD (DA-1 & SC-1)
Forms.
4. Ongoing Screening & CDD
4.1. The bank shall conduct CDD and screening of the customers on ongoing basis bases
on the risk profiling.
4.2. The screening frequency should be at least once in a years. However, the frequency
may fluctuate in cases where urgent CDD become indispensable.
5. Transaction Monitoring
5.1. The bank to carry out transaction monitoring of CDNS customers.
5.2. Generate STRs and CTRs as per requirements National Savings Schemes (AML - CFT)
Rules, 2019 and AMLA Act, 2010.
6. developing necessary policies, processes, formats
6.1. The bank to assist CDNS in developing necessary policies, processes, formats/forms
to collect information from existing customers for AML-CFT compliance.
7. Record Keeping
7.1. The bank to maintain record of CDNS customers, whose link account is opened in
the bank (soft form or hard form), as per National Savings Schemes (AML- CFT)
Rules, 2019, AMLA Act, 2010 and FATF recommendations.
8. Installation of ATMs & cash handling services
8.1. The bank may install ATMs in 50 branches of CDNS, at banks cost, in first year and
submits a plan to CDNS for installation of ATMs in remaining branches of CDNS.
8.2. The bank may also offer cash handling services to all CDNS branches.

E. Flow of Activities and Funds


Scope of work as elaborated above may ideally be performed in manner prescribed as under
following ( Bank is to submit the detailed work plan accordingly):
1.1. The bank shall depute an adequate human resource in each NSC to effectively
carry out the scope of work outline above. Region wise details of NSCs are
Annexed-D.
1.2. The bank shall equip the HR with all required system to perform screening and
data punching.
1.3. The bank shall establish system to system integration to push the customer data to
CDNS core system.

1.4. The Bank will receive the filled form alongwith all required documents.
1.5. The bank will make sure to collect all the required documents as per Rule and SOP
updated from time to time.
1.6. The bank after completion of form will screen the details of customer in all the
updated Lists of Proscribed Persons i.e. UNSC and NACTA.
1.7. After completion of all perquisites, the bank shall open a link account only for the
purpose of KYC/CDD/EDD in bank system and share the information through
system to system with NSC.
1.8. Bank will keep the record (soft or hard form) of Link Account and will extend the
same to NSC on request.
1.9. In case of any suspicion on the time of KYC/CDD/EDD and screening the bank will
initiate STR as prescribed guidelines of FMU.
1.10. After successful opening of link account the bank will forward the original DA-
1 & SC-1 form to NSC in-charge for acceptance of deposit and issuance of NSS to
the investor.
1.11. NSC will process the transaction and after clearance of fund will issue the
required certificate or open account in Core system of CDNS.
1.12. Bank systems will be connected to the core application of the CDNS and will
perform transaction monitoring on the information fed into and available in the
application.
1.13. In case the transaction is not in line with the profile of the investors STR shall
be generated by bank.

Section VI: General Terms & Conditions

A. SCOPE OF WORK

The selected bank shall be responsible for all activities/processes for AML/CFT compliance
as per National Savings Schemes (AML & CFT) Rules, 2019, FATF recommendations, SBP
requirements and shall be required to perform following functions:
9. KYC/ CDD/ EDD of Existing Customer
9.1. Perform Screening, KYC/customer due diligence/enhanced due diligence, of all
existing customers of CDNS in accordance with National Savings Schemes (AML &
CFT) Rules, 2019, Anti Money Laundering Act 2010, FATF recommendations and
SBP requirements and other applicable laws including Anti-Terrorism Act 1997 and
United Nations (Security Council) Act 1948.

be generated by bank.

C. Bid Security

1.1. A bid security is required and acceptable in the shape of a Bank Draft/Pay
Order/Demand Draft/ Banker’s cheque/CDR only, issued from any scheduled bank
operating in Pakistan, of rupees one hundred thousand (PKR 100,000/-), in the
favour of CDNS, Islamabad.
1.2. The Bid Security must be submitted with the SEALED TECHNICAL PROPOSAL,
without which the proposal shall not be entertained/ accepted.
1.3. If a bidder withdraws its bid during the procurement process or a successful bank
fails to acknowledge the letter of acceptance/signing of agreement etc; in such
scenarios the Procuring Agency reserves the right to forfeit the Bid Security
besides taking other necessary actions under the law of the Land. Further, the

Procuring Agency may ask the second lowest evaluated bidder for award of
contract and so on (as per its convenience).
D. Validity of proposal
1.1. All proposal/bids and prices shall remain valid for a period of at least 180 days
from the closing date of the submission of the proposal/bids.
E. Currency
1.1. All currency in the proposal shall be quoted in Pak Rupees (PKR) only otherwise
bids would be rejected.
F. Withholding Tax, Sales Tax and other Taxes/Levies
1.2. The bidder is hereby informed that the Government shall deduct tax/duties at the
rate prescribed under the tax laws of Pakistan, from all payments for services
rendered purchase/supply by any bidder who signs the contract with the
Government.
1.3. The bidder will be responsible for payment of all taxes/duties on transactions
and/or income, which may be levied by government from time to time.
G. Contracting (Signing of Agreement)
1.4. The selected vendor will submit Contract, for which draft may be obtained from
procuring agency, and be signed on a stamp paper of Rs. 1000/- (which shall be
notarized properly) within (15) days of issuance of work Order/letter of
acceptance.
H. Governing Law
1.5. This and any contract executed pursuant to this RfP shall be governed by and
construed in accordance with the laws of Islamic Republic of Pakistan. The
Government of Pakistan and all bidders responding to this and parties to any
contract executed pursuant to this shall submit to the exclusive jurisdiction to the
Courts at Islamabad.
I. Term of the Agreement:
1.6. The agreement would be, initially, for the period of three years and renewable for
such time as mutually agreed by the parties.
J. Disclosure/ Integrity Pact
1.7. The bank hereby declares that it has not obtained or induced the procurement of
any contract, right, interest, privilege or other obligation or benefit from
Government of Pakistan (GoP) or any administrative subdivision or agency thereof
or any other entity owned or controlled by it (GoP) through any corrupt business
practice.

1.8. Without limiting the generality of the foregoing the bank represents and warrants
that it has fully declared the brokerage, commission, fee etc. paid or payable to
anyone and not given or agreed to give and shall not give or agree to give to
anyone within or outside Pakistan either directly or indirectly through any natural
or juridical person, including its affiliate, agent, associate, broker, consultant,
director, promoter, shareholder, sponsor or subsidiary, any commission,
gratification, bribe, finder’s fee or kickback, whether described as consultations fee
or otherwise, with the object of obtaining or inducing the procurement of a
contract, right, interest, privilege or other obligation or benefit in whatsoever form
from GoP, except that which has been expressly declared pursuant hereto.

1.9. By signing this agreement, the Bank certify that it has made and will make full
disclosure of all agreements and arrangements with all persons in respect of or
related to the transaction with GoP and has not taken any action or will not take
any action to circumvent the above declaration, representative or warranty.

1.10. By signing this agreement, the bank accepts full responsibility and strict
liability for making and false declaration, not making full disclosure,
misrepresenting fact or taking any action likely to defeat the purpose of this
declaration, representation and warranty. It agrees that any contract, right
interest, privilege or other obligation or benefit obtained or procured as aforesaid
shall, without prejudice to any other right and remedies available to GoP under any
law, contract or other instrument, be voidable at the option of GoP.

1.11. Notwithstanding any rights and remedies exercised by GoP in this regard, the
Bank agrees to indemnify GoP for any loss or damage incurred by it on account of
its corrupt business practices and further pay compensation to GoP in an amount
equivalent to ten time the sum of any commission, gratification, bribe, finder’s fee
or kickback given by supplier as aforesaid for the purpose of obtaining or inducing
the procurement of any contract, right, interest, privilege or other obligation or
benefit in whatsoever form GoP.
K. Force Majeure
A “Force Majeure Event” shall mean act of God or any event or circumstance or combination
of events or circumstances that are beyond the control of a Party and that on or after the date
of signing of this Agreement, materially and adversely affects the performance by that Party

of its obligations or the enjoyment by that Party of its rights under or pursuant to this
Agreement; provided, however, that any such event or circumstance or combination of
events or circumstances shall not constitute a “Force Majeure Event” within the meaning of
this Section to the extent that such material and adverse effect could have been prevented,
overcome, or remedied in whole or in part by the affected Party through the exercise of due
diligence and reasonable care, it being understood and agreed that reasonable care includes
acts and activities to protect the Sites and the Facilities, as the case may be, from a casualty or
other reasonably foreseeable event, which acts or activities are reasonable in light of the
likelihood of such event, the probable effect of such event if it should occur and the likely
efficacy of the protection measures. “Force Majeure Events” hereunder shall include each of
the following events and circumstances that occur inside or directly involve Pakistan, but
only to the extent that each satisfies the above requirements:

1.12. any act of war (whether declared or undeclared), invasion, armed conflict or act of
foreign enemy, blockade, embargo, revolution, riot, insurrection, civil commotion, act or
campaign of terrorism, or sabotage;
1.13. strikes, works to rule or go-slows that extend beyond the Sites, are widespread or
nationwide;
1.14. Change in Laws of Pakistan;
1.15. Other events beyond the reasonable control of the affected Party, including, but not
limited to, uncontrollable events, namely, lightning, earthquake, tsunami, flood, storm,
cyclone, typhoon, or tornado, epidemic or plague, radioactive contamination or ionizing
radiation;

L. Amicable Settlement
1.16. Any dispute, controversy or claim arising out of or relating to this Contract, or the
breach, termination or invalidity thereof, shall be resolved through negotiation in an
amicable and friendly manner between the parties. The Parties shall seek to resolve any
dispute amicably by mutual consultation and discussion at the appropriate level of Parties
or through the committee constituted, representing members from both sides, whichever
is suitable to reach the amicable solution of dispute.
1.17. If either Party objects to any action or inaction of the other Party, the objecting Party
may file a written Notice of Dispute to the other Party providing in detail the basis of the
dispute. The Party receiving the Notice of Dispute will consider it and respond in writing
within thirty (30) days after receipt. If that Party fails to respond within thirty (30) days,
or the dispute cannot be amicably settled within thirty (30) days following the response of
that Party, disputes shall be settled by arbitration in accordance with the following
provisions:

1.17.1. Failing amicable settlement, the dispute, differences or claims, as the case may be,
shall be finally settled by binding arbitration in accordance with the provisions of the
Arbitration Act 1940 of Pakistan.
1.17.2. The arbitration shall be conducted at Islamabad, Pakistan before an arbitration panel
comprising three (3) members, one to be nominated by each Party and the third
nominated by the first two nominees (collectively, “arbitration panel”).
1.17.3. The fees and expenses of the arbitrators and all other expenses of the arbitration shall
initially be borne and paid equally by both the Parties, subject to determination by the
arbitration panel. The arbitration panel may provide in the arbitral award for the
reimbursement to the prevailing party of its costs and expenses in bringing or defending
the arbitration claim, including legal fees and expenses incurred by such Party.
1.17.4. Any decision or award resulting from the arbitration shall be final and binding upon
the Parties. The Parties agree that the arbitral award may be enforced against the Parties
to the arbitration proceedings or their assets, wherever they may be found, and that a
judgment upon the arbitral award may be entered in courts having jurisdiction at
Islamabad only.
1.17.5. Pending the submission of and/or decision on a dispute, difference or claim or until
the arbitral award is published the Parties shall conti nue to perform all of their
obligations under the Contract.
