Between:

G & D EQUIPMENT GROUP INC. , (hereinafter the “RENTER”), a corporation duly organized and
existing under the laws of the Philippines, with business address located at Salvani Street, City Heights,
General Santo's City South Cotabato Philippines, represented herein by its CEO Gary Christopher

AND

Mr. ANTONIO J. PAY-AO, an authorized representative of JNA TRUCKING SERVICES to look for
trucks and equipment’s for lease, of legal age, married with address at 233 Capitol Site, Villa Kananga,
Butuan City.

1. The Renter guarantees in full responsibility, to pay the commission as described

below, as soon as the below exactly described transaction is successfully finalized. The
payments will be effected according to the lease and payments thereof.

2. REASON OF THE COMMISSION- AGREEMENT

BROKER: JNA TRUCKING SERVICES
SCOPE OF WORK: Hauling of equivalent to ten (10) kilometers per trip daily (back and
forth) as maximum distance with a minimum of 12 round trips daily
COMMODITY: 14-15 cu.m Capacity Dumptrucks
CONTRACT PRICE: ₱155,000.00/Month

3. COMMISSION

The sales-price includes a commission in total of PHP (₱25,000.00) Twenty five

thousand pesos per 14-15 cu.m Capacity Dumptrucks

4. DATE OF PAYMENT

The commission is payable upon release of payment for the truck and equipment
rental.

5. NON CIRCUMVENTION & NON DISCLOSURE AGREEMENT

All parties herewith declare, not to circumvent each other in this transaction or try to
circumvent. This is valid during all transactions inclusive all replacements, extensions
and additional.
 In case the above-mentioned contract shall not be in force, this COMMISSION
AGREEMENT will be null and void.

6. GENERAL AGREEMENT This FPA is not to be changed or altered without the written
consent of both parties hereto. A signed copy of this FPA shall be considered as legal
paper and as original by the consent of the parties having signed the FPA below, and
as witness thereof, the signatories have affixed their signatures and seals.

EFFECTIVITY

This Agreement takes effect upon the signing by the parties and will be in full force and effect
until sooner revoked or terminated by both parties in writing.

IN WITNESS WHEREOF, the parties hereto, acting through their representatives thereunto duly
authorized, have caused this Memorandum of Agreement to be signed in their respective names at
Butuan City, Philippines, on ____day of ______________2017.
