We have been informed that our customer, (hereinafter called the “Applicant”)
and you have entered into Contract No. dated concerning the provision of _____(the
“Goods”/ “Service”) at a total value of___________ (hereinafter called the “Contract”).

In accordance with the payment conditions set forth in the Contract, an advance payment
amounting to % of the total value, i.e. , will be made by you to the Applicant against a
bank guarantee in the same sum in your favour.

At the request of the Applicant, we, HSBC Bank (China) Company Limited, _______ Branch with
our correspondence address at ______________, hereby issue this demand performance bond
advance payment guarantee in your favor and undertake to pay to the account opened in your
name and designated by you, any sum or sums you may claim from us up to but not exceeding the
aggregate amount of (Say Only) within ____ working days upon our receipt
of your original first demand in writing wherein you shall state that the Applicant has failed to
deliver the Goods pursuant to the Contract (for Sales Contract)/the Applicant has failed to
provide the Service pursuant to the Contract (for Service Contract). For avoidance of doubt,
our liability under this guarantee is independent from the underlying transaction contemplated by
the Contract and is limited to the payment obligations stipulated herein and does not extend to the
performance of any other obligations or liabilities of the Applicant under the contract.

We shall not be obliged to verify any statement contained in any of the notices or other documents
which may be served on or presented in accordance with the terms of this guarantee and we may
accept the statement therein as conclusive evidence of the facts stated.

This guarantee shall become effective from _______. Unless sooner terminated and/or released by
a releasing letter from you or by returning us the original of this guarantee, our liability under this
guarantee shall expire on (the “Expiry Date”). Any claim under this guarantee must be in
writing and be received by us at our above address to the attention of GTRF Services, Guarantee
Team by 5 pm (Beijing Time) on or before the Expiry Date no matter such date is a working day
or not. Claims received by us thereafter will not be entertained. Our liability under this guarantee
will cease immediately after the Expiry Date even though the original of this guarantee is not
returned to us.

This guarantee is not transferable or assignable by you.

ICC Publication No. 758. This guarantee is subject to the jurisdiction of the courts of the People’s
Republic of China.

司 分行兹开立以贵方为受益人的本见索即付保函，本行承诺在收到贵方书面要求原
件（贵方的书面要求须声明申请人未能根据合同的约定交付上述货物 （针对货物买卖合
同）/申请人未能根据合同的约定提供上述服务 （针对服务合同））后_____个工作日内，
本行将向贵方指定的、开立于贵方名下的账户支付贵方所要求之金额，惟本行按本保函所
须支付之金额累计不得超过 （“保证上限”）。为免产生疑问，本行
在本保函下的保证责任独立于合同项下的基础交易，并 只限于赔偿贵方不超过“保证上
限”的款额，且并不包括履行合同中任何申请人的责任和义务。

根据本保函之条款送达本行或向本行提交之任何通知或其他文件内所述之任何声明，
本行可接纳为有关事实之确证，而无责任作进一步证实。

本保函自开立之日起开始生效。除非贵方向本行提交解除本行保函责任的文件或本保函
原件以使本保函提前终止或解除，本保函应于 _____年 月 日（“到期日”）
到期。无论上述到期日是否为本行所在地的营业日，所有根据本保函提出之索偿要求（如
有），必须在该到期日北京时间下午五点整之前为本行在上述地址收悉（联系人：贸易运
营部），否则本行无须对贵方负任何责任。无论本保函之原件退还本行与否，本保函在到
期日后立即失效。

受益人不得转让或让渡本保函。

本保函适用《见索即付保函统一规则（URDG）》2010 年修订本，国际商会第 758 号出版

物。本保函受中华人民共和国法院管辖。
