The Capital Bridge Bond

The investment raised from The Capital Bridge bond ultimately gives experienced property

developers the chance to access finance in a very short space of time, either to acquire new

property quickly, or to further develop existing commercial assets, provided that they can

meet or exceed the appropriate criteria and can offer adequate security to secure CBFS’s’ loan.

This is a way for borrowers to avoid the lengthy and energy-consuming process of applying for

mainstream finance, which can often take several months to complete. Instead, a loan from

CBFS can be paid out within two to three weeks of the date of application.

This swift and flexible lending model allows CBFS to charge higher fees and interest than the

traditional banks. Loans are typically repaid when the property has been built, refurbished or

simply re-sold at a higher price. The arrangement is beneficial to both parties; the borrower is

able to capitalise on an opportunity that may not have been available to them via traditional

banking routes, and the lender sees a significant return on the funds which is in turn is passed

on to bond investors.

Investor Security

In order to ultimately help protect


your investment, CBFS will:

Only ever lend to experienced property developers

Always obtain a valuation on the property by a Royal Institute


of Chartered Surveyors (RICS) qualified valuer.

Only lend at a maximum Loan to Value (LTV) of 80%

Always obtain a first, second or equitable charge over the property

Always obtain a personal guarantee from the director (if the loan is to a limited
company)

Ensure all legal agreements and legal representation between all parties is
conducted by experienced property lawyers

Ensure that any monies are paid directly into a solicitor’s client account and
only released when adequate security has been provided and other relevant
criteria met

Who is my ISA Manager?

Anyone over the age of 18, who is a UK resident, with their own Bank Account
and has a minimum of £2,000 to invest

Where is my money invested?


The Company will initially use proceeds raised from the Bonds to onward lend Capital Bridging Finance
Solutions Limited (“CBFS”) in order to enable it to provide bridging loans to approved and experienced
third party property developers secured against sites located in the UK.

How much can I Invest?


If you are opening a new IFISA the minimum subscription is £2,000 and the maximum within the
tax year is £20,000. If you are transferring an existing ISA, again the minimum subscription is £2,000
and the maximum is unlimited.

How do I transfer in from another ISA Manager?


The Capital Bridge ISA will provide you with the necessary transfer authority forms to complete and once
returned they will be issued to your existing provider with a request that they complete the transfer on your
behalf.

When is my Money Invested?


Your money is invested once the 14-day cooling off period has elapsed.

What are the management fees?


The management fees have been absorbed by The Capital Bridge, which means as an investor with the
Capital Bridge there are no fees to pay. Please refer to the terms and conditions to review the fee payable
should you choose to redeem your Investment before the end of the term.

What is an IFISA?
The UK Government introduced the Innovative Finance ISA (IFISA) on 6th April 2016. This new type of ISA
allows individuals to use some (or all) of their annual ISA investment allowance to invest into debentures
such as the Bonds, and then to receive all the interest earned tax-free. It is important to understand that
with an IFISA your capital is at risk and it is important you read the associated risks with this investment in
the section entitled “Risk Factors” of this Information Memorandum. Tax treatment depends on the
individual circumstances of each investor and may be subject to change in future.

Capital @ Risk
As with all investments capital is at risk. The value of your investment
can go down as well as up. You may get back less than you invested.
The Capital Bridge has tried to mitigate this by working with the CBFS.
They will undertake the following to achieve this:
1. Only loan to known, experienced property developers.
2. Legal representation a prerequisite for both sides.
3. Maximum loan to value of 80%.
4. Take a legal charge against the property being loaned against.
5. A debenture can be taken over the assets of the development company (lender)
6. All monies are held in escrow

Impact of fees
There are no set up and management fees, they are absorbed by The Capital Bridge meaning the returns
you see will be the returns you ultimately get. However, there are fees associated with elements such as
early transfer out of the ISA. Full details of the fees payable by investors to Northern Provident Investments
Limited are set out in The Capital Bridge ISA Terms and Conditions, and these will reduce the net return on
your investment.

Exposure to external events


The trading and assets of The Capital Bridge or CBFS could be affected by unforeseen events outside its
control, including economic, social and political events and trends. These include changes in economic,
political, administrative, taxation or other legal or regulatory regimes, terrorist or other attacks, inflation,
deflation or other currency exchange fluctuations.

CBFS’ security may be insufficient to repay the Bondholders


Whilst CBFS may take security over the assets of the firms it lends to, the underlying assets of the firms
over which a charge has been granted may be insufficient to repay CBFS. In that situation CBFS may not
be able to pay what it owes to the The Capital Bridge and in turn for them not to be able to pay what it
owes to Bondholders.

Diversification
Diversification means spreading your investments across different asset classes and sectors.
All investments through The Capital Bridge ISA will be in bonds, you should be aware that all monies
invested will be in the same sector and through the same asset class. You should consider spreading your
investment risk and seek independent advice when you are not sure if an investment is suitable. You are
not able to invest more than 10% of your net assets through The Capital Bridge ISA in the bond unless you
are a high net worth investor, a certified sophisticated investor or a self-certified sophisticated investor.

Non-ready realisable investment
Investors should be aware that the bonds you will invest in are non-readily realisable investments.
Investment through the Capital Bridge ISA in the bond should be viewed as a long-term investment. It may
be possible for the bonds to be sold but it may be difficult to sell the bonds held through the Capital Bridge
ISA. Past performance of financing is not necessarily a guide to future performance. Past events,
experience derived from these, or assumptions derived from any of these, do not predetermine the future.

The Company’s Business Strategy


The company’s business plan is based on assumptions about market performance and predicted future
trading of its current and proposed business activities which are supported by research undertaken and
CBFS’ teams experience to date. The Company considers these assumptions to be reasonable, but it is
inherently subject to variation and uncertainty. There is no certainty that all or any of its business plan
will be fulfilled, that the outcome of the Company’s strategy will be as anticipated or that The Company
will achieve the required level of profitability or sufficient cash flow to achieve its stated objectives.

Inflation Risk
You should be aware that if the return on the bond fails to pay a return that beats inflation, the real value
of your investment could fall.

No FSCS Protection
The Capital Bridge ISA is managed by Northern Provident Investments, an ISA plan manager authorised
and regulated by the Financial Conduct Authority (“FCA”), the bonds that you will invest in are issued by
The Capital Bridge, which does not carry on regulated activities for which authorisation is required and
so it is not authorised by the FCA. Therefore, losses incurred by the failure of the bonds would not be
protected by the Financial Services Compensation Scheme (“FSCS”). If The Capital Bridge ceases
to exist or goes into liquidation you would not be able to put in a complaint through the FSCS.
