XML Service Schedule

This Agreement is subject to and governed by the XML Service Schedule (the "Terms and conditions"). The Accommodation
declares that it has read and hereby accepts the Terms and conditions.

The XML Service Agreement and XML Service Schedule forms an integral part of the accepted Accommodation Agreement
and General Delivery Terms (GDT's) and should be read in conjunction therewith.
XML Service Schedule for Accomodations

This XML service schedule (as amended and supplemented from time to time) (the "Schedule") provides for the terms and
conditions under which the Hotel is entitled to use the XML service as provided or made available by Booking.com (the
"XML Service") as its preferred method of updating rate and availability information and/or retrieving reservations.

1. Status

1.1 The terms and conditions of this Schedule shall be deemed incorporated by reference into the Agreement and the
Agreement and this Schedule shall together form the whole agreement between the parties. Capitalised words and phrases
used in this Schedule shall have the same meaning as the corresponding defined term in the Agreement. In the event of any
conflict between the Agreement and this Schedule, this Schedule shall prevail.

2. Booking.com obligations and warranties

2.1 The Accommodation can only connect to the XML Service through software certified and pre-approved by Booking.com,
which software can be delivered and/or made available via an approved subcontractor of the Hotel (the "Subcontractor") or
developed by the Hotel (collectively with the Subcontractor software, the "Software of the Accommodation") The XML
Service will not be used and set live without the prior written consent of Booking.com.

2.2 Booking.com shall provide the Accommodation or the Provider with 30 days prior written notice of any materal change to
the specification of the XML Service that may affect its use by the Hotel.

2.3 Booking.com provides, and the Accommodation accepts, the XML Service on an "as is" and "as available" basis.
Booking.com shall use all reasonable commercial endeavours to maximise the availability of the XML Service. However, the
Accommodation acknowledges that such access may occasionally be (wholly or partly) interrupted by (un)scheduled
downtime, outage or for technical reasons beyond the control of Booking.com. All implied warranties and conditions are
hereby excluded to the maximum extent permissible by law.

2.4 Booking.com may commence sending confirmations to the Accommodation by email, fax or efax (or such other technical
means as made available by Booking.com) and require the Accommodation to work via the extranet for Booking.com in the
event that the use, performance or operation by the Hotel (or the Subcontractors) of the XML Service fails, is instable,
unavailable or is not duly working or operated by the Accommodation or the Subcontractor (all for whatever reason).

2.5 To the extent permitted by law, Booking.com shall not be liable and hereby disclaims and excludes all liability (for any
type of damages, losses (including direct, indirect, consequential, punitive, exemplary, special or other damages or losses or
loss of production, loss of profit, loss of revenue, loss of contract, loss of data, loss of or damage to goodwill or reputation,
loss of claim, wasted expenditure and business interruption), costs, indemnifications, expenses, claims, liabilities, penalties)
towards and/or in respect of the Accommodation which is related to any (inadequate) performance or (temporary and/or
partial) unavailability, breakdown, interruption, or downtime (for maintenance, updates or otherwise) of the XML Service or
any other error, omission, defect, malfunction or other problem in respect of the XML Service.

2.6 Any test run, certification or other consent (tacitly or explicitly) given by Booking.com or acceptance of the Subcontractor
shall not constitute, imply or be regarded as (a) any endorsement, approval or acceptance of (the level or quality of) the
Subcontractor, the Software of the Accommodation, the correct and proper way of using the XML Service , (b) any waiver
by Booking.com of right of Booking.com under this Schedule, (c) any waiver of or release by Booking.com of any obligation,
covenant, warranty, guarantee, undertaking or liability of or action required by the Accommodation under or pursuant to this
Schedule, or (d) any comfort, guarantee or warranty, whether express or implied, of the absence of any (threatening or
potential) error or outage.

3. Accomodation obligations and warranties

3.1 Upon request of Booking.com, the Accommodation shall cooperate with and assist Booking.com and/or the
Subcontractor and implement and make such changes as may be required by Booking.com and/or the Subcontractor in
order to optimize the integration and the connection with the XML Service.

3.2 The Accommodation and the Subcontractor shall jointly work together, cooperate, support and assist each other with any
(technical or operational) issues, bugs, errors or other defects, malfunction or deficiency in respect of the use, performance
and operation of the XML Service by the Accommodation and/or the Subcontractor or any other issues which causes an
incorrect or inadequate functioning or non-functioning of XML Service by the Accommodation and/or the Subcontractor.

3.3 The Accommodation is responsible for updating rates and availability using either the Subcontractor's system or the
extranet of Booking.com as directed by Booking.com from time to time and agrees to indemnify and hold harmless, and
keep indemnified and harmless, Booking.com against all direct and indirect loss, damage, claims, demands, actions, costs,
charges, expenses and liabilities of whatsoever nature incurred by Booking.com arising out of any failure to do so duly,
timely, accurately and completely.

3.4 The Software of the Accommodation is free of any Error ("Error" means any reported and reproducible mistake, problem,
bugs, defect, malfunction or deficiency which causes an incorrect or inadequate functioning or non-functioning of Services or
any deviation from any requirement(s) hereunder in relation to the same).
3.5 The Accommodation has, and shall retain relevant staff with the appropriate and up-to-date level of expertise and
experience to enable, use and operate the XML Service (including the Software of the Accommodation).

4. Intellectual property

4.1 The Accommodation acknowledges that the XML Service constitutes the Intellectual Property of Booking.com for the
purposes of the provisions of the Agreement dealing with ownership and licensing of intellectual property rights.

5. Continued performance and termination

5.1 This Schedule shall operate for as long as the Accommodation uses the XML Service. This Schedule terminates by
operation of law in the event of termination or expiration of the Agreement.

5.2 Booking.com is entitled to suspend and/or terminate the XML Service (and have the Accommodation upon first request
switch to the extranet) upon the (repeated) occurrence of any fact, event, matter or circumstance which has or may have a
detrimental, adverse or negative effect, impact on or consequences for:

(a) operational performance of the Accommodation (e.g. in respect of ranking on the website, conversion ratio,
cancellations, overbooking);

(b) technical performance and integration issues in respect of (the use, integration, connection to, operation, availability,
process of) the XML Service and/or the Software of the Accommodation by the Accommodation and/or the Subcontractor;

(c) availability, to the extent applicable under the hotel/accommodation agreement

(d) rate parity, to the extent applicable under the hotel/accommodation agreement
