WATER & ICE PROCESS

SOLUTION AND

For

MANUFACTURING OF Recirculating aquaculture system

THIS CONTRACT is made on the 2020, by and between WATER

& ICE PROCESS SOLUTION (the supplier) and XXXXXXXXXXXX

Whereas, WATER & ICE PROCESS SOLUTION, situated at SANDER

sander–manud Road, PATAN-384151, Gujarat, is responsible for the design,
procurement, construction and erection of Ice manufacturing plant

Whereas, XXXXX is venturing into manufacturing of RAS system each

capacity of XXX ton plant, situated at site.

CONTRACT:
NOW, THEREFORE, the WATER & ICE PROCESS SOLUTION and XXXXXXXXXX
And agree as follows:

Article 1 – Scope of Work

M/S WATER & ICE PROCESS SOLUTION shall perform the work within the premises of
M/S XXXXXXXXXXXX in compliance with all technical specifications and drawing
referenced therein and in accordance with supplier’s proposal.

Article 2 – Responsibilities of WATER & ICE PROCESS SOLUTION (Supplier)

2.1 The supplier is subject to procure, to construct and to erect the plant as
per the proposal in the quotation.

2.2 The supplier is responsible for

a) one year Service & repair warranty for the complete plant and machineries

b) 5 year extended warranty for complete plant and machineries*

2.3 The supplier is responsible for the transportation and safe passage of the
materials and machineries.

2.4 The supplier is responsible for the appointment of workers involved

in the Construction and erection of the plant, including their food,
accommodation and welfare. *

Article 3 – Responsibilities of XXXXXXXXXXXXX

3.1 The place required for setting up of the plant, water and civil work should be
provided by XXXXX.

3.2 All basic facilities for the storage of materials and machineries should be
provided by XXXXXX.

3.3 Electricity, Civil works and all legal formalities for the construction of the
plant should be provided by XXXXX.

Article 4 – Payment and Acceptance

 Total payment of Rs. has been finalized by both the

parties for the total construction and erection of the plant. Quotation attached
here to.

 An Advance payment of 10% of Rs. will be paid by

XXXXXX on 2020. than we provide proper data & drawing

 The second payment of 50% Rs. will be paid by XXXXXXX

, than arrival of materials and machineries listed in the proposal on 2020

 The Fifth and final payment 10% pay than you will be satisfy
 Once Order confirmed cannot be cancelled And 10% amount is NON Refundable.*

Article 5 – Superseding Effect

This contract, together with all attachments supersedes all written or oral
agreements and constitutes the entire agreement between the parties hereto

Article 6 – Interpretation

In the event of any conflict or inconsistency between the terms of this contract
and the terms of an attachment hereto or any document referred to herein or in
the terms of any attachment thereto, the terms of this contract shall prevail and
govern the interpretation thereof.

Article 7 – Amendment

This contract and the attachments hereto shall not be deemed or construed to be
modified, amended or waived in whole or in part, except by written agreement
duly executed by the parties to this contract

Article 8 – Governing Law and Venue

This contract shall be governed by and construed in accordance with the laws of
the State of Gujarat. The venue for any legal action shall be in Patan, Gujarat,
India.

Article 9 – Disputes

Any disputes between the parties or their assigns arising out of this contract shall
be subject to binding arbitration. Any dispute arising under or relating to this
contract which is not settled by agreement of the parties shall be referred for
adjudication by either party to a court of competent jurisdiction

In witness whereof the parties here to have executed this contract with the
effective date as shown on page one (1) of this document
