MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement made and executed by and among:
BARANGAY MAPULANG LUPA, VALENZUELA CITY, a duly created
local government unit existing under and by virtue of the Philippine Law, with principal
address at Barangay Hall, Mapulang Lupa, Valenzuela City represented herein by
PB Fernando C. Francisco, hereinafter referred to as the “FIRST PARTY”;

-and-

GENDER AND DEVELOPMENT (GAD), a duly created non-stock and non-


profit corporation existing under and by virtue of the Philippine Law, with principal
address at Pamahalaang Barangay ng Mapulang Lupa, GAD Office, #3104. Sto. Rosario
St., Valenzuela City, represented herein by Dr. Sherry Anne D. Francisco herein referred
to as “SECOND PARTY”;

WITNESSETH:

WHEREAS, This Memorandum of agreement acknowledges that the funding


source for the implementation of the projects herein below mentioned is covered by the
Livelihood Project of Barangay Mapulang Lupa, Valenzuela City through its Council
headed by Punong Barangay Fernando C. Francisco and duly approved by Kgd.
Leopoldo B. Blanco, Chairman of Committee on Livelihood (attached hereto is the
mission, reason, detail and profile of the program as Annex “A”) in the total amount of
Ten Thousand Pesos (Php10, 000.00) chargeable against the Barangay Fund of the
FIRST PARTY,
WHEREAS, the FIRST PARTY is willing to provide assistance to Non-
Government Organizations to be its conduit in delivering basic livelihood services to its
constituents;
WHEREAS, the SECOND PARTY, under its Certificate of registration and By
Laws, is mandated to provide sustainable livelihood project by giving or providing
material assistance/support to those less fortunate groups or individuals;
WHEREAS, the SECOND PARTY, in its willingness to implement its programs
and services is requesting assistance from the FIRST PARTY, to support the operation of
its livelihood program;
WHEREAS, the FIRST PARTY will grant a food cart with equipments from the
Barangay fund and will release to the second party who in return will use it solely for its
program;
WHEREAS, the FIRST PARTY, has allocated the amount of Ten Thousand
Pesos (Php10, 000.00) from its Barangay Fund and released to the SECOND PARTY for
purposes of funding the pursuance of the SECOND PARTY’s mission, which details and
specification are contained in the attached profile of the SECOND PARTY Program
(hereto attached as Annex “B”);
THEREFORE, for and in consideration of the foregoing premises and the terms
and conditions hereunder enumerated, the Parties hereto agreed that:
I. Responsibilities of the Parties

1. The FIRST PARTY shall:

a. Deliver to the SECOND PARTY the food cart with equipments;


b. Deliver to the SECOND PARTY the amount of Ten Thousand
Pesos (Php10, 000.00);
c. Assist the SECOND PARTY and THIRD PARTY in the promotion,
implementation and information dissemination campaign of the
projects;
d. Coordinate with the SECOND PARTY for purposes of monitoring
and evaluation; and
e. Assist the SECOND PARTY in submitting the liquidation report
with the commission of Audit in accordance with the COA rules and
regulations.

2. The SECOND PARTY shall:

a. Take full responsibility in maintaining and improving the food cart;


b. Take full responsibility in the proper Disposition/Disbursement of
funds for the implementation of its projects, in accordance with
COA rules and regulations;
c. Use the funds releases by the SECOND PARTY solely for
implementation of the herein livelihood project;
d. Regularly coordinate with the FIRST PARTY status and
implementation of the project undertaken.

II. Duration of the Project:

The projects shall be implemented this February 2017 and until all the
funds received from the FIRST PARTY has been fully used, consumed,
and/or exhausted.

III. Confiscation of Item/Supplies:

Should the FIRST PARTY discover that the funds are NOT used for
purposes/intentions herein; the same shall be confiscated accordingly
without prejudice to the filling of any criminal actions to the party
concerned.

IV. Venue of Actions:

Any legal action arising from and in connection with this agreement shall
be lodged before the proper court.
V. Separability Cause:

In case any provision hereof or any part thereof be declared void or


unenforceable by competent authorities, the remainder unaffected by such
declaration shall be valid binding among the parties, their successors and
assigns.

VI. Effectivity:

This Memorandum of Agreement shall take effect immediately upon


signing of the document and shall remain in force and in effect until
utilization of the whole amount, unless sooner terminated in writing by both
parties.

IN WITNESS THEREFORE, the parties have hereunto set their hands this 1st
day of February 2017 in Valenzuela City, Metro Manila.

executed the forgoing instrument and acknowledge to me that the same is their own free
and voluntary act and deed.

This instrument, Memorandum of Agreement consisting of four (4) pages


including the page where the acknowledgement is written, signed by the parties and their
instrumental witnesses on each and every page thereof.
