PROFIT SHARING AGREEMENT

This Profit Sharing Agreement (“Agreement”), dated __________, is by

and between _____________ represented by ______________ , married, of
legal age and a resident of _________________, hereinafter referred to as
CLIENT;

and -

_______________ represented by ____________________, single, of

legal age and a resident of ___________________; hereinafter referred to as
SERVICE PROVIDER;

W I T N E S S E T H: That -

WHEREAS, the CLIENT and the SERVICE PROVIDER have agreed that,
as compensation for the services to be rendered by the SERVICE PROVIDER,
the amount of Ten Percent (10%) of the total net income of the CLIENT before
the payment of taxes, shall be paid to the SERVICE PROVIDER, based on the
following terms below:

a. SERVICE PROVIDER shall provide the following services:

i. Create the annual Marketing Plan for CLIENT

ii. Deliver and manage monthly marketing activities for CLIENT
based on approved Marketing Plan
iii. Create all graphic design assets for branding, marketing, or
internal purposes
iv. Create all copywriting work on behalf of CLIENT, primarily for
but not limited to marketing purposes
v. Manage social media accounts and online marketing efforts
vi. Lead sales & marketing analytics and optimizations for the
CLIENT, including but not limited to qualitative reviews,
quantitative data collection, and financial return on marketing
expenses
 vii. Attend all weekly, monthly, and other scheduled meetings set
by CLIENT

b. The SERVICE PROVIDER shall maintain ownership of intellectual

property rights for all design, written works and other products burned
out of this agreement;
