The parties to this Agreement are AAN Associates., hereinafter referred to as AAN or the Employer, and ABC,
hereinafter referred to as the Project Field Employee. This Agreement of Understanding is not valid until it has
been signed by all parties on the acceptance page.

The Employer and the Project Field Employee signed the Agreement and settled on the following:

1. Point of Assignment:
1.a. Islamabad, Pakistan

2. Project:
2.a. The Project Field Employee is being assigned to work on the Performance Management Support
Contract (PERFORM) (Project No. 609400.01-500-03-14) as a Monitoring and Evaluation Specialist.
2.b. See Attachment A for the Scope of Work/Job Description for this position.

3. Period & Level of Performance:

This agreement will take effect on July 28, 2015 and remain in effect through July 27, 2016 unless otherwise
amended. This Agreement has an option for extension on an annual basis through April 30, 2020 upon written agreement
by both parties.

4. Salary:
4.a. The Project Field Employee will be compensated at the annual rate of 123456789 PKR. The salary is
payable monthly by the 10th of the month after receipt of an original timesheet for hours worked during
the prior month. No overtime will be paid nor will vacation or other compensation be paid in lieu of
overtime.

The AAN timesheet must be completed on a daily basis. The Project Field Employee is responsible for
accurately completing his/her timesheet each day and the timesheet must be approved by the assigned
supervisor before salary payment can be made.

On a monthly basis, income taxes and benefits will be withheld, as required by Pakistani law.

5. Benefits (in addition to salary):


5.a. The Project Field employee will receive benefits in accordance with Section III.D.2 of the project
Personnel Manual and as amended.

6. Paid time off:


6.a. The Project Field Employee will be paid for time off in accordance with Section III.D.2 of the project
Personnel Manual and as amended.

7. Workweek and Holidays:


7.a. The workweek will be five (5) days per week in the field with no premium pay and in accordance with
Section III.D.1 of the project Personnel Manual. The Project Field Employee may be authorized to work

up to a 6 day work week with no premium pay; however, prior approval must be received by the USAID
Contractor’s Officer Representative through the AAN Senior Project Manager.

7.b. The Project Field Employee is entitled to leave with full pay on officially observed Pakistani holidays in
accordance with Section III.D.1 of the project Personnel Manual and as amended.

8. Technical Direction:
8.a. Under the supervision of the Chief of Party, the Project Field Employee will provide the technical and
professional services under Attachment A, in cooperation with other members of AAN, PERFORM,
international and national partner organizations, project staff, U.S. Government staff, and host country
government officials.

However, only AAN’s Chief Management Officer (CMO), who is a signatory to this agreement, can
authorize any changes, either expressly or constructively, to any of the provisions of this agreement. No
such guidance, suggestions or order of the technical representative shall be binding upon AAN and shall
not be the basis of any claim or shall entitle the Project Field Employee to an equitable adjustment
unless approved in advance in writing by AAN’s Chief Management Officer (CMO) and Signatory.

9. Administration:
9.a. All administrative and contractual matters relative to this agreement are the responsibility of AAN’s Chief
Management Officer (CMO). This individual is the only person authorized to discuss or negotiate terms
and conditions or financial aspects of any work being performed hereunder. Any action, direction or
order by any other person relating to administrative or contractual matters shall be at the sole risk and
expense of the Project Field Employee and shall not in any given way give rise to any claim or request
for equitable adjustment.

10. Additional Terms and Conditions:


10.a. The Project Field Employee agrees that during the period of time while working for AAN, and during all
periods of continuous travel for AAN, s/he will act solely as a representative of AAN and of no other
individual or organization. The Project Field Employee will neither engage, directly or indirectly, in
his/her name or another name or through an agency of any other person, in any business, profession, or
occupation in Pakistan incompatible with his/her assignment.

10.b. The Project Field Employee agrees not to release to others any trade secrets of AAN that may be
revealed to him or her, and to obtain approval for and provide written credit to AAN when quoting reports
or using intellectual properties developed by AAN teams. The Project Field Employee also agrees that
(1) any drawings, specifications, information or data furnished by or obtained through work by AAN shall
only be used for the purpose of work conducted under this Agreement; (2) s/he will keep in confidence,
safeguard and protect, and not otherwise disclose or use any other legend or notice expressing
restriction as to use or disclosure; (3) except for the efficient performance of this Agreement, the Project
Field Employee shall not make any copies, or permit any copies to be made, of AAN data without the
written consent of AAN; (4) the Project Field Employee further agrees that all intellectual properties, files,
documents, and copyrights belong to AAN unless expressed agreed otherwise in writing; and (5) upon
completion of this Agreement or request of AAN, whichever comes first, shall return all AAN Data, and
copies thereof, promptly to AAN.

10.c. The Project Field Employee also agrees that AAN shall be entitled to all intellectual property and
copyrights, if any, of reports and documents prepared in the conduct of this assignment.

10.c. In the event that AAN takes part in a bidding process for a follow-on project with USAID for work in
Pakistan within six months after the conclusion of this project, it is agreed that the Project Field
Employee may not be employed by USAID or another organization on the same project or a directly
related project unless prior written approval has been obtained from AAN or unless AAN desists to rely
on the Project Field Employee’s services.

10.e. AAN will deduct all applicable taxes from the Associates’ salary as required by the Government of
Pakistan and submit tax payments to the proper authorities.

10.f. By signing this contract, the Project Field Employee acknowledges and agrees that s/he is not
employed by any Pakistani government agency, in conformity with the regulations of the U.S.
government.

10.g.By signing this contract, the Project Field Employee acknowledges and agrees that failure to follow the
project safety and security policies may be grounds for immediate dismissal.

10.h. The Project Field Employee is prohibited from engaging in any political or other activities in Pakistan that
may be detrimental to performing services as an AAN employee.

10.i.The Project Field Employee will comply with all laws, norms, and regulations of the Government of
Pakistan and represent AAN in a dignified and professional manner.

10.j. AAN will have the sole authority to determine which activities may contravene the spirit or intent of
the terms and conditions of the Article.

10.k. The Project Field Employee will comply with the Ethics in Business requirements of the U.S.
Government and as trained by AAN in ethical behavior.

11. Termination & Addendums:


11.a. Either party to this Agreement may terminate the performance of work, when it is determined that such
termination is in the best interest of either party. Such termination shall require 30 calendar days prior
written notice. AAN will have the option to terminate the employee, with immediate effect, on payment of
one month’s salary to the Project Field Employee. The Project Field Employee may be terminated for
gross misconduct with immediate effect and without payment of one month’s salary.

10.b.This agreement may also be terminated by AAN if the USAID contract is terminated or changed, in whole
or in part, for any reason. In this instance, an immediate Notice of Termination will be given specifying the
extent to which performance of work is terminated and the date on which such termination becomes
effective. On the effective date of termination, the Project Field Employee will stop all work and will transfer
all work, completed or partially completed, to AAN. Within 30 days after receipt of the Notice of Termination,
the Project Field Employee shall submit a final claim. Final payment is contingent upon AAN’s acceptance
of the work completed or partially completed and approval of the claim.

11.c.This agreement may not be supplemented, amended, or revised unless in writing and by agreement of
both parties.

12. Disputes:
12.a.Any dispute, disagreement, controversy or claim arising out of, or in connection with this Agreement (or
the breach thereof) which, after discussion, cannot be settled by the parties, shall be determined by
arbitration in the Commonwealth of Virginia before a single arbitrator under the Commercial Arbitration
Rules of the American Arbitration Association. The award rendered in such a proceeding shall be final
and binding on the parties.

12.b.AAN agrees to indemnify the Project Field Employee against any unforeseen acts that may occur on its
behalf in connection with services performed pursuant to this agreement. However, AAN shall not be
held liable for any losses, damages, liabilities, and expenses that arise solely and directly from the
negligence or legal wrongdoing of the Project Field Employee.

12.c.The Agreement shall be governed by the laws of the Commonwealth of Virginia.

13. Payment for services:


13.a. Original timesheets must be approved by your supervisor prior to submission to the Chief of
Party/Deputy Chief of Party for final PERFORM approval. Timesheets are due on the last day of the
month. Monthly salary payment will reflect payment for hours worked during the prior month. If
timesheets are not submitted and approved as required, payment of monthly salary may be delayed.

13.b. AAN is not responsible for any delay in electronic payments after AAN’s bank account releases the
payment and can certify that it has been released to the bank account of the Project Field Employee.

Attachment A
Scope of Work

Monitoring and Evaluation (M&E) Specialist

Performance Management Support Contract (PERFORM), Pakistan

Position Summary:

The M&E Specialist will support USAID/Pakistan’s MSF and is responsible for coordinating and implementing a range
of assignments, including monitoring activities, evaluations, assessments, and special studies for USAID/Pakistan
and its implementing partners. This includes developing instruments for data collection and data collection plans,
conducting data analysis, creating and/or updating Performance Management Plans, identifying and operationalizing
performance indicators, conducting data quality assessments, and writing reports.

The M&E Specialist should have a thorough knowledge of research and analysis methods, both quantitative and
qualitative. S/he should also have core expertise in evaluation and/or performance monitoring and assessments. The
M&E Specialist is required to develop an in-depth understanding of assigned USAID programs and projects across
technical areas, and will have the opportunity to work on multiple assignments and contribute to USAID teams’
learning and adaptive management processes. S/he will work in collaboration with senior technical staff, including the
Performance Monitoring, Evaluation/Assessments, and Learning and Adaptive Management Advisors.

Responsibilities:

• Review program documents and conduct research related to assigned programs;


• Work with PERFORM staff to identify the key performance/evaluation questions and parameters for M&E
related to the targets/assignment;
• Participate in the development and review of Statements of Work (SOWs) for monitoring assignments,
evaluations, assessments, and special studies in accordance with the USAID M&E Policy and AAN
standards;
• Develop SOWs for short-term consultants supporting assignments;
• Develop data collection plans, data collection instruments, and schedules;
• Conduct primary data collection, including interviews, surveys, and focus groups;
• Conduct quantitative and qualitative data analysis of field data;
• Draft M&E reports in English for submission to USAID; and
• Other duties, as necessary and assigned.

Acceptance
To accept this Agreement on the conditions and terms stated herein, the Project Field Employee must sign and
return before the start date listed on page 1. In order for the Agreement to be valid, it must be countersigned by the
authorized AAN designated officer.
