AUTHORITY TO SELL

I. Authorization:

I/we hereby authorize KPM Real Estate and Consultancy, Inc. (KPM) and its
duly authorized representatives to negotiate the sale of the properties described
below. I/we ratify all actions and representations by them for and on my/our behalf
until sold or withdrawn by any of the parties of this agreement.

It is also agreed and understood that the authority herein granted is on a Non-
exclusive basis and the unit owner/seller shall not be prohibited from entertaining
other offers from other brokers or direct buyers.

II. KPM Agrees As Follows:

1) To facilitate the entire sales process until the transferring of the title to the
Buyer.
2) To photograph or take videos of the property for presentation purposes.
3) To advertise the property in whatever means and channels deemed advisable.
4) To submit client registrations and offers to the seller.
5) To mediate, negotiate, or effect the meeting of the minds of the seller and the
client.

III. The Owner Agrees As Follows:

1) To update the Real Property Tax and pay the Capital Gains Tax upon sale.
2) To provide or assist in the provision of all the necessary documents pertaining
to the property.
3) To pay to KPM a gross professional fee equivalent to FIVE percent (5%), of
the Total Gross Selling Price, payable upon receipt of at least seventy percent
(70%) of the Total Gross Selling Price.

IV. Expenses Of The Sale:

1) Seller pays for the Capital Gains Tax / Expanded Withholding Tax and Broker’s
Professional Fee.
2) Buyer pays the following whichever is applicable: Documentary stamps tax

(BIR), Transfer tax (Treasurer’s office), Notarial expenses, Registration
expenses (Registry of Deeds), IT Fees, and Value-added tax (BIR)

V. Other Terms And Conditions:

1) Validity: This authority is valid until the property is sold.

2) KPM, its staff and Agents will still be credited with the sale of this Property and
therefore entitled to the commissions of this transaction even if the sale is
executed after the expiration of this Authority provided the buyer was formally
registered to us by KPM, its staff or Agents within the prescribed period of
validity of this authority.

I/We hereby certify that I am/we are the Owner or the authorized representative of the
Owner (with Special Power of Attorney) of said Property and that the Property is free
and clear from any liens or encumbrances other than those annotated in the original
copy of the title on file with the proper Registry of Deeds.
