I, ROSEMARIE M. BELTRAN, married, Filipino, of legal age, and a

resident of 233 Opal St., Doña Luisa Subdivision, Matina, Davao City, do hereby
name, constitute and appoint SHAIRA JOYCE APRAO as my true and lawful
attorney, for me and in my name, place, and stead, to do and perform the
following acts and things, to wit:

1. To receive checks, cash and other receivables from APC by SCHNEIDER

ELECTRIC and deposit the same in my bank account;

2. To execute the required formalities in relation to accomplishing the

abovementioned undertaking;

3. To sign any and all documents necessary in the furtherance of the

purpose;

HEREBY GIVING AND GRANTING unto my said attorney full power and
authority whatsoever requisite or necessary or proper to be done in and about
the premises as fully to all intents and purposes as I might or could lawfully do if
personally present, with power of substitution and revocation, and hereby,
ratifying and confirming all that my said attorney or her substitute shall lawfully
do or cause to be done under and by virtue of these presents.
