COMMISSION SHARING AGREEMENT

This Commission Sharing Agreement (“Agreement”), dated ____________2020, is by and

between _________________________, with office at _________________________, represented by
its President, __________________________________________, hereinafter referred to as THE
PARTY OF THE FIRST PART;

-and -

___________________, a resident of _____________________________, hereinafter referred

to as the NEGOTIATORS/INTERMEDIARIES OR PARTY OF THE SECOND PART;

W I T N E S S E T H that -

WHEREAS, this AGREEMENT is pursuant to the IRREVOCABLE CORPORATE

PURCHASE OFFER (ICPO) by and between _______________________, the SELLER; and
_______________________, the BUYER (hereinafter referred to as the “SELLER” AND “BUYER”,
respectively, and the “PARTIES”, collectively);

WHEREAS, the SELLER have agreed that, as compensation for facilitating negotiations
between the BUYER and the SELLER with regards to the ICPO signed by both the Buyer and the
Seller, a commission of __________ PESOS (Php _____.00) per sack of rice or the Total Amount of
________________________________ PESOS, Philippine Currency (Php _____________), is hereby
awarded to the PARTY OF THE SECOND PART based on the following terms below:

• The total commission amount of _________________________PESOS or the computed

total amount based on the agreed ___________ PESOS (Php_________.00) per sack of
rice or depending on the final consummated sale shall be awarded to THE PARTY OF
THE SECOND PART, and to be divided equally into three (3) shares between the parties
involved as follows:

SELLER (MPS Gas and Trading Supply) : One-third (1/3) Share

NEGOTIATOR/INTERMEDIARIES : One-third (1/3) Share
BUYER SIDE : One-third (1/3) Share

• This Agreement constitutes the complete and exclusive statement of the agreement between
the PARTY OF THE FIRST PART and THE PARTY OF THE SECOND PART, as
relates to the subject matter hereof and supersedes all proposals, oral or written, and all
other representations, statements, negotiations and undertakings relating to the subject
matter. No change in addition to, or waiver of any of the provisions of this Agreement shall
be binding upon either THE PARTY OF THE FIRST PART and THE PARTY OF
THE SECOND PART, unless made in writing and signed by the PARTY OF THE
FIRST PART and THE PARTY OF THE SECOND PART, or their respective
authorizes representatives;
 • Neither THE PARTY OF THE FIRST PART or THE PARTY OF THE SECOND
PART may assign this Agreement and/or any rights and obligations hereunder without the
prior written consent of the other party, and any such attempted assignment shall be thus
null and void.
