DEED OF DONATION AND ACCEPTANCE

This Deed of Donation and Acceptance is made and entered into by and between the:

QUEZON CITY GOVERNMENT, a local government unit, with

office address at Quezon City Hall, Diliman, Quezon City, represented
herein by its City Mayor, MA. JOSEFINA G. BELMONTE, (hereafter,
“DONOR”);
and

OFFICE OF THE VICE GOVERNOR OF ALBAY, a provincial

local government unit, with office address at 2/F Capitol Building, Old
Abay District, Legazpi City, represented herein by its Vice Governor,
ATTY. EDCEL GRECO ALEXANDRE B. LAGMAN, (hereafter,
“DONEE”)

WITNESSETH:

WHEREAS, on November 1, 2020, Super Typhoon Rolly ravaged the Bicol

region, hitting the provinces of Catanduanes and Albay the hardest with intense winds,
torrential rain, heavy flooding, and strong lahar flow which destroyed thousands of
homes, affected thousands of residents, and caused widespread disruption of electrical
power;

WHEREAS, the DONOR is aware that 90% of the Province of Albay

distribution line in Districts 1 and 3 are damaged and that 40% is damaged in District 2;
that the Malinao Substation Transformer is also damaged and must be replaced; that
both the Ligao and Tabaco substation structure are also damaged; and that until now
there is no available supply from National Grid Corporation of the Philippines (NGCP)
because of the damaged 230kV and 69kV lines of NGCP;

WHEREAS, the DONEE confirms the foregoing and has also informed the
DONOR  that damage to the electricity supply in the whole Province of Albay brought
about by Typhoon Rolly will persist for at least a month;

WHEREAS, the DONEE has a “Free Charging Stations Program” that provides
free charging of cellular phones and all kinds of rechargeable appliances like
flashlights, electric fans, power banks, radio, et.al., in all vulnerable barangays and
sitios of the Province of Albay;

WHEREAS, since the DONEE does not have enough portable generator sets, the
DONOR has offered to donate thirty (30) brand new generator sets to increase the
viability of the “Free Charging Stations Program” of DONEE in the fifteen (15)
municipalities and three (3) cities in the Province of Albay, and to substantially
augment the electricity supply in the Province of Albay;

WHEREAS, the DONEE hereby accepts the donation and hereby expresses its
gratitude and appreciation to the DONOR.

NOW, THEREFORE, for and in consideration of the foregoing premises and the
covenants hereinafter stipulated, the Parties hereby agree as follows:

1. The DONOR agrees to donate thirty (30) brand new generator sets to
DONEE in support of DONEE’s “Free Charging Stations Program” and to augment the
electricity supply in the Province of Albay.
 2. The DONOR warrants that it has proper title to donate the subject thirty
(30) generator sets.

3. The DONEE accepts the donation and expresses its gratitude and
appreciation for the support, kindness, and liberality of the people of Quezon City.

4. The DONEE confirms that it has received the donation in good workable
condition and shall undertake the maintenance of all thirty (30) generator sets as one of
the indubitable badges of responsible ownership.

5. The DONEE agrees to hold DONOR free and harmless from any and all
liabilities arising from this donation.
