AGREEMENT LETTER OF FAREHA AGENT SILVER

Please read and understand the contents of this Agent Silver Agreement carefully.

The Agent Silver Agreement was made on 15 March 2020 between FAREHA HOLDING SDN
BHD (1302435-X) and AGENT SILVER

1. General

FAREHA belongs to FAREHA HOLDING SDN BHD (1302435-X)

2. Application & Registration

a. The applicant must complete the registration form and sign the Agent Silver agreement
provided by Headquaters (HQ).

b. Please ensure that all information provided is true and the application/agreement will be
void by itself if there is untrue information. Incomplete applications will be rejected.

c. Each Agent Silver will be charged a Registration Fee of RM30.

d. Registration Form and Agreement letter and have been completed must be returned to
HQ at No.27-1 Jalan SP 1/1 Bandar Saujana Putra, 42610 Jenjarom Selangor or by
email: farehahq@gmail.com

3. Order of Goods
a. The order opening date is not fixed according to the "shipping" of the fabric from the
supplier. Shipping fabric from suppliers is volatile and HQ cannot give a fixed date.

b. Agent Silver shall deliver orders within 5 days after the date HQ opens the order. Any
changes and amendments of orders can only be made within 7 days. Any amendments
after 7 days will not be entertained at all.
 c. All orders, notifications, inquiries and complaints can ONLY be made via FAREHA
ADMIN at 013-9993424 and CANNOT be made on FACEBOOK or other lines in order
to avoid order stacks.
d. Orders will be distributed equally according to the STOCK QUANTITY OF EACH
DESIGN.

4. Minimum Order Quantity

Agent Silver – 10 pieces and above.

5. Payment
All orders and payment need to be submit to the respective Agent Gold.

6. Changes and Returns

a. If the goods shipped are damaged, the customer/stockist/agent can re-post to HQ or
send a picture of the damage to the admin.
b. HQ will replace the same pattern if the design were available. Otherwise, items can be
converted into other patterns of equal value. If the value of the goods to be changed is
higher, the surcharge in value is payable.
c. Exchange can only be made for damaged items only.
d. Moneys will not be refunded at all.
e. Returns can only be done within 7 days from the date of released.
f. Agents under stockists have to deal with their respective stockists, and stockists will
return to HQ for further response.

7. Marketing and Price Control

a. HQ has a Marketing & Price Control Department that will monitor sales prices marketed
by agents.

b. If HQ receives a report on any complaint related to changes in the market price of the
product, the auditor will be sent to review the situation without prior notice
 c. If this is found to be, HQ reserves the right to take strict action by terminate the status of
Agent Silver based on reports issued by the Company's Marketing & Price Control
Department.
d. Any PROMOTION to be carried out must be informed, discussed and agreed upon by
HQ.
e. All advertisements and CATALOGUEs with certain time should be timely set by HQ.
STRICTLY PROHIBITED posts ahead of HQ.
f. All promotional prices or products must be in accordance with HQ price. No more or
less.
g. Free Gift from Agents to customers is allowed.

8. The appointment of Agent Silver

a. There is no Limitation on Agent Silver for one state or district. Open to all. Agents
interested in upgrading become stockists can contact existing stockists or contact HQ.
b. Stockists will be given a 2% commission from the total purchase of the agent who
upgrades into stockists.
c. Each appointment of Agent Silver must fill in the application form and need to read the
agreement letter.
d. Agents under existing stockists cannot jump to other stockists without reasonable cause.
e. Stock can be take only with their respective stockists except for stocks required to be not
available with existing stockists.
f. Agents must have the intensity and effort to appoint more Dropship/agents thus
enhancing sales performance

9. Incentive
a. HQ will evaluate the sales performance of agents and will offer incentives in the form of
goods or vacations locally or overseas.
b. This incentive is dependent on the financial position of the company.
10. Performance Assessment
a. Every 3 consecutive months, HQ will evaluate the sales performance of agents.
b. Those who have not maintained a performance for 3 consecutive months will be
dropped from Fareha's distributor list.

11. Online and offline Marketing Tools

a. HQ will provide Catalog and digital ads of facebook and video (follow design) for agents
use.

b. Bunting and banners will be provided if necessary.

12. Sale of Other Products

a. Agents can sell other brand products provided that the product is not the same as
FAREHA products.

13. Disciplinary action and misconduct

a. Each agent is reminded to sell the product according to the market price that has been
set. Agents are strictly prohibited from selling products either above or below the set
market price.
b. Agents should maintain ethics and should not cause chaos within the group. It is not
allowed to incite or harm one another.
c. Agents that have been terminate or volunteer to drop the status are not allowed to
disseminate information inside HQ or aggravate HQ outside.
d. Any dissatisfaction or deficiency should be discussed with HQ.
e. Each misconduct will be given a warning letter three times. If no further action is taken,
agent will be dropped from Fareha distributor.

14. Change of Company Policies, Terms and Conditions

a. Management have the right to change, amend and change all Company Policies, Terms
and Conditions as it seems necessary from time to time.
 b. All changes to this policy will always be notified to the agents by writing or telephone.

15. Termination of Agent

a. In the event of termination of agent status, HQ will NOT repurchase all products from the
Stockist / agent / dropship.
b. Apart from that, if the agent wants to terminate or close the business for unavoidable
reasons, the HQ will also NOT buy back all products from the agent.

16. Agent Silver acknowledgment

I have read and understand all the terms, rules and policies of the company contained in this
agreement. I acknowledge and agree to abide by all the conditions set by the company and
if I violate the terms, rules and policies of the company FAREHA HOLDING SDN BHD
(1302435-X) reserves the right to take any action and law deemed necessary as well as
disqualify my Stockist / agent / dropship.
