TERMS & CONDITIONS OF THE SERVICE AGREEMENT

This agreement is made effective on 20 th September 2020 between ‘Food Dole Pvt. Ltd.’
located at Maharajgunj-3, Kathmandu, Nepal (here in after referred to as “The First Party”) and
‘Café De Olla’ located at Kantipath, Kathmandu, Nepal (here in after referred to as “The Second
Party”) and will be valid till 19 th September 2021, concerning the services provided by Food
Dole Pvt. Ltd.

1. “The First Party” will display the food and beverage menu prepared by “The
Second Party” along with the respective prices in its website and the customers can
make their order based on the online menu.

2. “The First Party” will notify “The Second Party” through online or any other
media about the order being made by each customer.

3. Should the prices of the food and beverage required to be changed; “The Second
Party” should immediately notify “The First Party” about the changed price menu. “The
First Party” should update the price in its website within 5 working days from the receipt
of such notice and the changed price will be effective only after the update in the
website. In case the price is not updated, due to the failure in notifying “The First Party”
in time and the customer makes the order, “The Second Party” should provide the
ordered food beverage in the previously specified price.

4. “The Second Party” will make sure the food and beverage are prepared in
stipulated time. Failure of which will result in “The Second Party” being responsible, if
the customer does not require the ordered food and beverage due to the delay.
(Note: Same condition will be applied to “The First Party”)

5. “The First Party” will be responsible and will compensate the loss if “The First
Party” does not show up to take the food and beverage prepared by “The Second Party”
in stipulated time.

6. Should the customer require canceling the order; “The First Party” will notify
“The Second Party”. However, if “The Second Party” has started the preparation of
ordered food and beverages prior to the notification of cancellation by “The First Party”
then “The First Party” will be liable for the compensation.

7. “The Second Party” should make sure the ordered food and beverage is up to
the best health & hygiene standard. “The Second Party” should take full responsibility
and accountability should the food cause any health hazards to the customer.

8. “The Second Party” should make sure the food and beverage are well packed so
that the taste, freshness and temperature are well retained.

9. Service hour has been stipulated from 10:00 am to 9:00 pm every-day for now.
However, the timings may differ if required.

10. “The First Party” should make the payment of the ordered food and beverage
prepared by “The Second Party” no later than 7 working days from the date of delivery.

11. For each order that comes via "The First Party", “The Second Party” should
provide 20% (Exclusive of VAT) on every delivery and table-booking till agreement
period of the bill amount to “The First Party” as order processing and delivery charge.
"The First Party" should provide its official VAT bill for such service charge to "The
Second Party".

12. “The Second Party” should provide initial membership charge of Rs. 5000
(Exclusive of VAT) to “The First Party” and pay the yearly renewal charge of Rs. 5000
(Exclusive of VAT) to “The First Party” in advance. The membership charge hence paid is
non-refundable upon the case of termination of the contract.

13. By exercising its right to display sponsored content on the Second Party's site,
the First party agrees to only display Logos and content that will not detract from the
Second Party's primary goal of attracting patrons. Whenever possible, the First Party's
Logos and content will enhance the First Party's marketing efforts

14. “The Second Party” has full right to add or update the content of the website
except anything related to any competing company of The First Party. However, “The
Second Party” may not alter the appearance of the Logos of “The First Party” and Page
vamp, either by alteration, size, color or combination with any other logo.

15. “The First Party” and “The Second Party” can run their own promotional
programs or schemes and discounts to promote among their own customers.

16. This agreement will be valid for 1 year from the date of endorsement subject for
auto renewal every year until further notice of the discontinuation from the either
parties.

17. Both the party can terminate this agreement, should they wish to, with prior
notification of 30 days.

18. For happenstances that may arise beyond the above terms and conditions,
prevailing laws will govern such events to resolve any disputes.
