INVESTMENT CONTRACT OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This INVESTMENTCONTRACT OF AGREEMENT is executed and entered into for all purposes
and in all respects as of this 19TH day of November 2020, by and between:

MICHAEL JOHN de GRACIA TABIOS, of legal age, Filipino citizen, single, and a resident of
and with postal address at Urbiztondo, San Juan, La Union, hereinafter referred to as the “FIRST
PARTY”;
-AND-
CRISTABEL MENDOZA and LOVELY OMINGA BAGANGAN, both of legal age and single,
Filipino citizens, and residents of and with postal addresses at Brgy. Oaqui, Bangar, La Union,
hereinafter referred to as the “SECOND PARTY”.

WITNESSETH:

WHEREAS, the FIRST PARTY, is the owner/proprietor of “G-SALON”, a single proprietorship

entity engage in the business of providing beauty salon services with principal business located
at the 2nd Floor, San Juan LGU Arcade, National Highway (beside the Municipal Town Hall), Brgy.
Ili Sur, San Juan, La Union with an initial investment Php 250,00.00 cash;
WHEREAS, each of the SECOND PARTY have invested the following amount to the business
to wit:
1. CRISTABEL MENDOZA Php 50,000.00 (cash)
2. LOVELY OMINGA BAGANGAN Php 50,000.00 (cash)

WHEREAS, the foregoing cash investment by the SECOND PARTY shall be used exclusively
for the purchase of the salon business equipments, supplies inventory, and related business
requirements;

WHEREAS, in return of the SECOND PARTY’S cash investment to the FIRST PARTY’S salon
business, both parties agreed that each of the SECOND PARTY will be entitled to a 10% share in
the monthly proceeds (monthly net income) from the operation of the salon business on the 1st
month of operation from the start of its operation on November 28, 2020;

WHEREAS, the FIRST PARTY shall allow the SECOND PARTY the right to examine the books
of of the business anent the computation of their 10% share in the monthly net proceeds (net
income) of the business;

WHEREAS, the SECOND PARTY undertakes to guarantee their investment in place to the
salon business for a period of two (2) years continuously and subject only to their right to
withdraw after two (2) years after start of business operation;

WHEREAS, in case of such withdrawal, the SECOND PARTY will be entitled only to the return
of their cash investment of Php50,000.00 each, plus the 10% monthly share in the income still
accruing to them, if there is any;
WHEREAS, in case of termination/cessation of operation by the salon business due to
unforseen business operational loss, negative economic factors, et al., the SECOND PARTY shall
be entitled to share in the liquidation of the assets of the business in pro rata relative to their
actual investment and the actual equity investment by the FIRST PARTY;

WHEREAS, the parties only agree that this agreement pertaining to the 10% share of the
SECOND PARTY is applicable only to the monthly profits (monthly net income) and shall not in

any way be obligated to share in the monthly loss (if any) by the FIRST PARTY, who shall solely
bear such loss, as the case may be;

WHEREAS, the parties herein agree that the subject salon business of the FIRST PARTY is
deemed by this agreement to be operational effective November 28, 2020 on which date the
rights and obligations of the parties anent this agreement shall start to accrue and commence;

WHEREAS, by this AGREEMENT, THE SECOND PARTY has turned over their individual cash
investments to the salon business and received/acknowledged by the FIRST PARTY subject tot
he foregoing stipulations.

IN WITNESS WHEREOF, the parties have signed this INVESTMENT CONTRACT OF

AGREEMENT on the date shown at the beginning hereof in ______________________,
Philippines.

free will and have understood the same.
This document pertains to SURVEY CONTRACT OF AGREEMENT between the parties
consisting of 2 pages including this page where this acknowledgment is made, and all the parties
hereto have signed on the left margin of page 1 and on the space provided for the purpose of
page 2 hereof.
