agree to the following terms of their relationship and conduct of their business.

Suedo –

Party 1 = Mr Wasim Patel and Mr Imran Patel

Party 2 = Mr Santosh Sangam and Sunil

Relationship:
It is specifically agreed that the relationship of the parties hereto shall be that of independent
contractor and not that of an employer and employee or principal or agent. The parties hereto
recognize and agree that no joint venture or partnership agreements intended or created , hereby.
Mr Santosh Sangam and Sunil Vetal is the independent purchaser of fabrics from Patel
Enterprises to manufacture shirts.

Terms for Party 1-

 Party 1 owns Patel Enterprises.

 Origin of business is Pune.
 Party 1 is not responsible of marketing and branding.
 Party 1 will supply raw fabric to Party 2.
 Party 1 will not show pattern or samples to party 1.
 Party 1 will give a credit facility of 1 month to Party 2 to make the make the payment of
per challan.
 Party 1 is not responsible of Market business flow.

Terms for Party 2-

 Party 2 is into manufacturing of Shirts, Selling of Fabrics, and Jeans etc.

 Party 2 can check and ensure the first class quality of fabrics.
 Any defected fabric before delivery will be taken care.
 Party 2 will give a security cheque of 2 lac rupees to party 1 of 1 lac rupees each.
 Party 2 will make the payment within 30 to 45 days. If party 2 fails to make the payment
on time then party 1 will deposit the security cheque which is been given from party 2.

 Party 2 will accept the fabric of party 1’s choice.

 Costing of fabric will be mentioned at the time of delivering a fabric. Additional letter of
interest will be signed every time at the time of purchasing. Fabric pieces will be stapled
to the letter for future reference.
 All notices under or in connection with this Agreement will be given in writing by Email,
letter or fax.

 This Agreement and all documents in connection therewith shall be governed by and
construed in accordance with the laws of India. Any dispute arising out of or in
connection with this Agreement shall be resolved by the Pune Court to the exclusion of
all other courts.

All parties hereby represent and warrant that they have full power and authority to execute and
deliver the Agreement and to perform the duties and obligations hereunder.
