5.2 Forms of Ownership

IndEx Business and Industrial Consultation Agency will be registered as a partnership in

Securities and Exchange Commission (SEC) under the names of Mr. Rouel John C. Bonifacio, Mr.

Christian T. Meana, Mr. Franz Eljon E. Orines, Mr. Jovito I. Rosario, Ms. Julia Marie G. Seña, and

Ms. Yssa Mae R. Tangaro. The partners will then divide the profit among themselves according

to their contribution and liable for any losses and liabilities of the business up to the extent of

their personal assets because they are all General Partners. They will provide their agreement

with regards in administering the business to prevent disorder.

That we, the undersigned , all of legal age and residents of the Republic of the

Philippines have agreed to amend a partnership under the terms and conditions herein set fort

and subject to the provisions of existing laws of the Republic of the Philippines.

AND WE HEREBY CERTIFY:

FIRST. That the name of the partnership shall be:

FOURTH. That the term for which said partnership is to exist depending on the will of the

majority partners from the original date of recording of the said partnership to the securities

and exchange commission.

ARTICLE 1839. In setting accounts between partners after the dissolution, the following shall be

observed, to any agreement to the contrary:

1. The assets of the partnership are:

a. The partnership property

b.The contribution of the partners necessary for the the payment of all liabilities.

2. The assets shall be applied in the order of their declaration in No. 1 of the article to the

satisfaction of the liabilities.

3. The partners shall contribute as provided in the article 1797, the amount necessary to

satisfy the liabilities.

4. An assignee for the benefits of creditors or any persons appointed by the court shall have the

right to enforce the contributions specified in the preceding number.

5. Any partner of his legal representative shall the right to enforce contribution specified in No.

4, to the extent of the amount which he has paid in excess of his share of the liabilities.

6. The individual property of a deceased shall be liable for the contributions specified In No. 4.

7. When the partnership property and individual properties of the partners are in Possession of

a court distribution, partnership creditors shall have priority on Partnership property and

separate creditors on individual property, saving the rights of lien or secured creditors.

FIFTH. That the purpose for which said partnership on formed as follows:

Primary Purpose: To provide affordable service by putting customer satisfaction above all else
and serving the needs effectively and efficiently with professional care.

Secondary Purpose: To contribute in the welfare of its community by serving its social

purpose.

SIXTH. That the capital capital of the partnership shall be Php in the Philippines currency

contributed in cash by the partners as follows:

SEVENTH. That the profits and losses shall be divided pro- rata among partners.

EIGHTH. That the firm shall be divided under the management of ( person in charge) as the

General Manager and as such she shall be in charge of the management affairs of the

partnership.

NINTH. That the partners undertake to change the name of the partnership immediately upon

receipt of notice directive from the Securities and Exchange Commission that another

partnership, corporation or person acquired a prior right to the use of that name has been

declared misleading, deceptive, confusingly , similar to a registered, or contrary to public

morals, good customs or public policy.
