The Flare Board Member Contract

THIS AGREEMENT dated this ​ 14th ​ day of ​ September ​, 20​20 ,​ by and


between Aurora McClennan (“Producer/Artistic Director”) and ​ Theodore McClennan
(“Board Member”). In consideration of the mutual covenants and conditions contained herein, it
is hereby agreed as follows:

1. The Artistic Director engages the Board Member to provide services for The Flare, with
services beginning September 14th, 2020 and terminating on ​ September 13th, 2020 ​,
unless otherwise terminated by any of the provisions contained herein.
2. The Board Member shall serve the position of ​LGBTQI+ Advisor & Board Member/Executive ​.
3. During the term hereof, The Artistic Director shall pay the Board Member a share of revenue
from all projects, as per discussed. This share will be a precentage of revenue to be decided on
at a later date.
4. During the term hereof, the Board Members duties shall consist of the following duties:​ being
a voice for the LGBTQI+ community; creating a safe space; ensuring the safety and care
towards our LGBTQI+ family ​.
4a. For any additional duties required, the Artistic Director shall pay the Board member
an additional percentage to be discussed prior to commencement of said duties.
5. A normal work week will consist of an undetermined amount of hours. The Board Member is
expected to check emails daily, share updates and follow the steps of every project to ensure
everything is running smoothly.
6. A normal work week shall consist of 6 days. During each seven day period, the Board
Member is entitled to 1 rest day, consisting of twenty-four hours, during which the Artistic
Director shall not require their services.
7. The Board Member shall be entitled to billing in programs, publicity, promotions and company
based projects as follows: ​ Theodore McClennan ​.
7a. The Board Member shall receive billing whenever directly involved in
projects/events. If taking time off or not directly involved, billing may be/will be
different. See section 10 for more on time off.
8. The Artistic Director may terminate this agreement upon one week’s notice to Board Member
if contract is broken or any event occurs that causes the immediate termination of a Board
Member.
8a. The Board Member herein agrees to refrain from sexism, racisim, xenophobia,
misogyn, violence and discriminatory practices, unless be subject to immediate
termination of contract.
8b. The Board Member herein agrees to refrain from intoxication while working, unless
be subject to immediate termination of contract.
9. The Board Member may terminate this agreement upon 2 week’s notice to Artistic Director.
10. The Board Member is entitled to time off at the length of ​ 1 week ​. All
time off must be agreed upon with the Artistic Director no less than two months prior.
11. The Board Member is entitled to speak to the Press regarding the company.
11a. The Board Member agrees to speak positively and constructively regarding The
Flare. Personal opinion must stay out of conversation with Press and those not
directly involved in The Flare.
12. The Board Member is entitled to requests from the company. To request resources and the
like, two weeks notice will be necessary. Requests could include but are not limited to:
programming, lodging for company events, performance opportunites/ideas, etc.
12a. The Flare withholds option to refuse or refute requests on to be determined
grounds such as underfunding.
