DEED OF TRANSFER AND SALE

KNOWN ALL MEN BY THESE PRESENTS:

This Deed of Transfer and Sale is made and executed in the City of Pasay, this
____ day of __________________, by and between:

CHRISTY BORJA, of legal age, Filipino, residing at Block 3, Lot 11,

Anthorium Street, Phase 3-C, City Homes, Molino IV, Bacoor City,
Province of Cavite, hereto referred as the “FIRST PARTY”; 

-and-

MARIA ROSELIN DE GUZMAN-VIDAL, of legal age, Filipino, with

residence and postal mailing address at 148 Fortuna Street, F.B.
Harrision, Pasay City, hereto referred as the “SECOND PARTY”;

WITNESSETH, That:

1. The deposit and securities in the amount of __________________________

(PhP_________________________), given and paid for by FIRST PARTY, are
transferred to SECOND PARTY;

2. FIRST PARTY who has transferred to the SECOND PARTY ownership of the
above described amount and by this agreement relinquished all her rights over
the same, and has no more claim over the same in whatever nature;

3. Out of the agreed amount of sale of TWO HUNDRED THOUSAND PESOS (PhP
200,000.00), Philippine currency over the coffee shop known as 'Cloud Cafe"
located at 156 CKSY Diamond Building, Arnaiz Street, Pasay City, the FIRST
PARTY was paid in cash the amount of ONE HUNDRED EIGHTY-FIVE
THOUSAND PESOS (PhP185,000.00), Philippine Currency in CASH with
remaining balance of FIFTEEN THOUSAND PESOS (PhP 15,000.00),
Philippine currency to be paid upon signing of this Deed.

4. The parties have agreed that upon the signing of this Deed of Transfer and Sale,
the FIRST PARTY relinquishes all duties and responsibility to the SECOND
PARTY, including the use of the existing license, business name, mayor's
permit and business permit in the name of the FIRST PARTY, only for the
unexpired period of the corresponding above mentioned documents.

5. That the SECOND PARTY accepts and undertakes the full responsibility that
has been transferred and disclosed unto her by the FIRST PARTY, holding and
setting free the FIRST PARTY from all responsibility and liability, civil,
 criminal, and or administratively, of whatever nature may transpire upon the
transfer unto the second party. SECOND PARTY acceptance however shall
only be limited to those which has been known to her to be existing at the time
before the transfer of this Deed;

6. That the SECOND PARTY undertakes upon herself to absorb all the staff and
employees of the said coffee shop "Clouds Cafe," taking full responsibility in
defraying their respective salaries and all government established labor laws
and benefits, including, but not limited to paying for their S.S.S. Benefits, Pag-
Ibig and Phil-Health benefits. Nevertheless, after full payment of this Deed,
SECOND PARTY is allowed to exercise her management prerogatives to the
absorbed staff and employees of the shop as the new owner of the same;

7. That in the event the parties to this agreement may fail to abide and fulfill
religiously with the terms of this Deed of Transfer and Sale, it has been
understood and agreed to by the parties, that any dispute regarding this Deed
needing the intervention of the court, the venue of the filing of any case shall be
in the Courts of Pasay City.

8. That Notarial Fee for this Contract Agreement between the parties is agreed to
be defrayed for by the SECOND PARTY.
