CONTRACT OF SERVICE

KNOW ALL MEN BY THESE PRESENTS:

This Contact of Service is made and entered into this __________________ by and between:

a.,a Corporation organized and existing under the laws of the Republic of the Philippines, with
a,herein represented by its President, a, hereinafter referred to as the FIRST PARTY;

-and-

a, of legal age, married and with address at a hereinafter referred to as thea;

Collectively referred to as the PARTIES –

WITNESSETH; That

WHEREAS, the FIRST PARTY is a newly organized corporation engaged in Recruitment and
Manpower Services;

WHEREAS, the FIRST PARTY in order to begin its operation needed a License to operate as a
Recruitment Agency by the Philippine Overseas Employment Agency (POEA);

WHEREAS, the SECOND PARTY offered its services as representative of the FIRST PARTY to
handle the filing and processing for the application of New License Recruitment Agency of the FIRST
PARTY;

WHEREAS, the FIRST PARTY procures the services of the SECOND PARTY, and the latter
hereby accepts the said obligation for and in consideration of the amount of ONE HUNDRED
THOUSAND PESOS (Php. 100, 000.00);

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties have AGREED
as they hereby AGREE on the following Terms and Conditions:

1. PURPOSE: This Contract is for the procurement of the services of the SECOND PARTY
by the FIRST PARTY as representative for the filing, processing until the issuance and
release of a New License Recruitment Agency of the latter;

2. CONSIDERATION - In consideration of the services to be provided by the SECOND

PARTY in favor of the FIRST PARTY, the latter shall pay the amount of ONE
HUDRED THOUSAND PESOS (Php. 100, 000.00);

3. ADVANCE PAYMENT - The FIRST PARTY shall advance the amount of FIFTY
THOUSAND PESOS (Php. 50,000.00) which shall be given when PARTIES have signed
this instrument and duly notarized;

Upon receipt of the Advance payment together with the required documents necessary
for the application of New License Recruitment Agency, the SECOND PARTY shall
commence to perform his work;

4. FULL PAYMENT-THIRTY THOUSAND PESOS ( Php. 30, 000.00) shall be given by

the FIRST PARTY after the panel interview to be conducted by the administration, the
remaining balance of TWENTY THOUSAND PESOS ( Php. 20, 000.00) shall be given

 upon approval and release of the New License Recruitment Agency or in case of denial
thereof;

5. INCIDENTAL EXPENSES – Expenses such as food, transportation and acknowledgment

on his signature in this instrument shall be shouldered by the SECOND PARTY;

6. NECESSARY EXPENSES – Expenses such as fees required by POEA and its aligned
agencies or instrumentalities shall be for the account of the FIRST PARTY and shall be
given only by the FIRST PARTY when the SECOND PARTY has shown proof that it is a
necessary expense for the processing and issuance of the former’s License Recruitment
Agency;

The Official Receipts shall be kept by the SECOND PARTY and to be surrendered by
the SECOND PARTY before full payment can be made;

Necessary Expenses incurred but without Official Receipts shall be deducted to the full
payment;

7. REPORT - To update the FIRST PARTY on the status regarding the filing and processing
of the FIRST PARTY’s New License Recruitment Agency on a monthly basis or as
required by the FIRST PARTY;

8. MISCELLANEOUS PROVISIONS
a) SETTLEMENT OF DISPUTES. All disputes, controversies or differences arising out
of or in connection with this Agreement, including, without limitation, questions of
interpretation of any of the provisions of this Agreement, shall be amicably settled by
mutual consultation within thirty (30) days after written notice thereof has been given
by the complaining party;

b) VENUE OF ACTION, ATTORNEY’S FEES AND DAMAGES. The venue of any

action/s arising out or in connection with this agreement after consultation for amicably
settling the dispute, controversy or difference of the parties, shall exclusively at the City
of Baguio to the exclusion of others.

The prevailing party shall be entitled to reimbursement from the losing party of all
costs, expenses, fees and other charges incurred, including payment of attorney’s fees, in
the prosecution or defense of such action, which shall not be less than Fifty Thousand
Pesos (Php. 50,000.00)

9. This Agreement constitutes the complete understanding between the PARTIES with respect
to the subject matter hereof. This Agreement may not be amended, altered or modified
unless such amendment, alteration or modification is expressly put in a written instrument
and duly signed
by the PARTIES and the PARTIES hereby binds themselves to perform their obligations
with utmost good faith.
