MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS

HELD ON NOVEMBER 11, 2019

1. DATE. TIME and PLACE: Held on November 11, 2019, at 10:00 a.m., at the
administrative office of Fertilizantes Heringer S.A. ("Company"), located in the City
of Paulínia, State of São Paulo, at Avenida Irene Karcher, n° 620, Bairro Betel, CEP
13148 - 906.

2 . CALL NOTICE and ATTENDANCE: The members of the Board of Directors were called,
pursuant to the provisions of article 14 of the Company’s Bylaws, by written notification
with the agenda about the matters to be discussed and resolved on. The following
members of the Board of Directors were present: Dalton Dias Heringer, Dalton Carlos
Heringer, Victor Paulo Silva Miranda, Roberto Rodrigues and Silvio Claudio Peixoto de
Camargo, being Mr. Dalton Dias Heringer, present through conference call, as per article
17 of the Company's Bylaws. Mrs. Yasmina Triki was absent.

3. PRESIDING: The Meeting was chaired by the Vice-Chairman of the Board of

Directors, Mr. Dalton Carlos Heringer, and Mrs. Nayara Canesqui acted as secretary.

4. AGENDA: To acknowledge the Company's Financial Statements for the third quarter
of fiscal year 2019.
5. RESOLUTIONS: After the matter on the Agenda was discussed and review of all
applicable documents, the Company’s Directors resolved, by unanimous vote, as
follows:

5.1. The directors took note of the Company's Financial Statements for the third
quarter of fiscal year 2019.

6. ADJOURNMENT: As there were no further items to discuss, this Meeting was adjourned
and these minutes were drawn up, read, approved, and signed by all those in
