RECRUITMENT SERVICES PROPOSAL/AGREEMENT

Executive Summary

The proposal outlines the recruitment services proposed by ____________ (Consultant) for _______
Tech as represented by _______________ (Client). This document also includes specific terms and
conditions to be fulfilled by both the Consultant and Client (Parties).

About Us
Freelance HR consultant and recruiter/headhunter with almost 10 years work experience in the
industry. Its area of focus includes job postings, candidate sourcing, applicant screening and evaluation,
and identifying best candidate for endorsement.

Scope of Work
The Consultant will use its best effort to locate a suitable candidate and present this candidate to the
Client. The Consultant will use its skill, experience in recruitment and human resources (HR) as well as
industry knowledge to locate, screen, interview, and test candidates. The Consultant may undertake
searches for candidates directly or may outsource this role to third-parties or networks. Specialist tests
such as drug-testing, background-checks and credit-checks are not performed by the Consultant.

Specifically, the Consultant will be performing the following recruitment services for the Client:

Needs Assessment
Discuss with the Client’s management team/HR team or representative/s regarding the
requirements and qualifications for the position.

Candidate Sourcing
Source for qualified candidates in the existing pool of resources. Job advertisements may be
utilized but cost will be shouldered by Client.

Candidate Initial Endorsement


Client will screen CVs presented by Consultant then Client to identify which will proceed to
programming problem exam. Once candidate qualifies the exam, he/she will be scheduled for
initial interview. Consultant will arrange interview schedule for short-listed candidates.

Final Endorsement
Once Client has decided best candidate fit for the job, Consultant will arrange final interview
and/or settle details (compensation, benefits, arrangement, schedule, etc.) with the Client
and/or candidate.

Consultant’s Responsibilities
- Consultant to take reasonable steps to ensure that we have the candidate’s permission to
present his/her profile to the Client
- Consultant will take reasonable steps to present only candidates who, in their opinion, are
potentially suitable for placement with a view to short-listing or assessing them for Client’s
consideration
- Consultant will do their best to provide accurate background on candidate’s qualifications and
experience; however, these details are based on the information made available to us by
candidates and referees and, because of this, no responsibility can be accepted for errors,
omissions, incorrect conclusions. Whilst we endeavor to submit candidates that are suitable for
your needs, we cannot accept liability on behalf of the candidate for any of his/her
misrepresentations, fraud, false information, misdeclarations, etc. made during the
interview/hiring.

Client’s Responsibilities
- Client will expressly state the services to be engaged and confirm it to us in writing
- Client to provide full and accurate information about the position requirements, including an
accurate position description, any inherent requirements of the position, any weight given to
necessary or desirable attributes of the successful candidate, a duties statement, and any key
performance indicators relevant to the position, if available.
- To notify us immediately of the outcome of any interview between the Client and the candidate
- Any offer (and acceptance of any offer) in relation to the placement of our candidate
- Client’s employment or engagement of the candidate
- To pay the Consultant’s fee for the placement of our candidate, if you breach any contract for
the employment or engagement of our candidate before the placement is completed.

Consultant’s Fees and Charges


We agree to be appointed by Client, to carry out the executive search assignments.

Payment shall be made according to the ff schedule:

30% of full payment - Upon start date of the candidate

50% of full payment - Upon 60 days from the start date of the candidate

100% of full payment- Upon the 150 days from the start date of the candidate.

Replacement Guarantee:
If the hired candidate resigns or fail probationary period, we will provide a free replacement.

Exclusions:
Client will be ultimately responsible for the decision to employ or engage Consultant’s candidates and because
once they are employed or engaged to work under the client’s supervision and direction:

- (NO REPRESENTATIONS) We make no representation or guarantee that they will achieve a certain level of
performance, achieve a certain outcome, solve a particular problem, or attain a specific goal.

- (REDUCED LIABILITY & INDEMNITY) We will not be liable to you for, and you will hold us harmless against
any liability for, damage, loss or injury of whatsoever nature or kind, however caused whether directly or
indirectly of one of our candidates once they are engaged by you.

Privacy and Confidentiality:


- You agree to preserve the privacy of personal information concerning any of our candidates whose
personal information has been provided to you, or accessed by you, to a standard not less than that
prescribed by the Philippine Data Privacy Act and additionally to hold yourself as a trustee of the promise
to do so for the benefit of our candidate.
- So far as the law allows, you must maintain the confidentiality of any information that we communicate to
you and identify as being confidential (including the fact that one of our candidates may be seeking a new
position). You must not use or disclose confidential information that we communicate to you without our
written consent. For the purposes of this sub-clause, you may use confidential information that we have
communicated to you about our candidate for the purpose of engaging our services.
- You must identify any information that you require us to keep confidential. If you do not expressly identify
information that you communicate to us as being confidential, we may use and disclose it as we think fit
for the purpose of providing or offering our recruitment services to you; and you must indemnify us
against any claims (including costs) for breach of confidentiality that may flow from our use or disclosure
of it.

By accepting the terms set out in this document, you acknowledge that neither we, nor anyone acting on our
behalf, has made any warranty or representation to you in relation to the matters covered by this agreement,
which is not fully set out in these terms, that you have not relied upon any such warranty or representation, that
you have read these terms together with the Schedule, and that you have understood them.
