Trust?

How can I buy shares of the

Osprey Bitcoin Trust?
If you are an accredited investor and can invest at least
$25,000, you can buy shares via private placement by subscribing
online.

Can I purchase shares in the

trust in my retirement account?
Yes, you can purchase shares in an IRA account as long as your
IRA custodian allows private placements to be held in your
account. Please check with your broker.

The Entrust Group and Mainstar offer IRAs that can hold these
shares.

What is the lock up period of

the trust?
The lock up period is one year for shares purchased via private
placement.

How do I transfer my shares in

the trust to my brokerage
account?

After the lock-up period ends, our transfer agent, Continental

Stock Transfer and Trust, will help facilitate transferring the
shares into the account of your choice.

Can I buy shares in the trust if

I am not an accredited investor?
If you are not an accredited investor, it will soon be possible
to buy shares in the Osprey Bitcoin Trust (ticker: OBTC) on the
over-the-counter market. To receive updates on this, subscribe

Where is the Bitcoin stored for

safekeeping?
The Trust stores its Bitcoin with a third-party custodian,
Fidelity Digital Assets (FDAS).

FDAS is a division of Fidelity Investments, one of the largest

financial services companies in the world.

When will the Trust begin

trading on public markets with a
ticker symbol?
While we cannot make any guarantees around timing, we have met
criteria to list the trust on the OTCQX market under the ticker

OBTC and expect it to begin trading on the over-the-counter

market sometime in Q1 of 2021.

What are the tax implications of

owning shares in the Trust?
As mentioned above, you can purchase shares in an IRA account as
long as your IRA custodian allows private placements to be held
in your account. Please check with your IRA custodian.

Further, Osprey recommends discussing the tax implications of an

investment in The Trust with your tax advisor.

The current market price of the Osprey Bitcoin Trust (ticker:

OBTC) will be available on most brokerages and financial news
websites once trading begins in the OTC market.

What happens if the trust

dissolves?
If the trust is dissolved, Osprey will return the assets to
investors based on their pro rata holdings of trust units.
