The Seller operates a YouTube Content Owner / MCN account (as explained here:

https://support.google.com/youtube/answer/6084238?hl=en) (***********) “MCN

Account”
The Buyer wants to buy full, exclusive access to the account.

Purchase Subject to the terms and conditions contained in this Agreement, the Seller
sells and transfers to the Buyer any and all of Seller's rights, title, and interest in and
to the MCN account. This does not include any YouTube channels, videos, assets,
or other rights associated with the MCN account.
Payment Terms The Buyer agrees to pay the Seller the amount of Thirty Thousand
Dollars (US $***********) in the corresponding amount of Dollar. The Buyer will deliver
the payment via bank transfer to the Seller’s bank account within 2 days after this
agreement has been signed by both parties, and agrees to pay all applicable fees so
that the amount received by the seller is at least equal to US ***********
Seller's Obligations After the Seller has received the full purchase price to his bank
account, the MCN account is officially owned by the Buyer, and the Seller is no
longer responsible or liable for anything happening in or on the MCN.
The Seller will remove all channels currently linked to the MCN account and then
give the Buyer administrator access to the MCN.
The Seller will cease using the MCN account for his own business.
The Buyer confirms that he had the opportunity to extensively vet the MCN account.
The Buyer knows exactly what he is buying, knows the limitations of the MCN , and
acknowledges that the MCN account is sold ‘as-is’ without any guarantees or liability
from the Seller and that the Seller has no influence, nor liability on any changes of
the MCN status. The Buyer explicitly allows the Seller to remove all channels
connected to the MCN before transferring the MCN account to the Buyer.
The Buyer acknowledges that this sale is final and no refunds can be made,
regardless of what happens to the MCN during or after the sale.
Final Provisions.

1. The Buyer and the Seller agree to keep the terms of this agreement strictly
confidential.
2. If a provision of this agreement is or becomes illegal, invalid or unenforceable in
any jurisdiction, that shall not affect the validity or enforceability in that jurisdiction of
any other provision of this agreement.
3. There are no verbal or written side agreements. This Agreement represents the
entire agreement between the Parties with respect to the subject matters hereof and
supersedes all prior written or oral agreements of the Parties with respect to the
subject matters hereof.
Furthermore, the terms and provisions of this Agreement shall take precedence over
any conflicting or circumventing term or provision in any future written or oral
agreement(s) entered into by and between the Parties, unless such future
agreement expressly sets out to amend this Agreement.
4. Any dispute, controversy or claim arising out of or in connection with this
Agreement, or the breach, termination or invalidity thereof, shall be finally settled by
the court competent for the Seller.

United States rights apply under exclusion of the UN Sales Law (CISG).
This also applies if Buyer has their general court of jurisdiction abroad.
