 AGREEMENT
This Agreement is made the…………. day of the month of ……….…, 2014 by and between
_________________________________________________________________________ of
the one part (hereinafter called the “Procuring Entity or Client”) and Perfect Plan Consulting
A/E PLC of the other part (hereinafter called the “Supplier or Consultant”).
WHEREAS

(a) the Procuring Entity (Client) has requested the Supplier (Consultant) to provide certain
consultancy services for Resident Construction Supervision, Contract Administration
and Quality Control of:

__ (hereinafter called the “Services”) as defined herein and attached to this Contract;
(b)the Supplier (Consultant) having represented to the Procuring Entity that it has the required
professional skills, personnel and technical resources, has agreed to provide the Services
on the terms and conditions set forth in this Contract;
NOW THEREFORE the parties hereto agree as follows:
1. The documents including all appendices forming the Contract shall be as stated and in the
order of priority stated in the General Conditions of Contract.
2. The mutual rights and obligations of the Procuring Entity and the Supplier shall be as set
forth in the Contract, in particular:
(a) The Supplier (Consultant) shall carry out the Services in accordance with the
provisions of the Contract; and
(b) The Procuring Entity (Client) shall pay the Supplier the Contract Price of
Ethiopian Birr _____________________________________________________

per month.

 General Conditions of Contract
The General Conditions of Contract for Procurement of Consultancy Services (Cons-RFP-NCB)
issued by PPA (Version 1, January 2006) is part of this Consultancy Services Contract.
 Special Conditions of Contract
The following Special Conditions of Contract (SCC) shall supplement the General Conditions of
Contract (GCC). Whenever there is a conflict, the provisions herein shall prevail over those in
the GCC.

GCC 9.1 The Supplier, Sub-consultants, and their Personnel shall pay such taxes,
duties, fees, and other impositions as may be levied under the law of the
Federal Democratic Republic of Ethiopia.
GCC 12.1 The period within which the Services shall have commenced is:

GCC 23.1 The future use of documents is restricted as follows: The documents prepared
under this agreement, shall become the property and copyright of the
procuring entity, the service provider has no right to pass any part of the study
document in any form to the third party without the former consent of the
procuring entity

GCC 27.1 Any change in laws or regulations shall not result in any change to the period
for completion of the services or the Contract Price.
GCC 30.2 The Contract is a Time Base Contract.
GCC 32.6 Separate invoices are not required for fees and for reimbursable expenditure
since the reimbursable expenditure is included in the fixed monthly rate stated
in the agreement. Hence, no specific receipt is required for reimbursable
expenditures.
GCC 33.1 The payment schedule shall be:
a. The Consultant shall be paid a monthly rate of Birr _____________

GCC 34.1 Payment shall be made by the Procuring Entity within 15 days of receipt of
the request for payment
GCC 34.2 The following documentation shall be required to support requests for
payment:
a. Payment request or certificate.
GCC 35.1 Prices charged by the Supplier shall not vary from the prices quoted in the
Contract. For the contract period of time (12 months).
GCC 37.1 The formal mechanism for dispute settlement shall be:
a. The Client and the Consultant shall use their best endeavours to settle all
disputes arising out of or in connection with this agreement or in the
interpretation thereof amicably.
b. Any dispute between the Client and the Consultant which can not be settled
amicably within 30 days of receipt by one party of the other party’s written
notice of dispute shall at the opinion of either party be referred to the
arbitration of a single arbitrator to be agreed by the client and the
Consultant or to an Arbitration Tribunal to be established by the Addis
Ababa Chamber of Commerce, Arbitration Institute and the proceedings
shall be administered in accordance with the rules and regulations of the
Institute. The decision of the arbitrator in the case of the single Arbitrator
or Arbitration tribunal shall be final and binding.

DESCRIPTION OF SERVICES

This consultancy service includes construction supervision, and construction

Contract Administration.

A. Objectives of the Consulting Services

The main objectives of the consulting services are:

1. To carry out Construction Supervision of the project assuring:
 Construction of every part of the building at least to the project
specified quality;
 Economic and proper Utilization of Clients input resources by
the Contractor;
 Control the Qualities and Quantities of all project input
resources and executions;
 Timely completion of the project.
2. To conduct Construction Contract Administration

B. Scope of Services

The Consultant shall expeditiously execute not less than the following tasks:

1. Collect and review all available documents and data which are deemed
appropriate and required by the Consultant to effectively conduct the
services;

2. Study in detail the project Design and Construction Contract Documents

3. Conduct close full time Construction Supervision of every activity to assure;

 Utilization of construction materials having the minimum in

project specified and/or implied qualities;
 Utilization of proper skilled man-power, equipment and
workmanship to assure construction product quality;
 Construction of every activity and sub-activities to the minimum
project specified quality;
 Economic and proper utilization of client’s project resource input
by the Contractor;
 Timely and proper coordination of all project stake-holders
specialized sub contractors such as (electrical, sanitary, metal work
etc.) for an economical and timely completion of the project; and
 Timely and proper allocation of resources by all stake-holders for
an economical and timely completion of the project.

4. Administer the Construction Contract entered in between the Client and

Contractor;
5. Check and approve Contractor’s Construction progress and Resource
Allocation Schedules, quality and quantity;
 C. Main Tasks
The work consists of furnishing engineering services complete all respects including all field and
office works in accordance with the current highest standard of the engineering profession and as
approved by the client.

The studies and services to be provided by the consultant shall be construction supervision and
contract administration.

D. Liaison with Client

The Consultant shall maintain close liaison with the Client.

E. Documents and information available

A single complete fair copy of the following documents (which are related to the
subject project services) will be provided by the Client to the Consultant, immediately
upon mobilization of the consultant, for the purpose of the duration of the study as
listed below:
a. Soft Copy of Project design and construction contract documents;
b. Hard Copy of Project design and construction contract documents.

F. Payment for the Consultant

The Consultant shall be paid in monthly basis for its services.
