EASEMENT CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is made and entered into this _________________ by and between:

________________, Filipino, of legal age, and represented in this act by


____________________, through a Special Power of Attorney executed
under Notary Public __________, with Doc. No. __; Page No. __; Book No.
__; Series of ______, a resident of ______________, now and hereinafter,
the “GRANTOR”;

_________________., a corporation duly organized and existing by virtue of the


laws of the Republic of the Philippines with office address at Dana
______________, herein represented in this act by its ___________, hereinafter,
the “GRANTEE”;

WITNESSETH That:

WHEREAS, the GRANTOR is the owner in fee simple of certain parcel of agricultural
land embraced by _____________, known as _____________, containing an area of
_______________________, more or less, located at _________________, Philippines.

WHEREAS, the GRANTEE has developed _____________ at ___________________


Philippines;

WHEREAS, the GRANTEE desires to utilize a portion of the land area containing
___________________, where the GRANTEE will use the same as Road Right of Way passage,
which is more particularly described in the Sketch Plan attached hereto and made an integral part
hereof as Annex “A.”

WHEREAS, the GRANTOR is willing to grant to the GRANTEE an easement of Road


Right of Way to the GRANTEE, subject to the terms and condition herein set forth.

NOW, THEREFORE, for and in consideration of the terms and conditions mutually
agreed upon by the parties, the GRANTOR hereby grants unto the GRANTEE an easement of
Road Right of Way to the GRANTEE over the portion of the land area mentioned in the FIRST
WHEREAS CLAUSE containing an area of ______________________, subject to the
following terms and conditions:

1. That the term of this Easement Contract shall be for a period of Twenty-Five (25) years from the
execution hereof until ____________ 2044 at a total amount of PESOS: ____________, and
shall be renewable for another ______ the same rate of ________________, at the option of the
GRANTEE, and thereafter renewable upon mutual agreement of the parties;

2. That the GRANTOR shall give the GRANTEE a TWENTY-FIVE (25) year easement, of Road
Right of Way at an amount of ____________________, inclusive of withholding tax, for the 25-
year period.

3. That upon the signing of this Easement Contract, the GRANTEE agrees to pay the GRANTOR
the amount of _____________, inclusive of withholding tax, for the grant of a 25-year easement
for the passage of the GRANTEE’s vehicles, heavy equipments, workers, its representatives,
including the construction of any infrastructures on the portion of the GRANTOR’s land
described hereof commencing on _________________ until _____________________.

4. That the GRANTOR shall pay the real property taxes levied on the premises corresponding to
the aforementioned parcel of land while the GRANTEE shall pay the real property taxes levied
on the improvements that shall be introduced by the latter.

5. It is expressly agreed by the parties herein that any fixed improvements or renovations that will
be introduced by the GRANTEE shall remain the property of the GRANTEE after the expiration
of the term of this Contract.

6. That upon the execution of this agreement, the GRANTOR shall surrender its owner’s duplicate
title of the property to the GRANTEE to enable the GRANTEE to annotate this Easement
Agreement on the said title. The Company shall return to the Landowner the owner’s duplicate
copy of the title once the Easement Agreement has already been annotated thereto.

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed
by them and/or their duly authorized representatives this on the date and at the place above written.
