Sub: Letter of Appointment Dear Mr. Ashish, With reference to your application dated March 23, 2019 and subsequent interviews, we are pleased to inform you thet you are appointed as “Assistant Manager - HR” with effect from June 27, 2019. The detail of your Compensation is attached as per Annexure I You will be ally posted at Luckmow and reportto the AVP- HR, Other terms and conditions of your appointment are as follows: * You will be on probation for a period of Six Months from the date of appointment. This period may be extended at the discretion of the competent authority, if necessary. During the period of probation, your services are liable to be terminated at any time with 7 days notice and/or assigning any reason, whatsoever, Further to the same, if you resign or remain absent from duty during the said notice period of 7 days, you will not only forfeit your salary for the pericd of your absence, but shall also be liable to pay to the Company a sum equivaleatto 7 days salary or part therecf. * Thereafter, subject to your attitude, conduct and performance being found satisfactory, your employment will be confirmed in writing, ‘+The appointment may be terminated by either side at any time by giving a written notice of 30 days. The appointing authority reserves a right of terminating the services of the appointee without assigning any reasons therefore and making paymert in lieu of the notice period as mentioned above, of a sum equivalent to one month salery of the appointee, which will include basic salary. The same will be credited to the bank account of the appointee as per the policy of the Company in vogue, from time to time, + In the event of your giving 30 days notice, in writing, of terminating the agreement, you will serve the Company for the entire 30 days period of notice. Ifyou resign or remain absent from duty during the said 0 days" period of notice or any part thereof, you will not only forfeit your salary for the period of your absence, but shall also be liable to pay to the Company a sum equivalent to 30 days salary or part thereof, by easy of liquidated damages and the /company will be entitled to appropriate dues payable to you, on account whatsoever, towards these damages. * On cessation of your employment with the Company, cn superannuation or otherwiso, you skall handover the charge to such person(s) nominated by the Company on its behalf and shal deliver all the Company's properties in your possession, custody or under your control, including without prejadice to the generality ofthe foregoing all programmes, charts, raings, specifications, notes, correspondence, working paper fles and other documents of whetever nature. You shall be bound to carry the Identity Card during the offical visits for any purpose outside the company. The non compliance of the above will be viewed seriously and you will be subjected to disciplinary action for the non-compliance of the same under discretion of the Management. ‘+ Your detailed job description would be given to you by the management from time to time and that you will be bound to put in hest of your effort in carrying out the job irrespective of your liking or disiiking of the job. Your designation is merely indicative of the responsibilities, which you are required ta carry out ‘The company shall be entitled to require you to, at any time; porform any other administrative, managerial, supervisory, or other functions and you shall be bound to carry out such functions. * Your remuneration will be subject to annual review, or at such times as may be appropriate, Review dates are set by Corporate Headquarters. VL operates a Pay-for-Performance policy and the result of any remuneration review will take your performance into account. ‘= You will appreciate that information relating to your remuneration package is strictly confidential and hence you must maintein this confidentiality. ‘© You shall carry out the instructions given to you by your superiors, in connection with the business of the Company diligently and faithfully, You shall maintain proper discipline and dignity of your official position within the office and outside office. # You shall deal alt matters with due diligence, ethics and shall be governed under the provision of model standing order, ifapoticable. © You shall not, either during the continuance of your employment hereunder or thereafter at any time, without the priar consent of the Company, in writing, disclose, divulge, or make public, except under legal obligation, any of the affairs or secrets of the Company cr any processes, accounts, transactions and dealings of the Company or of any person, firm or Company which ought not to be disclosed, divulged or made pubiic, whether the same be confided or become known to you in the course of your service or otherwise, nor shall you use or attempt to use any Information which may injure or cause less to or be calculated to injure or cause loss to the Company. «You shall not get yourself engaged in giving and accepting bribe in cash or kind or offering or accepting any type of favor for getting any work done during your tenure of service which may bring disrepute to the company. © “Subject to applicable law, during the Employment Period with the Company and for a period of 1 (One) year immediately following termination or expiry of such employment, you irrevocably undertakes not to, directly ar indirectly, in India or elsewhere, either as an individual on his/her own account or as a partner, Executive, consultant, advisor, agent, contractor, director, trustee, committee member, office bearer or shareholder Vakrangee a. Own, manage, operate, control, be employed by or participate in the ownership, management, operation cr control af, or be connected in any manner with, any similar business and/or of the type and character engaged in and competitive with that conducted by the Company or any Affikate as it now exists or ar it may exist at the time of termination, bo. Solicit employment of, endeavor to entice or advise any Company Executive or any Independent contractor, who provides services to or through the Company, to terminate his/her contract ot relationship with the Company or to accept any contract (directly or indirectly) or other arrangement for providing services to any other person or organization; Jain or contact any customers of the Company, who hasbeen the Company's customer for a past twelve ‘months, to entice such customers away from the Company or ta in any way damage their business rolationship with the Company + You will devote your whole time andl attention exclusively to the duties entrusted to you and you will not engage yourself, either directly or indirectly, to work for any other person or Company in any capacity ‘whatsoever, nor will you do any private business without the prior permission of the Company, in 8. ‘© IFyouare charg=-sheeted for any act of misconduct, you may be suspended from service pending inquiry. Ifyouare found guilty of the misconduct, you will not be entitled for any salary for the suspension period. In case if you are found net guilty, you will be paid salary for the suspension period and you will be treated as you were in service for this period. + You willassign the Company complete rights, title and interestin any invention or improvement, that you right make solely or jointly in the course of your relating to the products/services marketed, worked, based or developed during the duration of your employment with the company and the company sball be entitled to use, utilize and exploit such inventions or improvement, You will also perform undertake activities and execute such decuments without expense to you which in the judgment of the Company ray be needful or desirable to secure the Company's patent protection or for any other purpose, and any/all rights relating to inventions or iraprovemient. + You stall be lable to be cransferred outside Lucknow and/or to another Department/ Shit/ Location Associate/ Sister Establishment/ Firm /Company; existing at present or which may be started hereafter. Under such eventuality you will abide by the working hours of the shift, conditions of service of the said Gepartment, office or establishment etc. concerned without demanding any compensation or extra remuneration whatsoever and service and no notice of any kind skal be required to be given except as ray be prescribed in the service rules ofthe Company. + VL's proprietary rights and confidential information are amongst the Company's most important assets, and as a condition of your employment you are required to sign the Company's Employment Agreement ‘A breach of sccurity or confidentiality is regarded very seriously and could lead to termination of employment. + You shall upon termination of your employment with VL and upon VL's request reaffirm your recognition of the importance of maintaining the confidentiality of company’s Proprietary Information and reaffirm all of the obligations set forth in this Letter and the Non-Disclosure Agreement for the period of not less than one year.
