CONTRACT OF WORK

This Agreement is entered into in Koronadal City this __________________ by and between:

______ a corporation duly organized and existing under the laws of the Philippines, with
office address at ______________ City represented herein by its President,
______________, hereinafter referred to as FIRST PARTY,

-and-

CORPORATION a corporation duly organized and existing under the law with main
business address at _________ City, represented herein by its President, ____________,
hereinafter referred to as SECOND PARTY,

-WITNESSETH-

Whereas, FIRST PARTY needs a supply of labor and materials for its project: “________________”
located at the __________________________ City;

Whereas, the SECOND PARTY has the demonstrated skill and capability to supply the labor and
materials needed by the FIRST PARTY for implementation of the above-mentioned project;

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties hereby agree as
follows:

1. Scope of Work_________________________ City as specified in the attached Bill of Materials and

Labor Cost (Annex “A”) that form an integral part of this contract;

2. Contract Price: ___________________________;

3. Term of Contract. SECOND PARTY shall complete the above-mentioned project within thirty (30) days
from the signing of this contract, but should not be later ____________. SECOND PARTY shall pay
the FIRST PARTY a penalty of Php 1,000.00 per day in case of delay due to fault of SECOND PARTY;

4. Terms of Payment: FIRST PARTY shall deliver to the SECOND PARTY twenty percent (20%) of the
full Contract Price upon the signing of this contract, and the balance shall be paid by the FIRST PARTY
to the SECOND PARTY based on progress billing within seven (7) days from receipt of the billing. The
remaining 10% shall be paid to the SECOND PARTY ten (10) days after turn-over of the completed
project or upon acceptance of the FIRST PARTY of back jobs and retouching jobs to the satisfaction of
the FIRST PARTY, whichever is later;

5. Liabilities. SECOND PARTY assumes all liabilities and accountabilities he incurs or may incur against
third parties or his employees by virtue of the implementation of this project. SECOND PARTY agrees,
undertakes and understands that the FIRST PARTY shall in no way be held responsible for any
remuneration or damages due to third parties / his employees by virtue of SECOND PARTY’s
implementation of this project. Furthermore, it is understood that the employees hired by the SECOND
PARTY are his employees alone and FIRST PARTY shall not be liable for any claim whatsoever of
these employees by reason of the implementation of this project;

6. Other Conditions: SECOND PARTY shall: 1) inform the FIRST PARTY before pouring of concrete, if
any, in any stage of the project; 2) document every activity conducted related to the construction; and
3) provide a construction logbook and record all activities, deliveries, withdrawals, visitors, time in and
time out of workers, incidents within the site and outside the site and other significant observations;

7. Back Jobs. Expenses for back jobs due to poor workmanship shall be borne by the SECOND PARTY
chargeable to the 10% retention fee, or to the personal account of SECOND PARTY in excess of the
10% retention fee, and the same shall be considered as top priority by the SECOND PARTY.
