1.5 Non-Contracted Rates: PHG will offer a 20% Margin/Commission over the public rate to Partner for those room categories
available for sale to the public on PHG’s website but not offered to Partner via this agreement.
1.6 Charter net rates provided in this agreement may only be used (by Partner or any other third-party channel that accesses
Hotel’s inventory through Partner) to market and sell within the Restricted Market indicated below and cannot be distributed in
any other markets unless expressly authorized in writing by Palladium Hotel Group.
1.7 GROUPS: Net Contract Rates and conditions are valid for Weddings and social groups up to 40 rooms.
1.8 Groups of 41 rooms and more; a request must be submitted to our Groups/Sales team to confirm availability and rates
with Revenue Management. (for Groups’ Terms and Conditions please refer to clauses #8 and #9 of this contract). Group rates
not available during Christmas-New Year’s Week (crossing December 24th through December 31st) at all times, unless written
authorization from PHG.
1.9 Partner acknowledges and agrees that it is not authorized to add any additional consumer discounts, even if discounts are
funded by or offered through Partner and coming from Partner’s margin, including but not limited to coupons, promo codes,

Being Christmas from 12/24 till 1/01, Winter from 1/02 till 4/30, Summer-Fall from 5/01 till 12/23.
8. STUDENT GROUPS/SPRING BREAKERS: Partner acknowledges our Corporate Policy for Spring Breakers or Students
Groups: Palladium Hotel Group does not accept Spring Breakers Groups at any time of the year, regardless the age and
whether they are escorted or not. At Palladium Hotel Group we reserve the right to withhold admission should any of these
groups make a reservation and come to stay at one of the resorts. Official photo ID and full stay deposit will be required at
check-in if it is obvious that the group is made up of students traveling together. Guest will be removed from property in case
of any disturbance or complaint from other guests or hotel staff. Partner must exclude our properties from this market niche
and will refrain from quoting any Palladium property.
9. GROUPS TERMS AND CONDITIONS
9.1 Contract net rates and conditions, are valid to Wedding & Social Groups for up to 40 rooms
9.2 A request must be submitted for all groups of 41 rooms and more, to review availability and rates with our Revenue
Management
9.3 Group rates not available during Christmas-New Year’s Week (crossing December 24th through December 31st) at all

flight credits or rebates through credit cards, gift cards or cash equivalent rebates, unless Partner has obtained Palladium’s
prior written consent.
1.10 No allotments granted; bookings are based on sell & report up to and including 7 days prior to arrival unless the rooms
have been closed out previously by a stop sale or close out report. Close out reports are sent out twice a week, and sales must
be reported as specified in each close out report.
1.11 Hotel reserves the right to close the booking window or cancel promotional rates according to occupancy levels at any
time. A written notification will be sent to Partner for final reporting. Any promotional offer will be provided to the Partner
directly in a separate communication. Promotional offers are not combinable unless otherwise specified.
1.12 Partner agrees to use retail pricing in all collateral, merchandising and advertising. Rates must be displayed with taxes
(except in Cancún and Riviera Maya), service charges and gratuities included.
1.13 Charter net rates and room category names are subject to change at any time but shall be valid until otherwise notified by
times, unless written authorization from PHG.
10. SPECIAL CONCESSIONS
10.1 One Complementary pax for every (10) paid passenger. (Max. of 10 complementary paxs. Per group based on DBL
occupancy and lead category booked) – Minimum of 10 rooms required
11. GROUPS DEPOSIT, PAYMENT SCHEDULE / CANCELLATION POLICY (applicable for groups of 41 rooms or higher).
11.1 In order to confirm the booking of the Room Night Commitment, secure the rooms and guarantee the Guest Room Rates,
Hotel will need to receive from Group a signed contract and an initial deposit of $100 per room. Bookings will be held, and the
rates guaranteed for 10 business days to allow time for deposits to be received.
11.2 Hotel requires prepayment in full of the total revenue from the Room Night Commitment. The payment schedule is set
forth in the contract. Hotel has the right to immediately cancel Group’s reservation, dispose of the rooms and seek recovery of

4. MARGIN & MARK-UP AGREEMENT:
4.1 Charter Rates are provided to Partner for packaging purposes and the mark-up is at the sole discretion of the Partner.
4.2 Charter Rates cannot be sold or promote as Room-Only. Partner must use our charter rates ONLY when combining room
+ charter airfare.
4.3 Failure to comply with these requirements will allow PHG to immediately stop sale.
5. GENERAL TERMS & CONDITIONS:
5.1 This agreement shall be governed solely by the laws of the country where the Hotel has its official registered
address/domicile.
5.2 This agreement supersedes any previous terms & conditions and/or offers/promotions previously confirmed and signed by
PHG with the Partner and in conflict with the terms set forth in this new agreement.
5.3 No amendment or variation to charter net rates shall be effective unless in writing and signed by duly authorized
representative of each party.
5.4 Palladium reserves the right to determine in its sole discretion the renewal of this agreement depending on Partner’s
FT
performance and production hereunder.
5.5 Palladium reserves the right to terminate this agreement with immediate effect by written notice to the Partner if, in
Palladium’s reasonable discretion, Partner is not complying with any of the terms and conditions contained herein.
5.6 Partner acknowledges and agrees that the terms and conditions contained herein shall also be observed by any
third-party accessing Hotel’s inventory through the Partner. Partner is fully responsible for the acts or omissions of any
third-party channel accessing Hotel’s inventory through such Partner and Palladium reserves the right to request Partner to
suspend sales to any third-party channel that is conducting business in an inappropriate manner, to be determined at
Palladium’s reasonable discretion.
5.7 Partner hereby agrees to restrain from (i) purchasing or otherwise acquiring any keywords that include trademarks owned
by PALLADIUM HOTEL GROUP or any of its affiliates, or individual resort property names (or misspellings, abbreviations or
variations of any of the foregoing), for use in any form of paid search engine, metasearch engine or online advertising or

domain names (URL), (ii) registering as trademarks or obtaining any domain names or social media names that include or are
similar to, trademarks owned by PALLADIUM HOTEL GROUP or any of its affiliates, or individual resort property names (or
misspellings, abbreviations or variations of any of the foregoing), and (iii) engaging in any activity which may be likely to
confuse, mislead or deceive consumers as to whether the Partner is acting on behalf of or is endorsed by PALLADIUM HOTEL
GROUP other than as an authorized independent reseller.

13. PERSONAL AND MATERIAL INJURIES
9.1 Any complaint from a guest shall be made in writing directly to the hotel before departure in order for management to
provide a resolution while the guest is still in house. Any follow up complaint, if applicable, shall be received by the Hotel within
the 30 days following guest’s departure.
9.2 The hotel reserves the right to request all pertinent documents/information to guest or Partner, including a complaint filed
by the guest shall be enclosed and confirmed by the corresponding authority for the hotel to be able to resolve the problem.
9.3 The notification within stated period does not give any right to any compensation nor assumes any liability to the hotel.
9.4 Sole place of jurisdiction shall be the country where the Hotel has its official registered domicile.
14. TRADEMARKS, BRANDED KEYWORDS & INTELLECTUAL PROPERTY RIGHTS
10.1 Partner acknowledges that PHG owns all right, title and interest in and to its trademarks, or any of its affiliates, or
individual resort/hotel property names (or misspellings, abbreviations or variations of any of the foregoing), and the goodwill
associated with such trademarks.
10.2 Partner further acknowledges that all use by Partner of PHG trademarks, or any of its affiliates, or individual resort/hotel
names (or misspelling, abbreviations or variations of any of the foregoing) inures to the benefit of PHG.
10.3 Therefor Partner hereby agrees to restrain from:

10.5 Partner shall not bid on or purchase internet placement right for any of trade names, or full or partial Resort/Hotel names,
or trademarks of PHG, including but not limited to any of its affiliates, or individual resort/hotel names (or misspelling,
abbreviations or variations of any of the foregoing) without the prior written consent from PHG Marketing Department. This
restriction is including, but not limited to, internet and web advertising.
10.6 Purchasing or otherwise acquiring any keywords that include trademarks owned by PHG or any of its affiliates, or
individual resort/hotel property names (or misspelling, abbreviations or variations of any of the foregoing), for use in any form
of paid search engine, metasearch engine or online advertising or domain names (URL).
10.7 Registering as trademarks or obtaining any domain names or social media names that include or are similar to,
trademarks owned by PHG or any affiliates, or individual resort/hotel property names (or misspelling, abbreviations or
variations of any of the foregoing).
10.8 Engaging in any activity which may be likely to confuse, mislead or deceive the consumers as to whether the Partner is
acting on behalf of PHG or is endorsed by PGH other than as an authorized independent reseller.
10.9 Partner acknowledges and agrees that the failure to comply with these terms will entitle PHG to take legal action against
Partner.
10.10 PHG reserves the right to terminate this agreement with immediate effect should the Partner fails to comply with
these terms.
