AFFIDAVIT OF NON-OPERATION

            I, David D. Cabatay, of legal age, Filipino citizen, and presently

residing at Dayton 1 3C, California Garden Square, DM Guevara St.,
Mandaluyong City, after having been duly sworn to in accordance with law,
do hereby depose and say:

1. That I am the Administration Manager of Leo Venn Holding Corp., a

corporation duly organization under the laws of the Philippines with
principal office at 9F One Orion, 11th Avenue corner Parkway St., Taguig
City.

2. That said corporation was incorporated on July 15, 2019 with

SEC Registration Number CS201911586.

3. That to date, the corporation has not commenced operations due to no

income from the previous year.

4. That the stockholders and directors of the corporation intend to

commence operations in the future.

5. That I am executing this affidavit in order to attest to the truth of the

foregoing and for the purpose of complying with the reportorial
requirements of the Securities and Exchange Commission.
