LETTER OF AGREEMENT No, 0043/DE-TE/XI/GPS/2013 WELL PILOT LOCATION SECURITY SERVICE Relating to the Dart Energy operation progress, this Letter of Agreement (“LOA”) is made and entered into on the 1st day of 12 November 2013, confirms the mutual intentions with respect to the potential agreement for Explosive Materials Storage Security Services BETWEEN a @ Dart Energy (Tanjung Enim) Pte. Ltd. a limited liability company having its address at Plaza Sovereign 19th Floor JI, TB Simatupang Kav 36 Cilandak Barat ~ Jekarta, 12430 ("DE") hereinafter referred to as “Company”; PT. Ganendra Paraka Satria, a limited company, having its address at Komplek Golden Plasa Block G-9, JI. RS.Fatmawati 15 Jakarta Selatan, 12420, ("GPS") hereinafter referred to as “Contractor”. Company and the Contractor are hereunder jointly referred to as the Parties. Both Parties are agreed with the following terms and conditions: a (2) @) Well Pilot Location Security Services Contract is shall be commenced immediately to avoid bigger loss and failure of operation, therefore this LOA to initiate the work is issued; Services defined as the services and work to be performed by the Contractor under this LOA including the provision of any products, equipment and materials set out in this LOA and, if any, all its Exhibits, and all other services or goods required to be provided by Contractor under this LOA, including without limitation to: a. Contractor's security manpower supply services including 1 (one) person of Shift Leader, 5 (five) persons of security guards, operation and administration, and management fee, The period of Contract is for 8 (eight) months tentative period, as follow: st Month: 12 November 2013- 11 December 2013 2nd Month: 12 December 2013-11 January 2014 3rd Month: 12 January 2014-11 February 2014 4th Month 12 February 2014-11 March 2014 th Month 12 March 2014-11 April 2014 ‘kg6th Month 12 April 2014- 11 May 2014 7th Month: 12 May 2014 - 11 June 2014 8th Month —-: 12 June 2014-11 July 2014 (a) The Value of The Contract will not exceed IDR 32,600,000( Thirty Two Million Six Hundred Thousand Indonesian Rupiah) per month for 8 months period until 11 July 2014, as detailed as follow: Security Manpower Supply Services 32.600.000 260.800.000 6) Company will pay monthly rate as stipulated at article 4 of this LOA with actual basis which means the quantity of month(s) at article 4 is estimated only, there will be no guarantee that Company will used Services for that quantity as stated fon the article above. Monthly Services rate applied for thirty (30) calendar days. Periods less than 30 days will be prorated. 6) ‘The general scope of work of this LOA which is part of the detail scope of work of Explosive Materials Storage Security Services are as follows Contractor shall coordinate and communicate with all security person function under the following purposes, including but not limited to: To deter crime To controll the access To prevent any accident and loss of life - To prevent asset loss and damage - To detect Potential loss, damage or To protect personel Quick Response in arresting or preventing environmental harm = Quiok Response in handling incident, emergency condition and crisis. Recovery operations Other task within the parameters of maintaining business Continuity ” The Parties intend that this LOA shall be legally binding. Any provision, which does not create a legally binding obligation shall nonetheless be pursued and performed by the Parties in good faith and shall not invalidate any other provisions of this LOA which are binding and enforceable; @ Each Party warrants and represents to the other that it has the right end authority to enter into and be bound by this LOA and that doing so does not breach or conflict with any legally binding obligations owed to any third parties;® Al activities hereunder shall be conducted in accordance with all applicable laws and regulations. In respect of these activities, no Party shall make any payments, loans, Gifts or promises of the same, directly or indirectly for the benefit of any employee of each Parties, government employee, public official or for any political party or candidate.
