MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is entered into by and between:

DEPARTMENT OF ENVIRONMENT AND NATURAL RESOURCES (DENR)

Regional Office XII, a government agency, organized and existing under the laws of the
Republic of the Philippines, represented by its Regional Executive Director, ATTY FELIX S.
ALICER, hereinafter referred to as the FIRST PARTY,

and

PROVINCE OF SULTAN KUDARAT, represented by its Governor SUHARTO T.

MANGUDADATU, Ph.D., with office address at Provincial Capitol, Kalawag II, Isulan, Sultan
Kudarat, hereinafter referred to as the SECOND PARTY.

WITNESSETH:

WHEREAS, the FIRST PARTY has offered the SECOND PARTY reclamation
materials in Mindanao to be used in the reclamation project in China herein referred to as “the
Project” in which the SECOND PARTY will buy;

WHEREAS, the SECOND PARTY has designated Mr. Romy Villarosa as his
Authorized Representative in buying reclamation materials from the FIRST PARTY to be used
in the Project;

WHEREAS, the FIRST PARTY and SECOND PARTY have negotiated with the
Provincial Government of Sultan Kudarat, of which the FIRST PARTY commits to supply and
deliver to the SECOND PARTY several metric tons of reclamation sand from a “designated”
area along a portion of a river situated in Palimbang, Sultan Kudarat covered by the Dredging
Project by and between the Department of Public Works and Highways and the Provincial
Government of Sultan Kudarat;

NOW THEREFORE, for and in consideration of the foregoing premises, the FIRST
PARTY and the SECOND PARTY hereby agree as follows:

1. The FIRST PARTY has to supply and deliver reclamation sand to the SECOND
PARTY;
2. The SECOND PARTY shall pay the FIRST PARTY the amount of US$ 0.10 per
every delivered metric ton of extracted reclamation sand;
3. The SECOND PARTY shall indicate the name of the FIRST PARTY as the drawee
in the check for payment of the former’s delivered reclamation sand;
4. The FIRST PARTY and the SECOND PARTY shall not disclose any Confidential
Information to any third party by any means without first obtaining the prior written
consent of the other Party.
5. All notices, demands, or other communications to be given or delivered under or by
reason of the provisions of this Agreement will be in writing and shall be delivered
personally or sent by facsimile or electronic transmission;
