Dear Restaurant Owners,

I know that you haven't heard much from me since last September when I moved into my role as
Chairman of RBI Canada – although it was great to spend time with you in Orlando at our
Convention!

I am writing today because I have some thoughts I want to share with you. But first, let me thank
many of you in regard to the well wishes I have received about my father, and also the support
that many of you gave to both my son Quinn and I, along with a number of Franchise Owners,
who climbed Mount Kilimanjaro to raise funds – and increase our reach and impact – for the
Tim Horton Children's Foundation. We are pleased to report that not only was it a once-in-a-
lifetime experience, but we all raised over $700,000 to help more children in our communities!

It is true that I am less visible now than when I was President & COO of the Canadian business –
but as I have said in the past "change is inevitable – and we must embrace change or we will like
irrelevance even less!" The new leadership team needs to have the opportunity and freedom to
lead change and facilitate great things for the brand – creating an even brighter future.

We have a culture that embraces change, that believes if we are not moving forward – we are
falling behind. We have all embraced many significant changes over the years – many of which
left us unsure – including the introduction of drive thrus, lunch, bagels, Iced Cappuccino,
Breakfast Sandwiches and Always Fresh Baking. In the end – we have always based decisions
on facts, never on the fear of the unknown, fear of failure or fear of the future. In the end, we
pride ourselves on change within our business and have always "put our oars in the water at the
same time and rowed – hard and fast – in the same direction" knowing that there is no greater
power than this.

Many owners have reached out to me in recent weeks to ask my opinion about what’s going on,
and I owe it to all of you to let you know how I feel. Let me be clear – I am not in favour of an
association. In fact, I don't like what is happening to our company. I understand that some
Restaurant Owners have formed an association and that the organizers of the association are
conducting a national membership drive and campaign. The formation of an association would
never be my preference – in my 34 years with this unparalleled brand – I personally have always
felt that the relationship of the Franchisee and Franchisor is a personal one. Great relationships
work with understanding, enjoying the good times, weathering the storms and most importantly
prospering!

Further, I cannot overlook – and what seriously worries me – are the unfounded rumours and
attacks on our brand. I am disturbed by the misinformation that is being shared, and deeply
uncomfortable with the tactics that are being used to create fear and confusion within our
Ownership group. The public allegation that products are unsafe has the potential to be
incredibly damaging to our Brand and is not true. Similarly, the suggestion that Restaurant
Owners with less stores are being systematically exited from the business to bring in larger
Owner groups is entirely unfounded. And finally, the suggestion that any new initiative to
improve Guest Satisfaction, is actually an underhanded way of exiting Restaurant Owners, is
also completely untrue and pure fear-mongering.

Though it’s ok to debate and disagree, these kinds of tactics risk tarnishing our great brand that
we have all built together.

Tim Hortons has been my life's work – I have the "tattoo" and it runs in my veins – as it does
with you. This brand is like a member of my family, my greatest pride! In fact many of you have
become part of my family. Over the years, we haven't always got things right, in fact we've made
our share of mistakes, but we have always worked together and found the right path – key word
being together – and we should continue to do that now. Without question, your leadership team
loves this brand, respects the business that has been built in Canada and the unique position that
the Restaurant Owners have helped it attain. There is tremendous value in our Ownership group's
ability to communicate their individual and collective needs – something that has allowed us to
be stronger than all the rest.

Our unique brand has achieved great things and we will continue to achieve great things! I would
only ask that we stay focused on our Brand, our Guests, our Core Values and anytime that you
want to share ideas or concerns, please, reach out to any of us, or a member of your Advisory
Board, and we'll be more than happy to meet and have a coffee – after all, it's who we are!

Sincerely,

David Clanachan
