We are seeking well-qualified, experienced candidates for an in-house attorney position for Cvent
India Private Limited. Primary responsibilities include preparing and negotiating software license
and service agreements in support of the sales organization, and performing similar work with
respect to vendor and service provider agreements for the procurement, technology and other
business departments. This will necessitate working closely with Sales, IT, Procurement, Finance and
Customer Service.
The position reports to the Manager - Legal based in India; however, this individual will be expected
to bring a high degree of contracts expertise to the position, and to rely on that expertise along with
sound judgment and professionalism to operate independently. The successful candidate will have
broad experience in a variety of legal areas such as corporate governance and compliance,
employment law, contract drafting and negotiation, and experience with litigation and dispute
resolution.
Working knowledge and experience with software and hardware issues, and legal concepts
regarding software contracts and licensing such as Limitations of Liability, Indemnification,
Warranties, Termination, Data Security, and Confidentiality.
Self-starter who understands executing with urgency, and the ability to comfortably work in
an intensely deadline-oriented environment. Accuracy and attention to detail are essential
requirements for this position.
Review legal communications from customers, service providers, third parties and
government agencies, and draft responses to same in consultation with management; draft
outgoing legal correspondence relating to enforcement of Cvent contracts, intellectual
property and other rights.
Review RFPs and RFQs, offering appropriate alternatives to contract terms and conditions.
Support the Account Management, Billing and Legal personnel as necessary to:
Track all contractually required product enhancements and service level requirements
Essential Experience
The candidate must have atleast 4-6 years of relevant experience (post qualification) in the
contracts and agreements domain; preferably both international and domestic contracts.
Incumbent should have strong experience in drafting, vetting, negotiating various contracts,
and interpreting them.
Understanding of important laws and statutes having business and commercial impact to the
organization’s operations.
Education
LL.B. from a renowned university like NLSIU, NALSAR, NUJS, NLU (Jodhpur, Bhopal) Law, or
Faculty of Law, D.U.

Contract Management:
Perform contracts review, abstraction process, update sheets with abstraction summary, including
updating contract playbooks and SoPs
IP (Trademark)
Job Purpose:
To manage the IP trademark prosecution work, drafting of opinion and documents pertaining to
dispute matters in TR and IPAB.
Key Responsibilities:

Service provider agreements, Celebrity engagement, Artist engagement, Brand integration
etc.
Drafting & reviewing business related documents, such as addendums/ amendments, cease
& desist notices, power of attorney, board resolutions, authorization letters, termination
letters, undertakings, no-objection-certificates etc. Preparing reply emails/ notices to
various regulatory bodies.
Creating contract/ agreement templates for an easy flow of the contract management
process.

Advisory and support to the management on the process, to stop Copyright infringement
through copyright claims, cease and desist notices and acquire necessary court/ tribunals
orders to stop them.
Business Support:
Coordinate effectively with various departments, such as business development, affiliate &
acquisitions, claims, programming, brands, Human Resource & digital marketing of the
organization, and provide support/ assistance to the relevant teams, to ensure the legal risks
have been identified from the legal contracts, agreements, documentation and appropriate
courses of action have been taken.
Litigation Support:
Coordinating with external legal counsels, and briefing the court matters to the
management on a regular basis.
Support in drafting court related documents, such as plaints, claims, written statements,
appeals,affidavits, compromise petitions etc.

The Opportunity
This is a position for a key member of Marvell’s legal team as well as the primary legal support for
Marvell India. This is the first legal in-house attorney position for Marvell India. While this position
will report to the Associate General Counsel for Global Employment Law and Commercial Litigation,
it will significantly support the Commercial Contracts, Compliance and Corporate legal teams. Key
duties will be to act as the lead lawyer in India.
Draft, review and negotiate a variety of local India contracts and document commercial and
business transactions;
Conduct due diligence and other legal work arising from commercial activities in India;
Provide direction and strategy for the Company’s compliance programs through risk
assessment, communication and training to minimize the exposure to the Company.
Provide legal and compliance assistance on a wide variety of business/ legal issues;
Partner with corporate legal and HR teams to investigate, negotiate and resolve disputes
(commercial and employment);
Serve local team as employment counsel advising on all aspects of India employment law,
partnering with local HR;
Review and monitor regulatory changes and advise the business on the full range of legal
issues affecting the business;
Additional responsibilities will include due diligence, commercial disputes and IP protection,
regulatory compliance matters, and compliance reviews and training;
Assist local senior management with various other local general corporate and local
regulatory matters;
Effectively collaborate with global colleagues to provide globally aligned legal advice that
appropriately balances domestic and global perspectives and needs; and
8+ years plus experience, preferably with at least 4 years at an Indian law firm; Experience
should include advising clients on general corporate commercial and employment matters;
Must have worked with international clients and for multinational companies;
Strong problem solving and analytical skills, and the ability to understand and articulate
significant legal and business issues;
Highest degree of ethics and integrity and ability to champion compliance as a core business
value across Marvell India;
Solid understanding of policy issues impacting the region over the next years;
- Significant capabilities across the whole range of capital markets matters, including regulatory and
statutory compliance issues, registrations with the Securities and Exchange Board of India (SEBI).
- Coordinating the work of other professional parties on the transactions, e.g. investment bankers,
lawyers, regulatory bodies and auditors for investment/ IPO projects.

7. Perusal of the documents, Deeds, and giving title opinion with reference to the NPA cases
offered as a security /To vet the legal Scrutiny reports provided by the panel lawyer with
regard to its correctness and to give legal clearance.
10. Handling of cases under section 138 of the NI Act and having knowledge of documents
required to be submitted form for Section 138 cases.
11. Legal support to Business team - Drafting /Negotiation and Execution of Business
agreements, lease, vendor agreements letters, NDAs, Consulting contracts in India.
12. Legal and regulatory compliance pertaining to Payments law, Company law, Data Privacy,
IPC, etc. and advise various teams and ensure compliance with rules and regulations
13. Prepare and filing reports before various authorities as per applicable laws.
15. Assist in drafting and execution of Board documents, filing of forms with MCA and maintain
records
16. Be a SPOC and maintain a repository for all documents of the legal team.
18. Drafting documents to protect interest of the Bank on the basis of the factual aspect of the
cases.
19. Evaluate concerns noticed in the cases/projects to Legal Head for action.
20. To draft replies prepared by the Customer Care Team i.e. replying to Regulator, RBI and
Customer complaints, etc.
22. To provide suggestions and legal inputs to Head of Legal to streamline the policies of the
business.
23. Supervises and interacts with Panel Lawyers, Courts and other Law Officers of Govt. from
time to time
24. Advising collections function on day to day collection issues and refer complex cases to Head
of Legal, wherever required.
25. Ensuring smooth and efficient conduct of arbitrations against the delinquent customers
whereby effectively reducing the NPA portfolio of the Company.
26. Assist Head of Legal for effecting every statutory compliance without compromising and
thereby ensuring zero exposure to compliance violations.
27. Attending Courts / Consumer Forums / Police stations in civil / criminal cases / complaints
filed by the Bank / against Bank.
Technical Knowledge
4. Consumer Protection Act and other laws applicable to Banks such as Negotiable Instruments
Act, Banking Regulation Act, Contract Act, Prevention of Money Laundering Act, etc.
Work Experience (in Yrs.) 5-10 yrs. of experience in the Legal department of any Bank / BFSI space.
The candidate should have experience of independently handling of matters. Alternatively,
practicing advocates with relevant experience in responsibility areas can also be considered.
