EXHIBIT “A”

DECLARATION OF TRUST FOR ACADEMIC


PURPOSES ONLY


WHEREAS ATTY. CHRISTOPHER JOHN P. LAO, Filipino, of legal age, single/married, with address at
DLSU Rufino Campus, BGC, Taguig (the "Trustee") is a buyer/owner of the following properties
(“PROPERTY”/”PROPERTIES”):

TCT No. (T-777777) RT-33333

“A parcel of land (Lot No. 7373, Fls-422, Naic Estate, Cavite, GLRO Rec. No. 8340,) Beginning at
a pt. marked 1 of Lot 7373, Fls-422, being N. 36-59 W., 1984.77 m. from Mon. 18, Naic Estate, thence N.
46-08 E., 145.00 m. to pt. 2; N. 46-08 E., 65.00 m. to pt. 3; thence S. 55-55 E., 20.50 m. to pt. 4; S. 70-01
E., 244.46 m. to pt. 5; S. 57-33 W., 315.95 m. to pt. 6; N. 45-13 W., 177.13 m. to pt. 1 of beginning,
containing an area of THIRTY THOUSAND SEVEN HUNDRED SEVENTY-SEVEN (30,777) SQUARE
METERS.”


WHEREAS, the aforesaid property is held by the Trustee in trust for IVAN EARL ZAPANTA, Filipino,
of legal age, single/married, and residing at Katipunan, Quezon City (the "Beneficiary"), or the
Beneficiary's designee.

WHEREAS, in the payment of the purchase in the acquisition of the property from Zahreena Mae
Molina, the same amount was paid by IVAN EARL ZAPANTA or the Beneficiary through ATTY.
CHRISTOPHER JOHN P. LAO.


NOW, THEREFORE, the Trustee does hereby acknowledge and confirm as follows:

The Trustee holds in trust for the benefit of the Beneficiary, the Beneficiary's successors and
assigns, the aforesaid property.

The Trustee shall duly account for and pay to the Beneficiary all income, fruits and proceeds
on the property and other moneys or rights paid or accruing by reason of its holding in trust the
property, or dispose of any such income, moneys or rights as the Beneficiary shall direct or instruct
the Trustee from time to time as long as the same is legally practicable;

The Trustee shall not sell, transfer, assign or pledge the Property or any interest therein,
except that the Trustee hereby irrevocably constitutes the Beneficiary or the Beneficiary's designee
or representative as the Trustee's attorney-in-fact, with power to assign, transfer and convey the
property in favor of the Beneficiary or any other person or persons designated by the Beneficiary,
without any valuable consideration therefor, and for that purpose, to make and execute all
necessary acts of assignment thereof, hereby ratifying and confirming all that said attorney-in-fact
of the Trustee shall lawfully do by virtue hereof. At the request of the Beneficiary, the Trustee
likewise agrees to do all things necessary or appropriate to complete the transfer of the recorded
ownership of the property to and in favor of the Beneficiary or its designee.

The Trustee shall not sell, transfer, assign or mortgage the property or any interest therein
without the written consent of the Beneficiary;

The Trustee shall consult the Beneficiary performing any act, which, to my best judgment,
may be of great interest to the Beneficiary insofar as the property is concerned;

The Trustee shall not inform any person, entity or third party about the existence and
contents of this Agreement without the Beneficiary’s prior written consent;

The Trustee shall understand that the Beneficiary can exercise all its rights over the
property even beyond his lifetime;

The Trustee shall exercise best efforts to avoid incurring liabilities to third parties by reason
of being a trustee over the property.
This Agreement may only be amended by both the Beneficiary and the Trustee.
Furthermore, this Agreement is subject to termination at the end of each month. If the trustee does
not receive written notice from the Beneficiary in any given month that this Agreement is to be
terminated at the end of such month, it is presumed that this Agreement will continue to subsist
until the next month, and so on. In any event, the Beneficiary can terminate this Agreement in case
the Trustee acted without the Beneficiary’s consent, with such act being a direct cause of damages
to the Beneficiary’s interest in the property, unless the Beneficiary ratifies such damaging act; and

If any provision of this Agreement happens to be or becomes legally invalid, such invalidity
shall in no way affect the validity of the remaining provisions, which shall continue to be in force
and effect. The costs for the execution of this Agreement shall be borne by the Beneficiary and a
copy thereof be duly furnished to the Beneficiary.
