KNOW ALL MEN BY THESE PRESENTS:

organized and existing under Philippine laws with principal office located at

2. That at the Special Meeting of the Board of Directors of the above-named

corporation at its said address on <July 25, 2016>, the following resolution
was unanimously approved:

“ RESOLVED, AS IT IS HEREBY RESOLVED, to

authorize, <JOSEPH SOROQUETA>, <Documentations and
Claims Manager>, to represent the company and sign in
the <Ad Cautelam Response, by way of special appearance
for failure of the Honorable Court to acquire jurisdiction
over the person of the defendant because the summons
was not served on the officers listed in Section 11, Rule 14
of the Rules of Court, in Civil Case No. 16-02777 entitled
“Alvimco Co., Inc. c/o Ms. Lily Cocoy vs. SinoTrans Container
Lines Co., Ltd. c/o Mr. Efren Caboteja”> and execute the
<necessary Affidavit to explain, among others, the defenses
of the company, and to do all acts necessary as listed in the
rules on pre-trial and other pertinent laws and provisions
of the Rules of Court as well as to represent the company
during mediation, arbitration and enter into a possible
settlement of the case consistent with the defenses of the
company and to enter into any stipulation of facts and
admissions.>”

3. That the afore-quoted resolution has not been revoked nor amended by the
Board of Directors of the said company and is in still in full force and effect.
