Environmental Health Safety and Social Impact Scope of Work

Objectives
Company wishes to retain an independent Contractor to act on the behalf of the Recipient Group
and provide an independent assessment of the Health, Safety and Social and Environmental (“HSSE”)
impacts of the proposed Sea Lion Development located offshore from the Falkland Islands. The
project will be operated by Company and a Project Outline is provided as a separate document. The
report will be relied upon by the Recipient Group in analysing investment and finance risks
associated with funding Phase 1 of the Sea Lion development.

The primary objectives of the mandate is to identify potential impacts and risks associated with HSSE
aspects:

 Compliance with relevant national legislation; and


 Compliance with international standards and guidelines, specifically the Equator Principles
and IFC industry sector guidelines, in this case relating to on and offshore oil and gas
developments.

The project’s development area and zone of influence will be considered during the review and
assessment process. We suggest the scope of work below but in its proposal the prospective
consultant should include any additional elements that it considers could be material in terms
of the Objectives.

Scope of Work
The Contractor will be appointed as an independent HSSE consultant to provide guidance and
support to the Recipient Group through until financial close.

Phase 1 – Initial Report

The Contractor will recommend a list of all applicable standards that should be applied and it will
evaluate the project in terms of its ability to meet those standards on an ongoing basis. In the course
of its mandate the Contractor will review the documentation listed in Appendix 1, interview the
Operator, and carryout whatever additional investigations it considers appropriate to assess the
projects compliance against all applicable standards expected to include:

 The Equator Principles;


 All applicable national and international environmental and social regulations (including
conventions and treaties adopted by the host country and applicable to the Project):
 World Bank Group EHS Guidelines for Offshore Oil and Gas Development and other
guidelines applicable to the Project;
 Requirements of the 2016 OECD Common Approaches;
 Sector specific industry best practices.
The Initial HSSE Due Diligence report will be provided at the end of Phase 1 comprising:

 A description of the project and its potential HSSE risks and impacts;
 *A description of the Operators organisational structure for managing HSSE in relation to the
project;
 A summary and assessment of all of the relevant regulations and standards that should
apply to the project;
 *An evaluation of the HSSE plans and procedures initiated or to be initiated at the time the
project is implemented;
 Classification of the project in terms of Equator Principles; and
 An opinion of the projects compliance with all of the relevant regulations and standards
listed.

*Note:

During 2018 the Sea Lion project will be ramping up resourcing to complete FEED, preparing for Final
Investment Decision and preparing for the projects Execute phase. Therefore in this initial report the
Contractor should consider the adequacy of the HSSE plans, approach and planned organisation for
the Execute phase. Contractor will be able to review the implementation and further development
of these plans during the Final Report at the end of phase 2 as set out below

Phase 2 – Recipient Group Support through to Financial Close and Final Report

The Contractor will continue to provide ad-hoc support to the lenders during the due diligence
process as they assess the merits of the project for financing. That support will include liaising with
other advisors to the Recipient Group where disciplines cross including technical and legal advisors
in particular.

At the end of Phase 2 the Contractor will provide a Final Report which will be an update of the initial
report either to confirm the initial report findings or to take account of any material changes to the
nature or scope of the project or the laws and regulations as they apply to the project.

Schedule
The mandate will be performed according to the following schedule:

 Delivery of data by Company to Contractor will be by the end of January 2018


 Complete Discovered Resource assessment. Report findings to the Recipient Group by
email by 16th March 2018.
 Submit Draft Initial HSSE Due Diligence Report by end April 2018
 Submit Final HSSE Due Diligence Report by the end of May 2018
 Ongoing Support to Recipient Group during financial due diligence by end 2018.
Review and resubmit final report to conform to the final banking cases (i.e updated
costs, schedule and development plan) as part of financial close. This section can be
quoted on a day/hourly rate basis.
